Proof of Holding means evidence reasonably satisfactory to the Issuer of the aggregate principal amount of Notes held by or on behalf the relevant Beneficial Holder, provided that, for purposes of this definition, custodian statements and/or screenshots evidencing the aggregate principal amount of Notes held by or on behalf of a Beneficial Holder shall be deemed to constitute satisfactory evidence.
