Property Employee definition

Property Employee means (i) any individual who is employed by the Seller or any of its Affiliates (excluding any corporate employees of Seller Parent) and who performs a significant amount of his or her services for and at the Property and (ii) any other individual that provides shared services for the Property and another property or business of Seller Parent or its Affiliates and is designated by Seller Parent as a “Property Employee” prior to the Closing.

Property Employee means those individuals listed in Schedule J hereto.

Property Employee means each individual who is employed by Seller (including any individual who is on vacation, sick, military, disability or other leave of absence).

• In the event that Employee is requested pursuant to, or required by, applicable law, regulation, or legal process, to disclose any Confidential Information or Intellectual Property, Employee shall notify the Company of such request within five (5) days of such request being made and shall enable the Company or any subsidiary, parent or affiliate of the Company to seek an appropriate protective order.

• Should Employee inadvertently retain and later realize that Employee has retained any such Corporation Property, Employee shall notify and return such Corporation Property to the Corporation within two (2) calendar days of Employee’s discovery.

• In the event that Employee is requested pursuant to, or required by, applicable law, regulation, or legal process, to disclose any Confidential Information or Intellectual Property, Employee shall notify the Company of such request within five days of such request being made and shall enable the Company or any subsidiary, parent or affiliate of the Company to seek an appropriate protective order.

• If Employee cannot assign all or any portion of his right, title, license, or interest in or to such Intellectual Property, Employee shall and hereby does grant to the Company an exclusive, perpetual, world-wide, fully-paid, royalty-free, non-revocable license in and to such Intellectual Property.

• If Employee is requested pursuant to, or required by, applicable law, regulation, or legal process, to disclose any Confidential Information or Intellectual Property, Employee will notify the Company of such request within five days of such request being made and will enable the Company or any subsidiary, parent or affiliate of the Company to seek an appropriate protective order.

• In the event Employee has lost, damaged, or otherwise failed to return any Company Property, Employee agrees to pay Employer the replacement cost of such Company Property.

More Definitions of Property Employee

Property Employee means each employee of CCI who is located at the Real Property or on leave and performs services primarily related to the Business.

Property Employee means any individual employed by an Arden Employer as of the closing under the Merger Agreement and whose employment responsibilities relate primarily to property management, bookkeeping, leasing, tenant services or similar activities, (i) who is employed at one or more specific Projects (and no other properties), and (ii) all or substantially all of whose employment responsibilities relate to such Projects. Notwithstanding the foregoing, “Property Employee” shall in no event be deemed to include (x) any individual employed by Arden Employer as of the Closing under the Merger Agreement who is employed in a supervisory or administrative capacity and whose employment responsibilities relate in any respect to one or more Projects or at a regional level, (y) any Executive (as defined below), and (z) any employee who customarily devotes less than 75% of his or her time to one or more Projects, in the aggregate. “Executive” means any one of the following officers of Arden: R▇▇▇▇▇▇ ▇▇▇▇▇ (Chairman and Chief Executive Officer), V▇▇▇▇▇ ▇▇▇▇▇▇▇ (President and Chief Operating Officer), R▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇ (Executive Vice President — Leasing and Property Operations), R▇▇▇ ▇▇▇▇▇ (Executive Vice President and Chief Financial Officer), H▇▇▇▇▇ ▇▇▇▇▇ (Senior Vice President and Chief Investment Officer) and D▇▇▇▇ ▇▇▇▇▇▇ (Senior Vice President and General Counsel).

Property Employee means any employee of the Company or any Company Subsidiary as of the date of this Agreement or hired the Company or any Company Subsidiary between the date hereof and the Closing in compliance with Section 4.1(b)(x), in each case who primarily performs services to the Real Property.
