Provider Content definition

Provider Content means Content owned, originated or controlled by Provider that is made accessible to Customer and Authorized Customer Entities via the SaaS or other Services.

More Definitions of Provider Content

Provider Content means the audiovisual content, including but not limited to the Included Programs, received by or made available to Google from or by Provider via the delivery means described in Exhibit A and as set forth and described in the Metadata Feed or Google-provided interface to the Metadata Feed, and all data and information contained within or provided to Google in association with such content, including but not limited to all information provided in the Metadata Feed or Google-provided interface to the Metadata Feed, text, images, closed captioning, metadata, and compositions and sound recordings of any music, and any copies that Google makes of any or all of the foregoing. Provider may designate additional content for hosting, indexing and displaying to End Users by providing to Google additional content and Metadata Feeds via approved delivery methods. Any such added content will be considered “Provider Content” and subject to the terms and conditions of this Agreement.
Provider Content means any content or information made available by Provider or Provider’s Affiliates through or in connection with the Portal, including any methodology, technology, know-how and information, and any associated intellectual property rights, in which Provider or any third party has proprietary rights.
Provider Content means all products and services relating to the Properties (including without limitation, all hotel properties, rates, BAR, availability, descriptive content, and where available rich media and hotel images). “Termination Fee” means the fees payable by Provider to Amadeus in accordance with Clauses 12.4 and 12.5 and listed in Attachment A (Charges). “Travel Agency Commissions” means any commissions owed by Provider to an Xxxxxxx Xxxxxxxxxx, as agreed between Provider and the Amadeus Subscriber, for bookings made by the Amadeus Subscriber of the Provider Content. “VAT” means value added tax. 2. AMADEUS OBLIGATIONS 2.1 Provision of LinkHotel 2.1.1 Amadeus shall distribute the Provider Content through LinkHotel to Amadeus Subscribers subject to the terms and conditions set forth herein. 2.1.2 Subject to Clause 3.3 and Amadeus’ specific instructions, Amadeus will provide Provider with access to the Amadeus Hotel Platform and the Interface and a user guide with instructions on its proper use. 2.2

Provider Content means any IPR owned, licensed, developed, discovered, invented, authored, or first reduced to practice by Provider, alone or jointly with others, either: (a) prior to the effective date of the Proposal; (b) after the effective date of the Proposal if syndicated content of Provider or components thereof, other than copyrighted materials of Client; or (c) outside of the scope of the Services. This definition of Provider Content excludes any Client Content and Third Party Creatives, but includes Hosted Information.
