Purchaser Public Record definition

Purchaser Public Record means all information filed by or on behalf of the Purchaser after January 1, 2014 with the Securities Authorities, in compliance, or intended compliance, with any Applicable Laws which is available for public viewing on the SEDAR website under the Purchaser’s profile at wxx.xxxxx.xxx.
Purchaser Public Record means all documents filed by the Purchaser on SEDAR;
Purchaser Public Record means all publicly available press releases, material change reports, annual information forms, information circulars, financial statements and other documents that have been disclosed by the Purchaser to the public and filed with any applicable Canadian or other securities regulatory authority or otherwise posted on SEDAR.

  • Each of the documents and instruments constituting the Purchaser Public Record did not, as of the date filed (or, if amended or superseded by a subsequent filing prior to the date of this Agreement, on the date of such filing), contain any Misrepresentation.

  • Purchaser has no material subsidiaries, other than as disclosed in the Purchaser Public Record (collectively, with Purchaser, the "Purchaser Group") and, other than as disclosed in the Purchaser Public Record, Purchaser owns, directly or indirectly, all of the outstanding voting and equity securities of such subsidiaries.

  • Except as set forth in the Purchaser Public Record, all of the outstanding shares and all other ownership interests in the subsidiaries of Purchaser are duly authorized, validly issued and fully paid and non-assessable, and all such shares and other ownership interests held directly or indirectly by Purchaser, are owned by Purchaser free and clear of all Encumbrances (other than Permitted Encumbrances), except pursuant to restrictions on transfer contained in the articles of such subsidiary.

  • The documents and information comprising the Purchaser Public Record did not at the respective times they were filed with the relevant Securities Authorities, contain any Misrepresentation, unless such document or information was subsequently corrected or superseded in the Purchaser Public Record prior to the date hereof.

  • All securities of such Subsidiaries held, directly or indirectly, by the Purchaser and are held free and clear of all Encumbrances, except as disclosed in the Purchaser Public Record.

  • Except as disclosed in the Purchaser Public Record, there is no fact known to the Purchaser which has, or so far as the Purchaser which has, or so far as the Purchaser can reasonably foresee, will have a material adverse effect, or which would otherwise be material to any person intending to make an investment in the Purchaser.

Purchaser Public Record has the meaning specified in Section (i) of Schedule E. "Purchaser Real Property" has the meaning specified in Section (l) of Schedule E. "Purchaser RSU Plan" means the restricted share unit plan of the Company effective June 25, 2015, as amended. "Purchaser RSUs" means restricted share units of the Purchaser pursuant to the Purchaser RSU Plan. "Purchaser Securityholders" means the holders of securities of the Purchaser. "Purchaser Share" means a fully paid common share in the capital of the Purchaser. "Purchaser Shareholder Approval" means approval by the requisite majority of Purchaser Shareholders of the Purchaser Shareholder Resolution. "Purchaser Shareholder Meeting" means a meeting of Purchaser Shareholders, Shareholders, which may be, at the discretion of the Purchaser, a special meeting or an annual general and special meeting, including any adjournment or postponement of such meeting, to be called and held to consider the Purchaser Shareholder Resolution. “Purchaser Shareholder Resolution” means the resolution(s) of Purchaser Shareholders approving the issuance of the Purchaser Shares under the Arrangement in accordance with Section 611(c) of the TSX Company Manual and presented at the Purchaser Shareholder Meeting. "Purchaser Shareholders" means the registered or beneficial holders of Purchaser Shares, as the context requires. "Purchaser Stock Option Plans" means the amended and restated stock option plan of the Purchaser dated June 13, 2013 and the stock option plan of the Purchaser dated June 21, 2019, each as may be amended, restated or supplemented from time to time. "Purchaser Warrant Indenture" means the warrant indenture dated October 7, 2020 between the Purchaser and Computershare Trust Company of Canada, as may be amended, restated or supplemented from time to time. "Purchaser's Constating Documents" means the notice of articles, articles and all amendments to such articles (or, in each case, the equivalent), and all other constating documents of the Purchaser.

Related to Purchaser Public Record

  • Public record or "public records" shall mean all documents, papers, letters, maps, books, photographs, films, sound recordings, magnetic or other tapes, electronic data-processing records, artifacts, or other documentary material, regardless of physical form or characteristics, made or received pursuant to law or ordinance in connection with the transaction of public business by any agency of North Carolina government or its subdivisions. Agency of North Carolina government or its subdivisions shall mean and include every public office, public officer or official (State or local, elected or appointed), institution, board, commission, bureau, council, department, authority or other unit of government of the State or of any county, unit, special district or other political subdivision of government.

  • Public records means all writings and recordings that consist of letters, words or numbers, or their equivalent, set down by handwriting, typewriting, printing, photostatting, photography, magnetic impulse, optical or magneto-optical form, mechanical or electronic recording or other form of data compilation, however stored, and regardless of physical form or characteristics, prepared or owned by, or in the possession of a public body or its officers, employees or agents in the transaction of public business.

  • Purchaser Parent has the meaning set forth in the Preamble.

  • Purchaser Parties means, collectively, the Purchasers and any of their respective former, current or future directors, officers, employees, agents, general or limited partners, managers, members, stockholders, Affiliates or assignees or any former, current or future director, officer, employee, agent, general or limited partner, manager, member, stockholder, Affiliate or assignee of any of the foregoing.

  • Subsequent Disclosure Documents means any financial statements, management’s discussion and analysis, information circulars, annual information forms, material change reports (other than confidential material change reports), business acquisition reports or other documents issued by the Corporation after the Execution Time which are, or are deemed to be, pursuant to applicable Securities Laws, incorporated by reference into the Final Prospectuses or any Prospectus Amendment;

  • Company SEC Documents has the meaning set forth in Section 3.04(a).

  • Purchaser/ User means ultimate recipient of goods and services

  • Public Filings means the reports, schedules, forms, statements and other documents filed by the Company or Bezeq with the SEC or the ISA, as applicable, and publically available at least two (2) Business Days prior to the date of this Agreement.

  • Risk Disclosure Statement means the document setting out general information in respect of the risks associated with utilising our financial products;

  • Sellers Disclosure Schedule means the disclosure schedule delivered by the Sellers to the Purchaser on the date hereof.

  • Buyer has the meaning set forth in the preamble.

  • Disclosure Record means the Company’s prospectuses, annual reports, annual and interim financial statements, annual information forms, business acquisition reports, management discussion and analysis of financial condition and results of operations, information circulars, material change reports, press releases and all other information or documents required to be filed or furnished by the Company under Applicable Securities Laws which have been publicly filed or otherwise publicly disseminated by the Company;

  • Seller Entities means the Seller and its affiliates other than the Buyer Entities;

  • Parent Reports has the meaning set forth in Section 4.5(a).

  • Company Disclosure Documents is defined in Section 3.4(g) of the Agreement.

  • Purchaser Disclosure Letter means the Purchaser Disclosure Letter attached hereto, dated as of the date hereof, delivered by Purchaser in connection with this Agreement.

  • SEC Filings has the meaning set forth in Section 4.6.

  • Seller’s Broker means CB Xxxxxxx Xxxxx.

  • Purchaser’s Solicitors means Xxxxx & XxXxxxxx of 000 Xxx Xxxxxx Xxxxxx, Xxxxxx XX0X 0XX;

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • Seller has the meaning set forth in the Preamble.

  • Purchaser Disclosure Schedule means the disclosure schedule of Purchaser delivered to Seller in connection with the execution and delivery of this Agreement.

  • Selling Parties shall have the meaning specified in the preamble.

  • Central KYC Records Registry (CKYCR) means an entity defined under Rule 2(1) of the Rules, to receive, store, safeguard and retrieve the KYC records in digital form of a customer.

  • The Purchaser means the organization purchasing the Goods, as named in SCC.

  • Company SEC Reports shall have the meaning set forth in Section 3.8(a).
