Purchaser Stock Plans definition

Purchaser Stock Plans means the existing stock option and other stock-based compensation plans.

Purchaser Stock Plans means all employee and director equity incentive plans of Purchaser in effect as of the date of this Agreement and agreements for equity awards in respect of Purchaser Common Stock granted by Purchaser under the inducement grant exception. All of the issued and outstanding shares of Purchaser Common Stock have been duly authorized and validly issued and are fully paid, nonassessable and free of preemptive rights. There are no bonds, debentures, notes or other indebtedness that have the right to vote on any matters on which shareholders of Purchaser may vote. No trust preferred or subordinated debt securities of Purchaser are issued or outstanding. Other than Purchaser Equity Awards issued prior to the date of this Agreement, as of the date of this Agreement there are no outstanding subscriptions, options, warrants, puts, calls, rights, exchangeable or convertible securities or other commitments or agreements obligating Purchaser to issue, transfer, sell, purchase, redeem or otherwise acquire, any such securities. There are no voting trusts, shareholder agreements, proxies or other agreements in effect pursuant to which Purchaser or any of its Subsidiaries has a contractual obligation with respect to the voting or transfer of the Purchaser Common Stock or other equity interests of Purchaser. All grants of Purchaser Equity Awards were validly issued and properly approved by the Board of Directors of Purchaser (or a committee thereof) in accordance with the applicable Purchaser Stock Plan and applicable law, in each case in all material respects.

Except as set forth in Section 4.2(a) of the Purchaser Disclosure Schedule, no trust preferred or subordinated debt securities of Purchaser are issued or outstanding. Other than Purchaser Equity Awards issued prior to the date of this Agreement, as of the date of this Agreement there are no outstanding subscriptions, options, warrants, puts, calls, rights, exchangeable or convertible securities or other commitments or agreements obligating Purchaser to issue, transfer, sell, purchase, redeem or otherwise acquire, any such securities. There are no voting trusts, shareholder agreements, proxies or other agreements in effect with respect to the voting or transfer of the Purchaser Common Stock or other equity interests of Purchaser, other than the Voting Agreements. Other than the Purchaser Equity Awards, no equity-based awards (including any cash awards where the amount of payment is determined in whole or in part based on the price of any capital stock of Purchaser or any of its Subsidiaries) are outstanding.

Examples of Purchaser Stock Plans in a sentence

• All outstanding shares of Purchaser Common Stock, and all Purchaser Common Stock reserved for issuance under the Purchaser Stock Plans when issued in accordance with the respective terms of the Purchaser Stock Plans, are or will be duly authorized, validly issued, fully paid and non-assessable and not issued in violation of any preemptive rights, purchase option, call or right of first refusal rights.

• All Purchaser Share-Based Awards have been awarded under one or more plans sponsored by Purchaser under which options, restricted stock, and other stock-based awards are granted, and the award agreements thereunder (collectively, "Purchaser Stock Plans").

• Except pursuant to this Agreement and the Purchaser Stock Plans, Purchaser does not have and is not bound by any outstanding subscriptions, options, warrants, calls, commitments or agreements of any character calling for the purchase or issuance of any shares or Purchaser Common Stock or any other equity securities of Purchaser or any securities representing the right to purchase or otherwise receive any shares of Purchaser Common Stock.

• All of the issued and outstanding shares of Purchaser Common Stock have been, and all shares of Purchaser Common Stock that may be issued pursuant to the Purchaser Stock Plans will be, when issued in accordance with the terms thereof, duly authorized and validly issued and are, or will be, fully paid, nonassessable and free of preemptive rights, with no personal liability attaching to the ownership thereof.

• As of November 13, 2015, (i) 787,587 options to acquire shares of Purchaser Common Stock were outstanding pursuant to the Purchaser Stock Plans or otherwise and (ii) 1,211,647 restricted stock units of Purchaser Common Stock (of which 620,931 are time-vesting and 590,716 are performance-vesting) were outstanding pursuant to the Purchaser Stock Plans or otherwise.

Purchaser Stock Plans mean collectively the Purchaser’s 1992 Stock Option Plan, 1996 Supplement Option Plan, 1995 Director Option Plan and each other stock option, stock appreciation rights or other equity incentive plan maintained or assumed by the Purchaser or any Purchaser Subsidiary.

Purchaser Stock Plans means the UMB Financial Corporation 2002 Incentive Stock Option Plan, as amended and restated, the UMB Financial Corporation Long-Term Incentive Compensation Plan, as amended and restated and the UMB Financial Corporation Employee Stock Ownership Plan.

Purchaser Stock Plans has the meaning set forth in Section 5.9(a).

Purchaser Stock Plans means Purchaser’s 2004 Stock Option and Incentive Plan, 2004 Recognition and Retention Plan, 2008 Equity Incentive Plan, and 2018 Equity Incentive Plan.

Purchaser Stock Plans means the existing stock option and other stock-based compensation plans of Purchaser designated as follows: Xxxxxxx First National Corporation Executive Stock Incentive Plan - 2006, Xxxxxxx First National Corporation Outside Director Stock Incentive Plan - 2006, Xxxxxxx First National Corporation Executive Stock Incentive Plan - 2010, Xxxxxxx First National Corporation Outside Director Stock Incentive Plan - 2014 and Xxxxxxx First National Corporation 2015 Incentive Plan.
