Replacement Batch definition

Replacement Batch means either (a) an alternative Batch of Product that is already scheduled for Manufacture by Manufacturer, (b) a new Batch of Product that is not scheduled for Manufacture by Manufacturer in the calendar quarter in which the Notification Date falls provided [***], or (c) [***].
Replacement Batch has the meaning set forth in Section 4.11.
Replacement Batch means a Batch to be delivered to Acorda as a replacement for a Batch that has not been delivered to Acorda pursuant to a Purchase Order, rejection of a Batch pursuant to Sections 2.1(f) and 6.1 herein, or as a result of a failure to achieve Timely Delivery as set forth in Section 5.1 herein;

Examples of Replacement Batch in a sentence

  • In the event of the abandonment of the manufacture of any batch ("Abandoned Batch"), NORAC shall notify UNIMED of such abandonment and, at NORAC's option, (i) commence the manufacture of a new batch ("Replacement Batch"); or (ii) return to UNIMED all installments of the purchase price for the Abandoned Batch received prior to the date of abandonment.

  • The above fees will not be incurred if a Replacement Batch is ordered by Alnylam to replace the reserved slot pursuant to Section 4.10(a)(i).

  • If Genmab is unable to manufacture the Replacement Batch until the subsequent Production Year and the subsequent Production Year is [****]*, Genmab shall be obligated to manufacture the Replacement Batch.

  • Upon successful manufacture and Facet’s acceptance of such Replacement Batch as set forth in Section 3.4 of the Agreement, Facet shall pay Genmab the actual purchase price, less Facet’s payment of [****]* percent ([****]*) of the Preliminary Purchase Price, upon receipt of Genmab’s invoice as set forth in Section 7.2 of the Agreement.

  • If Genmab is unable to manufacture a Replacement Batch until the subsequent Production Year, Genmab shall be deemed to have waived the Extension Fee for such Batch.

  • Replacement Product means electric generating capacity, capacity-related benefits, environmental attributes, Energy or other electric products from a generation resource other than the Facility that are provided or delivered to replace or substitute for Contract Capacity or Storage Capacity (or any Capacity-Related Benefit, Environmental Attribute, Other Electric Product, Contract Energy, or Storage Energy associated therewith), in each case, in whole or in part, pursuant to Section 4.6.

  • Replacement Bank shall have the meaning provided in Section 1.13.
