Required Material definition

Required Material means virtual or physical devices, including software, desktop computer(s), laptop(s), tablet(s), mobile device(s), telecommunication device(s) and hardware product(s) capable of operating a wide variety of computer programs as well as internet connection(s) meeting the minimum requirements set forth in the Documentation and the STC in order to Use the Services.
Required Material means any permit, license, application, certification, design, specification, program, agreement, instrument, equipment, device, mechanism, or any other item in connection with the Generating Facility to be reviewed or approved by Anaheim or on Anaheim’s behalf, or requested or required of Seller by Anaheim or on Anaheim’s behalf, under this Agreement.
Required Material means any permit, license, application, certification, design, specification, program, agreement, instrument, equipment, device, mechanism, or any other item in connection with the Project to be reviewed or approved by SCE or on SCE’s behalf, or requested or required of Seller by SCE or on SCE’s behalf, under this Agreement.

Required Material means the Service's primary audio and video components and the following: underlying data, protocols and instructions necessary to deliver the Service and Signals to SONIFI, and to distribute, perform and exhibit the Service and Service programming via SONIFI platforms, closed captioning, Nielsen (or industry standard successor) ratings information, and all data or information that Network is required at any time by the Federal Communications Commission or its successor or by applicable law or regulation to provide and that is included in the vertical blanking interval (or its digital equivalent) or the audio or video subearriers of the Service.
Required Material means the Service's primary audio and video components and the following: underlying data, protocols and instructions necessary to deliver the Service and Signals to SONIFI, and to distribute, perform and exhibit the Service and Service programming via SONIFI platforms, closed captioning, Xxxxxxx (or industry standard successor) ratings information, and all data or information that Network is required at any time by the Federal Communications Commission or its successor or by applicable law or regulation to provide and that is included in the vertical blanking interval (or its digital equivalent) or the audio or video subearriers of the Service.
Required Material means, as of the applicable date, (a) all financial or statistical information about the Company and its Subsidiaries reasonably requested by Purchaser that would be required to be included or incorporated by reference in a registration statement filed by Purchaser under SEC Regulation S-X and SEC Regulation S-K under the Securities Act (excluding information required by Regulation S-X Rule 3-10, Regulation S-X Rule 3-16 and Item 402 of Regulation S-K), including audited and unaudited historical financial statements (which shall have been reviewed by the independent accountants for the Company as provided in the procedures specified by the Public Company Accounting Oversight Board in SAS 100/AU 722) with respect to a public or private offering of securities by Purchaser, (b) written consent of the Company and its independent accountants authorizing Purchaser to include such financial and statistical information in any document filed by Purchaser with the United States Securities and Exchange Commission (the “SEC”) and (c) such certifications with respect to any of the foregoing duly executed by an officer of the Company (in his/her capacity as an officer of the Company and not in an individual capacity) as may be reasonably requested by Purchaser or any Lender or underwriter in connection with Purchaser’s financing of the transactions contemplated by this Agreement.

Related to Required Material

  • Input Material means all documents, information, representations, statements and materials provided by Customer or a third party on behalf of Customer, relating to the Services, including computer programs, data, logos, reports and specifications and inventories.
