Resale Event definition

Resale Event means the Manufacture of the first Commercial Capsule by or on behalf of Corregidor or its Affiliates that is incorporated into, or that is, a Licensed Product and intended for sale by a Collaboration Partner.
Resale Event shall have the meaning set forth in Section 7.6(d)(i).
Resale Event means a transaction or series of transactions (including a merger, stock sale, asset sale or other structure) pursuant to which Keystone, Inc. and FW Strategic Partners L.P. and their Affiliates (and, in the case of Section 7.6(a)(y), such Apollo Entities and their Affiliates) collectively cease to own beneficially, directly or indirectly, a majority of the common equity or voting interests in the Purchaser (or, in the case of Section 7.6(a)(y), its successors) or Purchaser and its Affiliates (or, in the case of Section 7.6(a)(y), their successors) shall cease to own a majority of the common equity or voting interests in the Grove Companies or a majority of the assets of the Grove Operations.

  • Each of the Purchaser, the Manager and their respective affiliates covenant to never institute or participate in any administrative proceeding, suit or action, at law or in equity, against the Company, or any of its affiliates, in connection with any Future Resale Event to any Person or any Trust Activities.

More Definitions of Resale Event

Resale Event has the meaning set forth in Section 10(a)(ii) hereof. "Sale Price" means (i) if all issued and outstanding shares of Holdings Common Stock are sold or transferred in connection with any Resale Event, the Share Price obtained by Holdings or any Selling Designated Officer in connection with such Resale Event or (ii) if fewer than all issued and outstanding shares of Holdings Common Stock are sold or transferred in connection with any Resale Event, the highest Share Price received during the twelve-month period following any

Resale Event means any transaction or action (or a series of directly or indirectly related transactions or actions) resulting in any of the following within the Resale Event Period:

Related to Resale Event

  • Sale Event means (i) the sale of all or substantially all of the assets of the Company on a consolidated basis to an unrelated person or entity, (ii) a merger, reorganization or consolidation pursuant to which the holders of the Company’s outstanding voting power and outstanding stock immediately prior to such transaction do not own a majority of the outstanding voting power and outstanding stock or other equity interests of the resulting or successor entity (or its ultimate parent, if applicable) immediately upon completion of such transaction, (iii) the sale of all of the Stock of the Company to an unrelated person, entity or group thereof acting in concert, or (iv) any other transaction in which the owners of the Company’s outstanding voting power immediately prior to such transaction do not own at least a majority of the outstanding voting power of the Company or any successor entity immediately upon completion of the transaction other than as a result of the acquisition of securities directly from the Company.

  • Resale Restriction Termination Date shall have the meaning specified in Section 2.05(c).

  • Resale Period shall have the meaning assigned thereto in Section 2(a) hereof.

  • Exchange Event means with respect to any Global Registered Receipt:

  • Registration Event means the occurrence of any of the following events:

  • Qualifying Offering means a private offering of *****’s equity securities (or securities convertible into or exercisable for *****’s equity securities) for cash (or in satisfaction of debt issued for cash) having its final closing on or after the date of this Agreement and which includes investment by one or more venture capital, professional angel, corporate or other similar institutional investors other than Stanford. For the avoidance of doubt, if ***** is a limited liability company, then “equity securities” means limited liability company interests in *****.

  • Qualifying Transaction means a transaction where a CPC acquires Significant Assets, other than cash, by way of purchase, amalgamation, merger or arrangement with another Company or by other means.

  • Public event means any event that can be attended by the

  • Resale Registration Statement means a registration statement under the Securities Act registering the Securities for resale pursuant to the terms of the Registration Rights Agreement.

  • Public Offering means the sale in an underwritten public offering registered under the Securities Act of equity securities of the Company or a corporate successor to the Company.

  • Rule 415 Offering means an offering on a delayed or continuous basis pursuant to Rule 415 (or any successor rule to similar effect) promulgated under the Securities Act.

  • Qualifying Public Offering means a firm commitment underwritten public offering of Stock for cash where the shares of Stock registered under the Securities Act are listed on a national securities exchange.

  • Registration Date means the effective date of the first registration statement that is filed by the Company and declared effective pursuant to Section 12(g) of the Exchange Act, with respect to any class of the Company’s securities.

  • Subsequent Offering means any further issuance of Interests in any Series, excluding any Initial Offering or Transfer.

  • Share Exchange Event shall have the meaning specified in Section 14.07(a).

  • Offering Date means a date selected by the Board for an Offering to commence.

  • Shelf Filing Event shall have the meaning set forth in Section 2(c) hereof.

  • Registration Deadline means, for purposes of the Registration Statement required pursuant to Section 2(a)(i), the earlier of (i) the date that is seventy-five (75) days after the date that the applicable Registration Statement is actually filed or (ii) the date that is seventy-five (75) days after the applicable Filing Deadline and, with respect to any Registration Statement required pursuant to Section 2(a)(ii), the Additional Registration Deadline.

  • Shelf Offering has the meaning set forth in Section 1(d)(i).

  • Resale Price means the price at which Seller, acting in a commercially reasonable manner, sells or is paid for a Rejected Purchase, plus transaction and other administrative costs reasonably incurred by Seller in re-selling such Rejected Purchase; provided, however, that in no event shall Seller be required to utilize or change its utilization of the Facility or its other assets, contracts or market positions in order to minimize Buyer’s liability for such Rejected Purchase.

  • Change Event means any merger, de-merger, amalgamation, consolidation, reorganization, joint operation or service arrangement, corporate restructuring or any other business arrangement involving the DTH Operator or any change of control or change in the management or acquisition of majority stake or controlling stake of the DTH Operator or acquisition by the DTH Operator of a majority stake or a controlling stake in any other entity or selling the whole or a substantial portion of the DTH Operator’s assets and/ or purchasing the whole or a substantial portion of the assets of another entity.

  • Resale Shelf Registration Statement shall have the meaning given in subsection 2.3.1.

  • Applicable Securities Law means (i) with respect to any offering of securities in the United States, or any other act or omission within that jurisdiction, the securities law of the United States, including the Exchange Act and the Securities Act, and any applicable securities law of any state of the United States, and (ii) with respect to any offering of securities in any jurisdiction other than the United States, or any related act or omission in that jurisdiction, the applicable securities laws of that jurisdiction.

  • Shelf Offering Notice has the meaning set forth in Section 2(d)(ii).

  • Purchase and Sale Termination Event has the meaning set forth in Section 8.1 of the Sale Agreement.
