Research Plan Term definition

Research Plan Term means the term of any Research Plan in respect of a particular Selected Target, which shall commence on the date that the Parties agree that activities thereunder shall begin and shall not exceed [***] after commencement of such activities, unless otherwise agreed in writing or which is extended pursuant to Section 4.5.
Research Plan Term means, subject to Section 2.2(b), the Initial Research Plan Term, together with if applicable, the Research Tail Period.

Examples of Research Plan Term in a sentence

  • Except as otherwise provided in this Agreement or mutually agreed in writing by the Parties, neither Party shall be required to perform any activities or incur any costs, fees or expenses under any Research Plan in excess of the relevant Research Budget or for longer than the Research Plan Term.

  • In addition, each Party will designate one (1) of its representatives as its Research Plan Team Leader, it being understood that either Party may appoint an alternative Research Plan Team Leader at any time during the Research Plan Term upon prior written notice to the other Party.

  • On completion of all of the activities in respect of the relevant Research Plan, or if the Research Plan Term in respect of a particular Licensed Target has expired, Silence shall notify the JSC of such, and shall provide the Research Plan Data Package to the JSC for review.

  • The Research Plan Term in respect of a Substitute Target shall not be reduced by any period of time spent on Research for the corresponding replaced Selected Target (whether or not the corresponding Research Budget is re-set pursuant to Section 4.3.3(a)) and shall be fully re-set in all cases, unless otherwise agreed by the Parties in writing.

  • In respect of any Research Plan, Silence shall not be required to perform any activities or incur any costs, fees or expenses which (i) were not included in the applicable Research Budget, or (ii) arise after the expiry of the applicable Research Plan Term.

  • During the Research Plan Term, in addition to meetings of the JSC and JDC, at least one individual from each Party who is involved in the conduct of the Research Plan shall meet as mutually agreed by the Parties, but in no event less than [***] (each an “R&D Meeting”), to facilitate and promote the exchange of information between the Parties with respect to the conduct of the Research Plan.

  • Following approval of each Research Plan as set forth in Section 3.2, with respect to each Research Plan, MeiraGTx will use Commercially Reasonable Efforts to perform (itself or through its Affiliates or subject to Section 4.4, permitted subcontractors) the Research Plan Activities associated with such Research Plan in accordance with the applicable Research Plan (including the timelines set forth therein) for the duration of the Research Plan Term.

  • During the applicable Research Plan Term or as otherwise mutually agreed by the Parties, MeiraGTx will conduct Research on each such Research IRD Target, subject to the terms and conditions herein.

  • During the applicable Research Plan Term, and in accordance with the terms and conditions of this Agreement, MeiraGTx will conduct Research on each Research IRD Target and design, synthesize, test and optimize Research IRD Products designed to treat the Research IRD Target Indication associated with such Research IRD Target in accordance with the applicable Research Plan and Janssen’s feedback, with the aim of achieving IND Submission for each of the Research IRD Products.

  • During the applicable Research Plan Term, Janssen and the JRC and JSC will assess the results provided in each Interim Report provided under a Research Plan, and the JSC will review and determine whether the Advancement Criteria for the respective Research IRD Product have been met.

Related to Research Plan Term

  • Research Plan shall have the meaning set forth in Section 2.1.

  • Research Program Term has the meaning set forth in Section 2.2.

  • Research Program has the meaning set forth in Section 3.1.

  • Annual Work Plan and Budget means the work plan and budget approved by the Bank and adopted by the Borrower in accordance with the provisions of Section I.C of Schedule 2 of this Agreement, as said work plan and budget may be modified from time to time with the written agreement of the Bank.

  • Collaboration Term has the meaning set forth in Section 2.1(h).

  • Research Budget has the meaning set forth in Section 2.2.

  • Research Term has the meaning set forth in Section 3.2.

  • Research Project means a discrete scientific endeavor to answer a research question or a set of research questions related to medical marijuana and is required for a medical marijuana research license.

  • Development Plan has the meaning set forth in Section 3.2.

  • Research Period means the research period as described in the Commissioned Research Plan. In accordance with the provisions of this Agreement, in the event that the Agreement ended prior to the completion date of the research originally set, the date the Agreement ends shall be read as the research period.

  • Development Budget has the meaning set forth in Section 3.1.

  • Commercialization Plan has the meaning set forth in Section 6.2.

  • Development Program means the implementation of the development plan.

  • Development Term means the period commencing on the Closing Date and ending on the earlier of (a) the Option Closing Date or (b) the date the Option terminates or expires other than by exercise.

  • Development Period means the period from the date of this Agreement until the Appointed Date;

  • Development Activities means those activities which are normally undertaken for the development, construction, repair, renovation, rehabilitation or conversion of buildings for residential purposes, including the acquisition of property;

  • Development Phase means the period before a vehicle type is type approved.

  • Development Work means any work carried out in relation to the physical construction of a mine;

  • Work Plan means a plan that describes each individual activity to be conducted to complete eligible activities and the associated costs of each individual activity.

  • Collaboration Target means the Initial Collaboration Targets set forth on Exhibit F and any Additional Target or Substitute Target that is selected in accordance with Section 3.3 of this Agreement.

  • Development Costs means costs incurred to obtain access to reserves and to provide facilities for extracting, treating, gathering and storing the oil and gas from reserves. More specifically, development costs, including applicable operating costs of support equipment and facilities and other costs of development activities, are costs incurred to:

  • Joint Commercialization Committee or “JCC” has the meaning set forth in Section 3.4 (Joint Commercialization Committee).

  • Commercialization Costs means the out-of-pocket costs and expenses incurred by Adapt or its Affiliates directly attributable to, or reasonably allocable to, the Commercialization of a Product. Commercialization Costs for a Product shall include, preparation of promotional, advertising, communication, medical, and educational materials relating to the Product and other Product literature and selling materials, activities directed to marketing of the Product, including purchase of market data, development and conduct of market research, advertising, public relations, public affairs and other communications with Third Parties regarding the Product; development and conduct of sales force training (including materials, programs and travel to and attendance at training programs) for medical representatives responsible for promoting the Product; and development and maintenance of sales bulletins, call reporting and other monitoring/tracking, sales force targeting, validation and alignment programs and documentation.

  • Project Term the period from the Operation Commencement Date to the Expiry Date or the Termination Date, whichever occurs first, which is further described in Clause 3;

  • Development Candidate means a Compound that meets the Development Candidate Criteria for the initiation of a Development Program for the treatment of CF, and which is the subject of a notice from Vertex to CFFT that Vertex intends to commence formal pre-clinical development of the Compound in the Field pursuant to the provisions of Section 3.1 hereof.

  • Development Cost means the total of all costs incurred in the completion of a Development excluding Developer Fee, operating deficit reserves, and total land cost as typically shown in the Development Cost line item on the development cost pro forma.
