Restricted Names definition

Restricted Names is defined in Section 2.1(i).

Restricted Names means the names set forth on Schedule 1.1(h) or any derivative or variation thereof, and any Trademarks associated with any such name.

Restricted Names is defined in Section 2.1(j).

Examples of Restricted Names in a sentence

• Any use of the Restricted Names by Seller as permitted in this Section 9.03 is subject to its use of each Restricted Name in the same form and manner as, to the same extent as (without an increase in extent or type of uses of each Restricted Name) and subject to the same standards of quality that are in effect for each Restricted Name as of the Closing Date.

• Seller agrees that from and after the Closing, Seller shall not have any right, title, interest, license or other right whatsoever in the Restricted Names.

Restricted Names means the names set forth in Section 1.1(f) of the Seller Disclosure Schedule.

Restricted Names has the meaning ascribed thereto in Section 6.10. “Restricted Person” has the meaning ascribed thereto in Section 6.12(a). “Retention Bonus Agreements” means those retention bonus letter agreements, dated December 29, 2017, by and between Seller, Parent and each of the Retention Bonus Holders. “Retention Bonus Amounts” means the aggregate amounts payable to the Retention Bonus Holders under and pursuant to the Retention Bonus Agreements. “Retention Bonus Holders” has the meaning ascribed thereto in Section 6.05(c). “Section 336 Elections” has the meaning ascribed thereto in Section 6.04(e). “Section 336 Forms” means all returns, documents, statements, and other forms that are required to be submitted to any federal, state, local or foreign Tax Authority in connection with a Section 336 Election (including, without limitation, any “statement of section 336 election” and IRS Form 8023, together with any schedules or attachments thereto, that are required pursuant to Treasury Regulations under Code Section 336(e), as applicable). “Securities Act” means the Securities Act of 1933, as amended. “Seller” has the meaning ascribed thereto in the Preamble. “Seller 401(k) Plan” has the meaning ascribed thereto in Section 4.20(c). “Seller Group” has the meaning ascribed thereto in Section 9.15. “Seller Indemnified Party” has the meaning ascribed thereto in Section 8.03. “Seller’s Knowledge” means, when referring to the “knowledge” of Seller or the Company, or any similar phrase or qualification based on knowledge of Seller or the Company, the present, actual knowledge of any of Xxxxx Xxxx, Xxxxx Xxxxxxxxxxxx and/or Xxxx Xxxxxxx, after reasonable inquiry of their direct reports. “Solvent” means, with respect to any Person, that: (a) the assets of such Person, at a present fair saleable valuation, exceeds the sum of its debts (including contingent and unliquidated debts); (b) the present fair saleable value of the assets of such Person exceeds the 10

Restricted Names means “IntelliCentrics”, “IntelliCentrics Global”, “Intellicentrics, Vendor Credentialing Solutions”, “Intellicentrics Vendor Credentialing”, “Intellicentrics Credentialing”, “Vendor Credentialing Solutions”, “Vendor Credentialing”, “Sec3ure”, “Sec³ure Ethos”, “Sec3ure Passport”, “REPTRAX”, “REPTRAX Vendor Solutions”, “REPTRAX Vendor Credentialing Solutions”, “STATUS-BLUE”, “VENDORCLEAR” and “XRAYTRAX”, other than the Shared Trademark.
