Retained Software definition

Retained Software means all Software owned or licensed by Parent or any other member of the Parent Group primarily used or primarily held for use in the Retained Business.
Retained Software means low level algorithm code for motion correction and organ segmentation provided to Philips by Licensee under this Agreement, including all Intellectual Property therein and all Object Code and Executable Code. For the avoidance of doubt, Retained Software and the license to Retained Software herein will not include Source Code.
Retained Software. Shall have the meaning set forth in SECTION 14(b).

  • Superior hereby grants to FMN, subject to (i) FMN's purchase obligation under Section 4 below, and (ii) Superior's Unrestricted Rights, a nontransferrable option to purchase the Software Rights (which purchase shall be subject to the retention by Superior of Superior's Retained Software Rights).

  • With effect from the Transfer Date, the parties will cooperate and each use their respective reasonable endeavours to procure that the Purchaser shall be licensed to use the Software licensed under such of the Retained Software Licences that it wishes on terms for its own use acceptable to the Purchaser and the relevant licensor.

Retained Software means all computer software, computer programs (including any and all software implementation of algorithms, models and methodologies whether in Source Code or Object Code), including applications (including applets and mobile apps), assemblers, compilers, interfaces, utilities, diagnostics and embedded software, tools, firmware, databases, computations, program files, program and system logic, program modules, routines, and sub-routines, each of the foregoing in any form or format, including all past, present or in development versions thereof, and in each case to the extent developed, in development, or otherwise used by the Vendor Group in connection with the Retained Business;
Retained Software means all Licensed Business Software that is not subject to a Purchased Software License and all other Software of Seller or its Affiliates, whether owned or licensed.

Retained Software has the meaning set forth in Section 5.11(b).
Retained Software means all right, title and interest in (i) any software, including fragments or modules thereof, that is used by Seller primarily outside the NPB, and (ii) general purpose standalone software components (e.g., not data networking) that are used by Seller both within and outside the NPB (e.g., compilers, run-time systems and libraries).
Retained Software means the software or firmware, in source code and executable (binary) code forms that is incorporated into the Qualified Products, as the Qualified Products were distributed or otherwise made commercially available by Seller prior to the Closing Date.
