Within five (5) Business Days of receipt of such schedule and copies of any releases required to be delivered by the applicable employees pursuant to the Retention Bonus Letter Agreements (in form and substance reasonably satisfactory to Seller), Seller shall pay the Retention Bonus Amount to the Company by wire transfer of immediately available funds to an account specified in writing by the Company to Seller prior to such payment.
Following the final earning date for such retention bonuses as set forth in the Retention Bonus Agreements, any portion of the Retention Bonus Amount (exclusive of Employer Payroll Taxes), which is not earned by participants pursuant to such Retention Bonus Agreements shall be paid by Buyer to Seller within ten (10) days of such final earning date.
Subject to receipt by the Company of the Retention Bonus Amount from Seller in accordance with the immediately preceding sentence, the Company shall, and Purchaser shall cause the Company to, timely pay the Retention Bonuses that are required to be paid by the Company to the employees of the Company under the Retention Bonus Letter Agreements.
