Cash Retention Bonus. You will be eligible to receive a special cash retention bonus (your “Cash Retention Bonus”) equal to the amount set forth in the Schedule. You will receive your Cash Retention Bonus on the timeline outlined in the Schedule only if you are an employee of the Company on the applicable date of payment. Additionally, you shall receive your remaining Cash Retention Bonus payments if you are involuntarily terminated by the Company without “Cause” (as defined in the Schedule). You shall not receive any portion of your Cash Retention Bonus if you cease to be an employee of the Company prior to the applicable payment date if the Company terminates your employment for Cause or if your employment terminates as a result of your voluntary resignation for any reason.

Cash Retention Bonus. You will be eligible to receive a Cash Retention Bonus in the aggregate amount of $375,000.00, which will vest and be paid to you in three equal annual installments on December 15, 2021, December 15, 2022, and December 15, 2023, subject to your continued employment with the Company or a subsidiary through each such vesting date. Each vested installment of your Cash Retention Bonus will be paid on the first regularly scheduled payday following the applicable vesting date, less all applicable federal, state and local taxes. Except as otherwise provided in Section 3(b) below, upon your termination of employment with the Company and its subsidiaries for any reason, you will immediately forfeit your right to receive any Cash Retention Bonus installment payments that are unvested as of your termination date.
Cash Retention Bonus. Subject to the terms and conditions of this Agreement, the Employee is hereby awarded a cash retention bonus of $187,500.00 (the “Cash Bonus”), payable in installments on the following dates: (a) a first installment of 10% of the Cash Bonus shall be paid on the first payroll date occurring after the day that the Employee executes this Agreement and returns it to the Company; (b) a second installment of 15% of the Cash Bonus shall be paid on the first payroll date occurring after July 30, 2007; and (c) the final installment of the balance of the Cash Bonus shall be paid on the first payroll date occurring after the first anniversary of the Effective Date. In order to receive an unpaid installment of the Cash Bonus, the Employee must remain an employee of the Company or a subsidiary or affiliate of the Company continuously from the Effective Date through the payment date; provided, however, that in the event of the termination of the Employee’s employment by the Company prior to the payment of the final installment of the Cash Bonus other than (i) for Cause or (ii) by reason of the Employee’s disability (as determined under the Company’s long-term disability plan as in effect from time to time), then, as soon as practicable following the date of such termination and subject to the Employee executing, delivering, and not-revoking, a release of claims in a form to be provided to the Employee by the Company at the time of termination, the Employee shall be paid all unpaid installments of the Cash Bonus. Upon any other termination of the Employee’s employment, the Employee shall forfeit any right to receive all unpaid installments of the Cash Bonus.
Cash Retention Bonus. The Cash Retention Bonus will be in the gross amount of $37,500 and will be paid as soon as administratively practicable (not more than 30 days) after the Closing.

Cash Retention Bonus. In accordance with the terms and conditions of The Tempur-Pedic International Inc. Severance and Retention Plan (the “Retention Plan”), the Company shall pay Employee a Cash Retention Bonus in the amount of One Million Five Hundred Thousand Dollars ($1,500,000), pursuant to the vesting schedule below, if Employee remains employed by the Company through the conclusion of the twelve (12) month period commencing on the closing date of the Sealy Transaction (the “Retention Period”) while fulfilling all obligations set forth in this Agreement. One Hundred percent (100%) of this Cash Retention Bonus shall be earned upon Employee’s satisfactory completion of twelve (12) months of employment hereunder. The total amount of this Cash Retention Bonus shall not exceed $1,500,000. The Cash Retention Bonus will be paid in a single lump sum within 30 days following the end of the Retention Period. Except as otherwise provided in this paragraph, the Cash Retention Bonus will be subject to all of the requirements of the Retention Plan.

In all other respects, the Agreement shall remain in effect.
