Rollover Documents definition

Rollover Documents means the Exchange and Rollover Agreement dated as of April 30, 2009 by and among the Company, MHR and the Senior Management.
Rollover Documents means, collectively, (A) this Agreement, (B) the Definitive Documents (as defined below), (C) the Accredited Investor Questionnaire attached hereto as Exhibit A (an “Accredited Investor Questionnaire”), (D) if applicable, the Consent of Spouse attached hereto as Exhibit B (the “Consent of Spouse”), and (E) any other document that may be entered pursuant to this Agreement.
Rollover Documents means the definitive documents pursuant to which the Buyer agrees with any Seller to issue Rollover Securities.

  • The Issuers party thereto have all requisite corporate or limited liability company power and authority to enter into this Waiver and Consent and to enter into and issue the First Amended Notes and the Waiver Warrants, and upon the Effective Time, enter into the Rollover Documents and enter into and issue the Second Amended Notes and the MHR Warrants and to carry out the transactions contemplated thereby, and perform their respective obligations thereunder.

More Definitions of Rollover Documents

Rollover Documents has the meaning specified in Section 1.1(a).
Rollover Documents means such documents in a form prepared by IHC and approved by Tasheel (such approval not to be unreasonably withheld, conditioned or delayed) as are required to give effect to the steps set out in Clause 8.1(c), including but not limited to a share purchase agreement relating to the sale and purchase of the Tasheel Shares;
Rollover Documents means (a) that certain Stock Purchase and Exchange Agreement entered into by and among the Management Shareholders and Parent and (b) the LLC Agreement entered into by and among the Management Shareholders, Parent and the other equityholders of Parent and the other agreements referred to therein.

  • Buyer Documents has the meaning set forth in Section 5.2.

  • Seller Documents has the meaning set forth in Section 3.2.

  • Merger Documents shall have the meaning assigned to it in Section 2.6 hereof.

  • Purchaser Documents has the meaning set forth in Section 6.2.

  • Transfer Documents shall have the meaning set forth in Section 2.1(b).

  • Tender Documents means the General and special conditions of contract (2.1.8) and tender specification (2.1.9).

  • Borrower Documents shall have the meaning set forth in Section 6.06.

  • Investment Documents means, collectively, the Loan Documents and the Warrants.

  • Acquisition Agreements has the meaning specified in the Recitals.

  • Rollover Date means the date of commencement of a new Interest Period applicable to a Loan and which shall be a Banking Day.

  • Specified Documents means, with respect to any Property File, each document listed in the definition of “Property File”.

  • Rollover Loan means one or more Loans:

  • Guarantor Documents means this Guaranty and all other certificates, documents, agreements and instruments delivered to any Guaranteed Party under or in connection with this Guaranty and the Loan Documents.

  • Noteholder Documents means (a) the Indenture, the Notes and the Noteholder Collateral Documents and (b) any other related document or instrument executed and delivered pursuant to any Noteholder Document described in clause (a) above evidencing or governing any Obligations thereunder.

  • Tender Document means the Document provided by a Purchaser to a Tenderer as a basis for preparation of its Tender;

  • Rollover means the renewal of all or any part of any LIBOR Rate Loan upon the expiration of the Interest Period with respect thereto, pursuant to Section 2.3.

  • Equity Documents means collectively the documents evidencing subscription to Equity to the extent of equity component of cost of the Project.

  • Related Agreements means the Deeds, each Assignment and Assumption of Lease, the Xxxx of Sale, the Assignment and Assumption Agreement, the Asset Demarcation Agreement, the Easements, the Interconnection Agreements, the Transition Services Agreement, the Release of Mortgage Indenture, the Guaranties, the Escrow Agreement and the other agreements, certificates and documents to be delivered pursuant to this Agreement.

  • Equity Contribution Agreement means the Equity Contribution Agreement, to be dated as of the Closing Date, by and among Guarantor, Borrower and Administrative Agent.

  • Ancillary Agreements means all agreements, certificates and other instruments delivered or given pursuant to this Agreement.

  • Required Documents means those documents identified in Section 2(I) of the Custodial Agreement.

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:
