Sales Royalty definition
Sales Royalty shall have the meaning assigned to such term in Paragraph 9.1 hereof.
Sales Royalty means, with respect to any Blood Screening Assay or Clinical Diagnostic Assay, the following royalty:
1.52.1 With respect to each Future Blood Screening Assay or Exclusive Future Clinical Diagnostic Assay for which Gen-Probe is the sole funding party under Section 3.2.3(b) or Section 4.2.1(b), below, the royalty set forth in such section. ***Certain information on this page has been omitted and filed separately with the Commission. 1.52.2 Except as set forth in Section 1.52.4 below, with respect to the Exclusive Future Clinical Diagnostic Assays, the applicable percentage set forth below of the Net Sales of all Exclusive Future Clinical Diagnostic Assays:
Sales Royalty. Seven percent (7%) of the Net Sales of Products. 20. Sell Through Period: The ninety- (90) day period immediately following the expiration or termination of this Agreement.

In the event of termination in accordance with Article 14 above, Licensee shall pay to Licensor, the Sales Royalty then owed to it pursuant to this Agreement or otherwise.
Such sales shall be made subject to all of the provisions of this Agreement and to an accounting for and the payment of Sales Royalty thereon.
No Sales Royalty shall be payable to Licensor with respect to any such inventory purchased by Licensor.
If either party elects to terminate this Agreement under this paragraph, Licensee shall have no further obligations for the Guaranteed Minimum Royalty beyond the date of termination (which shall be prorated if less than an Annual Period is involved) and shall be obligated to pay any Sales Royalty which is then due or becomes due.
Licensee shall deliver to Licensor at the time each Sales Royalty payment is due, a reasonably detailed report signed by a duly authorized officer of Licensee indicating by quarter the Net Sales and a computation of the amount of Sales Royalty payable hereunder for said period.

Sales Royalty. The “Sales Royalty” is equal to [———-]8 of Net Sales. The Sales Royalty due Licensor for an Annual Period shall, in no case, be less than the Minimum Annual Royalty specified below for that Annual Period.

Sales Royalty means a running royalty equal to a percentage of NET SALES for LICENSED PRODUCTS SOLD by LICENSEE or SUBLICENSEE.
