Sanctions Event definition

Sanctions Event means the event specified in Section 6.21(c).

Sanctions Event means the events listed in condition 25.1.

Sanctions Event means any event or activity which results in or could result in any of the Contracted Party, any member of its management bodies or other governing bodies or any of its shareholders, being or becoming a Sanctioned Person.

• As such, the amount due to Noteholders following a Sanctions Event End Date may be reduced by any negative interest.

• Neither the Trustee nor the Calculation Agent shall not have any obligation, responsibility or liability for giving or not giving any notice thereof to the Issuer or any Secured Creditor or be liable for any loss occasioned by the occurrence of a Sanctions Event.

• If the Company and/or its Controlled Entities shall undertake any actions to remedy any such Noteholder Sanctions Event, the Company shall keep the holders reasonably and timely informed of such actions and the results thereof.

• The suspension shall end, and the parties shall resume performance of their obligations as soon as reasonably and lawfully practicable following cessation of the Sanctions Event; and (iii) the other party may, at any time during which the Sanctions Event is continuing, terminate the Agreement by notice to the party to whom the Sanctions Event applies.

• No party shall be liable for non- performance of any of its obligations during the period of suspension, provided that the party to whom the Sanctions Event applies shall continue to use all reasonable efforts to resolve, and shall keep the other party informed of developments with respect to, the Sanctions Event.

More Definitions of Sanctions Event

Sanctions Event has the meaning set forth in Section 7.01(43).

Sanctions Event means the event specified in Section 9.17(c).

Sanctions Event means (a) the Issuer becomes a Sanctioned Person; (b) any Consenting Bondholder becomes a Sanctioned Person; or (c) being a party to the Agreement or performance or exercise of any obligations or rights hereunder would constitute a breach of Sanctions or would require a license or authorization under any Sanctions, unless the relevant license(s) and authorization(s) have been obtained from the relevant Sanctions Authority.

Sanctions Event has the meaning set out in Clause 24.4.

Sanctions Event has the meaning set forth in Section 7.01(43). “ Sanctions Laws ” means any economic, trade or financial sanctions or trade embargoes imposed, administered or enforced from time to time under laws and executive orders of the Canadian government (including without limitation including under the Special Xxxxxxxx Xxxxxxxx Xxx (Xxxxxx), the United Nations Act (Canada), the Freezing Assets of Corrupt Foreign Officials Act (Canada), the Justice for Victims of Corrupt Foreign Officials Act (Xxxxxx Xxxxxxxxx Law) and the Criminal Code (Canada) and, in each case, the regulations promulgated thereunder), the United States government, or any other relevant sanctions authority. “ Senior Administrative Agent ” means Canadian Imperial Bank of Commerce in its capacity as “Agent” under the Senior Credit Agreement. “ Senior Collateral Agent ” means Canadian Imperial Bank of Commerce in its capacity as “Collateral Agent” under the Senior Security Documents and the Intercreditor Agreement, or such Person from time to time appointed as collateral agent in accordance with the terms of the Intercreditor Agreement.
