Satisfactory Search Results definition

Satisfactory Search Results means the results of credit history check, litigation, lien, bankruptcy, judgment and other similar searches with respect to the applicable transferee and its applicable Affiliates, in each case, (i) revealing no matters which would have a Material Adverse Effect; and (ii) demonstrating that any transferee is not an Embargoed Person.
Satisfactory Search Results means, with respect to any Person, review and approval of Lender’s customary anti-financial crime and “Know Your Customer” searches and procedures and satisfactory credit history check, litigation, judgment, and other related searches that indicate that there are no pending litigation, pending proceedings, outstanding judgments or violation of any Anti-Money Laundering Laws against such Person and provide confirmation that such Person is not on any Government List.
Satisfactory Search Results means the results of Lender’s customary “know your customer”, credit history check, litigation, lien, bankruptcy, judgment and other similar searches with respect to the applicable transferee and its applicable affiliates that control the applicable transferee and/or have a twenty percent (20%) or greater direct or indirect interest in such transferee, in each case, (i) revealing no matters which would have a Material Adverse Effect and (ii) yielding results which are otherwise acceptable to Lender in its reasonable discretion. Borrower shall pay all of Lender’s out of pocket costs, fees and expenses in connection with the foregoing and, notwithstanding the foregoing, no such search results shall constitute “Satisfactory Search Results” until such costs, fees and expenses are paid in full.

Satisfactory Search Results means the results of Lender’s customary “know your customer”, credit history check, litigation, lien, bankruptcy, judgment and other similar searches with respect to the applicable transferee and its applicable affiliates, in each case, (i) revealing no matters which would have a Material Adverse Effect and (ii) yielding results which are otherwise acceptable to Lender in its reasonable discretion. Borrower shall pay all of Lender’s costs, fees and expenses in connection with the foregoing and, notwithstanding the forgoing, no such search results shall constitute “Satisfactory Search Results” until such costs, fees and expenses are paid in full.

Satisfactory Search Results means the results of Lender’s customary “know your customer”, credit history check, litigation, lien, OFAC, Patriot Act, anti-money laundering and other similar searches, bankruptcy and judgment searches with respect to the applicable transferee and its applicable affiliates that control the applicable transferee and/or have a twenty percent (20%) or greater (or, with respect to any Person not domiciled in the United States, ten percent (10%)) direct or indirect interest in such transferee, in each case, (i) revealing no matters which would have a Material Adverse Effect and (ii) yielding results which are otherwise acceptable to Lender in its reasonable discretion. Borrower shall pay all of Lender’s reasonable out of pocket costs, fees and expenses in connection with the foregoing.

Satisfactory Search Results means, with respect to any Person, Lender shall have received (a)(i) the name and identity of such Person, (ii) the social security number or employee identification number of such Person to the extent such Person is a U.S. citizen or resident or a copy of such Person’s passport to the extent such Person is a non-U.S. citizen, and (iii) such Person’s home address or principal place of business, and home or business telephone number, in each case, as reasonably required by Lender to the extent necessary to perform its then current “know your customer” compliance screening searches and diligence with respect to such Person, and (b) customary and satisfactory “know your customer” compliance screening searches of such Person, consisting of a search and evaluation of (x) OFAC sanctions and other government-required sanction lists, (y) negative news screening of such Person associated with material derogatory information that could reasonably result in anti-money laundering risk to Lender related to terrorist or other financial crimes, and (z) such customary statutes and other information reasonably required by Lender to confirm that such Person is not an Embargoed Person and does not violate any Anti-Money Laundering Laws.
