Satisfactory Search Results definition

Satisfactory Search Results means the results of credit history check, litigation, lien, bankruptcy, judgment and other similar searches with respect to the applicable transferee and its applicable Affiliates, in each case, (i) revealing no matters which would have a Material Adverse Effect; and (ii) demonstrating that any transferee is not an Embargoed Person.
Satisfactory Search Results means, with respect to any Person, review and approval of Lender’s customary anti-financial crime and “Know Your Customer” searches and procedures and satisfactory credit history check, litigation, judgment, and other related searches that indicate that there are no pending litigation, pending proceedings, outstanding judgments or violation of any Anti-Money Laundering Laws against such Person and provide confirmation that such Person is not on any Government List.
Satisfactory Search Results means the results of Lender’s customary “know your customer”, credit history check, litigation, lien, bankruptcy, judgment and other similar searches with respect to the applicable transferee and its applicable affiliates that control the applicable transferee and/or have a twenty percent (20%) or greater direct or indirect interest in such transferee, in each case, (i) revealing no matters which would have a Material Adverse Effect and (ii) yielding results which are otherwise acceptable to Lender in its reasonable discretion. Borrower shall pay all of Lender’s out of pocket costs, fees and expenses in connection with the foregoing and, notwithstanding the foregoing, no such search results shall constitute “Satisfactory Search Results” until such costs, fees and expenses are paid in full.

More Definitions of Satisfactory Search Results

Satisfactory Search Results means the results of Lender’s customary “know your customer”, credit history check, litigation, lien, bankruptcy, judgment and other similar searches with respect to the applicable transferee and its applicable affiliates, in each case, (i) revealing no matters which would have a Material Adverse Effect and (ii) yielding results which are otherwise acceptable to Lender in its reasonable discretion. Borrower shall pay all of Lender’s costs, fees and expenses in connection with the foregoing and, notwithstanding the forgoing, no such search results shall constitute “Satisfactory Search Results” until such costs, fees and expenses are paid in full.
Satisfactory Search Results means, with respect to any Person and any Senior Lender, (a) review and approval of such Senior Lender’s customary anti-financial crime and “know your customer” and other internal searches and procedures and satisfactory credit history check, litigation, judgment, and other related searches, with respect to such Person, any Control Person with respect to such Person and any Person with a ten percent (10%) or greater direct or indirect interest in such Person or such Control Person, each of which are satisfactory to such Senior Lender, and (b) confirmation satisfactory to such Senior Lender that such Person does not violate any Anti-Money Laundering Laws and is not on any Government List; provided that (a) a Subordinate Noteholder may only request in writing a Senior Lender’s determination with respect to Satisfactory Search Results as to any Person or multiple Persons that are then intended transferees of direct or indirect interests in the related B Note or Subordinate Noteholder, but a Subordinate Noteholder shall have the right to submit a written request to the Senior Lenders for a Senior Lender’s determination with respect to multiple such Persons at the same time, and (b) if a Senior Lender has not responded to a Subordinate Noteholder’s written request to such Senior Lender to approve such Person(s) and such Subordinate Noteholder’s delivery of the information and documentation requested by such Senior Lender in connection therewith within fifteen (15) days after the later of such request and such Subordinate Noteholder’s delivery to such Senior Lender of the information and documentation requested by such Senior Lender with respect to such Person(s), and thereafter (i) such Subordinate Noteholder makes a further request for approval and such Senior Lender does not respond to such request within five (5) days after such further request (or, if additional information or documentation is requested by such Senior Lender, within five (5) days after delivery of the requested information and documentation), and (ii) after the expiration of such initial five (5) day period referred to in the preceding clause (i), such Subordinate Noteholder makes a further request for approval and such Senior Lender does not respond to such request within five (5) days after such further request (or, if additional information or documentation is requested by such Senior Lender, within five (5) days after delivery of the requested information and documentation), then the re...
