SBC Group means SBCI and its Affiliates from time to time;

SBC Group means collectively, SBC, Wireless Guarantor and the SBC Affiliates whose names are set forth in the signature pages hereof and any SBC Affiliate which at any time becomes a "Sublessor" hereunder in accordance with the provisions hereof. Each member of the SBC Group is herein a "SBC Group Member". Solely for purposes of Section 39, the term "SBC Group" shall include each SBC Group Member, the affiliated group of corporations and each member thereof within the meaning of Code section 1504 of which any SBC Group Member is or shall become a member if such group shall have filed a consolidated return; if applicable, each member in any entity classified as a partnership for federal income tax purposes and such entity itself if and to the extent such entity is treated as the tax owner of any of the Sites or portions thereof or such entity is a direct or indirect partner in another entity classified as a partnership which is so treated (in either case, an "SBC Partnership"); and, if applicable, any entity owned by a SBC Group Member or an SBC Partnership that for federal income tax purposes is disregarded as an entity separate from its owner.

Examples of SBC Group in a sentence

  • In the event PSC reasonably desires to limit the scope of SBC's audit rights in order to protect confidential or proprietary information, the audit will be conducted by an independent third party auditor mutually acceptable to PSC and SBC who will verify PSC's charges to SBC for the relevant period without disclosing any Confidential Information of any member of the PSC Group to any member of the SBC Group or any other party.

  • PSC Parent agrees that it will cause each employee of each member of the PSC Group providing Services to any member of the SBC Group to execute a PSC Parent confidentiality agreement, which will require confidential treatment of nonpublic information of and about customers of members of the PSC Group (which shall include members of the SBC Group).

  • Any Tax indemnified under this Section 39(b) shall be paid directly when due to the applicable taxing authority if direct payment is permitted, or shall be reimbursed to the appropriate SBC Group Member on demand if paid by such member in accordance herewith.

  • Such verification shall be at TowerCo's expense unless the accounting firm determines that the amount payable by TowerCo is more than ten percent less than the amount shown on such written statement, in which event, the applicable SBC Group Member shall pay such costs.

  • TowerCo shall furnish promptly upon written request such data, records and documents as any SBC Group Member may reasonably require of TowerCo to enable such member to comply with requirements of any taxing jurisdiction arising out of such member's participation in the transactions contemplated by this Sublease and related documents.

  • Except as otherwise provided in this Section 39(b), all amounts payable to a SBC Group Member hereunder shall be paid promptly in immediately available funds, but in no event later than the later of (i) ten (10) Business Days after the date of such demand or (ii) two (2) Business Days before the date the Tax to which such amount payable hereunder relates is due or is to be paid and shall be accompanied by a written statement describing in reasonable detail the Tax and the computation of the amount payable.

  • All costs incurred under such agreements (but not including any costs for which any member of the SBC Group is entitled to be indemnified under Section 3.9(a) below) will be PSC Costs.

Related to SBC Group

  • HSBC Group means HSBC Holdings plc, its affiliates, subsidiaries, associated entities and any of their branches and offices (together or individually), and “member of the HSBC Group” has the same meaning.

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • Parent Group has the meaning set forth in Section 8.03(c).

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of Spinco immediately following the Contribution.

  • Affiliated Group means any affiliated group within the meaning of Code Section 1504(a) or any similar group defined under a similar provision of state, local or foreign law.

  • VAT Group means a group for the purposes of the VAT Grouping Legislation.

  • Promoter Group means such persons and entities constituting the promoter group as per Regulation 2(1)(pp) of the SEBI ICDR Regulations.

  • Target Group means the Target and its Subsidiaries.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Purchaser’s Group means the Purchaser and its Affiliates from time to time;

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • Group Companies means the Company and its Subsidiaries.

  • Retained Group means the Seller, its subsidiaries and subsidiary undertakings from time to time, any holding company of the Seller and all other subsidiaries or subsidiary undertakings of any such holding company (except members of the Group);

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • Target Companies means the Target and its Subsidiaries.

  • Corporate Group means the Corporation and its Subsidiaries treated as a single consolidated entity.
