Seller IT Systems definition

Seller IT Systems means all computer systems, programs, networks, hardware, software, software engines, database, operating systems, websites, website content and links and equipment used to process, store, maintain and operate data, information and functions owned, used or provided by Seller in the operation of the Business and/or the Transferred Assets.
Seller IT Systems means the computer software, firmware, middleware, data, databases, data communication lines, Internet-related information technology infrastructure, servers, systems, networks, workstations and all other information technology equipment owned, leased or licensed by any Seller Entity or the Acquired Entities and used by any Seller Entity or the Acquired Entities primarily in the conduct of the Business.
Seller IT Systems has the meaning set forth in Section 4.28(a) hereof.

  • Except as may otherwise be specifically contemplated by this Agreement, following the Closing, Seller shall not retain copies of any Software or other technology included in the Seller IP or Seller IT Systems included in the Purchased Assets, even if such Purchased Assets are such that more than one copy may exist.

Seller IT Systems means all information technology and computer systems (including software, information technology and telecommunication hardware and other equipment) relating to the transmission, storage, maintenance, organization, presentation, generation, processing or analysis of data and information whether or not in electronic format, used in or necessary to the conduct of the Business of Seller as conducted immediately prior to the Closing, including any information technology and computer systems used by Seller to make its e-commerce platform available to customers.
Seller IT Systems means the software and information technology systems used in the operation of a business, but excludes any software, content, documentation or technology included in or relating to the Products.
Seller IT Systems has the meaning set forth in Section 5.03(t)(iii).
Seller IT Systems means computer systems, programs, networks, hardware, software, databases, operating systems, Internet websites, website content and links and equipment used to process, store, maintain and operate data, information and functions which are owned by or licensed to the Seller and used in, intended to be used in, or held for use in connection with both the Business and other businesses of the Seller and its Affiliates, as set forth on Schedule 1.1(e) .
