Separate Facility definition

Separate Facility means a facility which does not constitute a new business facility, or a facility which is expanded by the enterprise. The expansion shall be considered a separate new business facility if the employer's investment in the expansion exceeds One Hundred Thousand Dollars ($100,000.00), or, if less, one hundred percent (100%) of the investment in the original facility prior to expansion, and if the number of new business facility employees engaged or maintained in employment at the expansion facility for the calendar year equals or exceeds five and the total number of employees at the facility after expansion is at least five greater than the total number of employees before expansion, and the expansion otherwise constitutes a new business facility.
Separate Facility has the meaning specified in Section 9.01(d).
Separate Facility means space within a Shared Space that is (or, as the context requires, is reasonably capable of) being managed as a single operational unit.

More Definitions of Separate Facility

Separate Facility has the meaning specified in Section 9.01(d). “Set-off Party” has the meaning specified in Section 9.15. “Share Collateral Trigger Event” means that, at any time, the aggregate Collateral Value of the Adjusted Initial Basket is less than 50% of the Reference Share Collateral Value. “Share Collateral Value” means, at any time, the aggregate Collateral Value of all Eligible Collateral consisting of Collateral Shares at such time. “Shares” means each of the TGP Shares and the TNK Shares. “SOFR” with respect to any day means the secured overnight financing rate published for such day by the Federal Reserve Bank of New York, as the administrator of the benchmark, (or a successor administrator) on the Federal Reserve Bank of New York’s Website. “Solvent” means, with respect to any Person, that at any time, both (a)(i) the sum of such Person’s liabilities (including contingent liabilities) does not exceed the present fair saleable value of such Person’s present assets; (ii) such Person’s capital is not unreasonably small in relation to its business as contemplated on the Closing Date; and (iii) such Person has not incurred and does not intend to incur, or believe (or reasonably believe) that it will incur, debts beyond its ability to pay such debts as they become due (whether at maturity or otherwise); and (b) such Person is “solvent” within the meaning given that term and similar terms under applicable laws relating to fraudulent transfers and conveyances. For purposes of this definition, the amount of any contingent liability at any time shall be computed as the amount that, in light of all of the facts and circumstances existing at such time, represents the amount that can reasonably be expected to become an actual or matured liability.
