Examples of Series 2012A Notes in a sentence
On July 26, 2018 and on each July 26 thereafter to and including July 26, 2024, the Company will prepay $8,500,000 principal amount (or such lesser principal amount as shall then be outstanding of the Series 2012-A Notes at par and without payment of the Yield-Maintenance Amount.
Payments of interest shall be made on the Series 2012-A Notes on January 26 and July 26 of each year, commencing on January 26, 2013.
All Series 2012A Notes need not be issued at the same time and such series may be reopened at any time, without the consent of any Holder, for issuances of additional Series 2012A Notes.
No Series 2012A Notes shall be authenticated and delivered in excess of the principal amount as so increased except as provided by Sections 203, 303, 304, 907 or 1107 of the Original Indenture.
No service charge will be made for any transfer or exchange of Series 2012A Notes, but payment will be required of a sum sufficient to cover any tax or other governmental charge that may be imposed in connection therewith.
The Indenture Trustee will execute the Series 2012-A Notes in accordance with Section 2.03 of the Indenture.
No consent, approval or authorization of, or registration, filing or declaration with, any Governmental Authority is required in connection with the execution, delivery or performance by the Company of this Agreement or the Series 2012A Notes.
The Indenture Trustee will deliver the Series 2012-A Notes to or upon the order of the Issuer when so authenticated.
The Series 2012A Notes may be issued in denominations of $1,000, or any integral multiple thereof.
If at the Closing the Company shall fail to tender such Series 2012-A Notes to any Purchaser as provided above in this Section 3, or any of the conditions specified in Section 4 shall not have been fulfilled to such Purchaser’s satisfaction, such Purchaser shall, at its election, be relieved of all further obligations under this Agreement, without thereby waiving any rights such Purchaser may have by reason of such failure or such nonfulfillment.
