Series 2012A Notes definition

Series 2012A Notes means the note of the Borrower evidencing its repayment obligation for the loan of the proceeds of the Series 2012A Bonds, in substantially the form attached hereto as Exhibit D.
Series 2012A Notes means the Issuer's Temporary Notes, Series 2012A, dated March 15, 2012.
Series 2012A Notes is defined in Section 1 of this Agreement.

Examples of Series 2012A Notes in a sentence

  • All Series 2012A Notes need not be issued at the same time and such series may be reopened at any time, without the consent of any Holder, for issuances of additional Series 2012A Notes.

  • No Series 2012A Notes shall be authenticated and delivered in excess of the principal amount as so increased except as provided by Sections 203, 303, 304, 907 or 1107 of the Original Indenture.

  • On each Payment Date, the Paying Agent will distribute to each Series 2012-A Noteholder of record on the related Record Date (other than as provided in Section 11.02 of the Indenture) such Series 2012-A Noteholder’s pro rata share of the amounts held by the Paying Agent that are allocated and available on such Payment Date to pay interest on the Series 2012-A Notes pursuant to this Indenture Supplement.

  • On July 26, 2018 and on each July 26 thereafter to and including July 26, 2024, the Company will prepay $8,500,000 principal amount (or such lesser principal amount as shall then be outstanding of the Series 2012-A Notes at par and without payment of the Yield-Maintenance Amount.

  • Subject to the terms and conditions of this Agreement, the Company will issue and sell to each Purchaser and each Purchaser will purchase from the Company, at the Closing provided for in Section 3, the Series 2012A Notes in the principal amount specified opposite such Purchaser’s name in Schedule A at the purchase price of 100% of the principal amount thereof.

  • The principal of and interest on the Series 2012A Notes shall be paid in such coin or currency of the United States of America as at the time of payment is legal tender for payment of public and private debts.

  • Contemporaneously with the Closing the Company shall sell to each other Purchaser and each other Purchaser shall purchase the Series 2012A Notes to be purchased by it at the Closing as specified in Schedule A.

  • The principal of the Series 2012A Notes shall be due at Stated Maturity (unless earlier redeemed).

  • In addition, the Series 2012-A Invested Amount will be reduced by amounts deposited into the Accumulation Account and payments of principal of the Series 2012-A Notes.

  • Except as provided in Section 11.02 of the Indenture with respect to a final distribution, distributions to Series 2012-A Noteholders hereunder will be made (i) by wire transfer of immediately available funds to an account designated by the Series 2012-A Noteholders and (ii) without presentation or surrender of any Series 2012-A Notes or the making of any notation thereon.
