Service Provider Software definition

Service Provider Software means the software and related documentation (a) owned, acquired or developed by Service Provider used in connection with providing the Services or (b) licensed or leased by Service Provider from a third party which is used in connection with providing the Services. The Service Provider Software includes the software set forth in Schedule F.
Service Provider Software means the proprietary software of the SERVICE PROVIDER as set out in an Order and incorporated within Schedule 2-2.
Service Provider Software means software which is proprietary to the Service Provider (or an Affiliate of the Service Provider) and which is or will be used by the Service Provider for the purposes of providing the Services.

  • The Parties agree that they will update this Schedule periodically to record any Service Provider Software or Third Party Software subsequently licensed by the Service Provider or third parties for the purposes of the delivery of the Services.

  • All Service Provider Software is, or shall be, and shall remain, the exclusive property of Service Provider or its third party licensor and Recipient shall have no rights or interests to the Service Provider Software.

  • Service Provider shall obtain any consents or approvals necessary in connection with Service Provider's use of the Service Provider Software to provide the Services to Recipient.

  • The Service Provider shall ensure that the Source Code in the Service Provider Software embedded in Deliverables (excluding any Third Party Materials which are instead subject always to the provisions of clause 25.10 and which may or may not be subject to escrow depending on the terms agreed with the third party vendor in question) together with any related Documentation, is deposited in escrow pursuant to the terms of the Escrow Agreement.

  • Service Provider Software shall use reputable, Tier 3 or Tier 4 data center providers.


More Definitions of Service Provider Software

Service Provider Software means software which is proprietary to the Service Provider, including software which is or will be used by the Service Provider for the purposes of providing the Services;
Service Provider Software means the Service Provider Proprietary Software and the Service Provider Third Party Software, collectively.

The base software may include tools used to develop control strategies (function blocks, standard control algorithms, rules, etc.), operator graphics (e.g., symbol libraries), and database entries; (ii) “application software”, which consists of the project-specific implementation of the Facility requirements using the objects and tools provided by the base software. The application software is specific to a particular Facility; and (iii) “third-party software”, which consists of that portion of the software which is developed and owned by a Third Party. Third-party software may include freeware.
Service Provider Software means the Service Provider Proprietary Software and the Third Party Software in respect of which the Service Provider is the licensee;
Service Provider Software means the software owned by the Service Provider and licensed to the Council under Clause 35 of this Contract and as set out in Schedule 9 herein (Communication Technology);
