Servicing Agents definition

Servicing Agents means, collectively, Paying Agent, Calculation Agent, Diligence Agent, Valuation Agent, and “Servicing Agent” shall mean any one of them.

Examples of Servicing Agents in a sentence

  • The fees payable under Section 1 of this Plan may be used to compensate (a) Servicing Agents for shareholder services provided, and related expenses incurred, with respect to Shares, by such Servicing Agents and (b) the Distributor for shareholder services provided, and related expenses incurred by it with respect to Shares, including payments made by the Distributor to compensate Servicing Agents for providing such shareholder services and incurring such related expenses.

  • Any officer of RIC is authorized to execute and deliver, in the name and on behalf of RIC, (a) written Service Agreements with Servicing Agents and (b) a written Service Agreement with the Distributor, each in a form duly approved from time to time by RIC’s Board.

  • The Shareholder Servicing Agent's appointment hereunder is not exclusive, and the Shareholder Servicing Agent shall not be entitled to notice of or a right to consent to the execution of a shareholder servicing agreement with any other person.

  • Shares of each Fund or Class thereof shall be offered and resold by Servicing Agents only at the public offering prices and under the terms set forth in the Prospectus relating to the Shares.

  • Any such Service Agreement with Servicing Agents and any such Service Agreement with the Distributor shall be in substantially the forms attached hereto as Appendix A and Appendix B, respectively, until modified by the Board.

  • So long as this Plan is in effect, the Distributor shall provide to RIC’s officers and Board, and the Board shall review at least quarterly, a written report of the amounts expended by it pursuant to this Plan, or by Servicing Agents pursuant to Service Agreements, and the purposes for which such expenditures were made.

  • A register or registers shall be kept at the principal office of the Trust or at an office of the Transfer Agent or any one or more Shareholder Servicing Agents which register or registers, taken together, shall contain the names and addresses of the Shareholders and the number of Shares held by them respectively and a record of all transfers thereof.

  • Any such Service Agreement with Servicing Agents and any such Service Agreement with the Distributor shall be in substantially the forms attached hereto as Appendix A-1, A-2, A-3,Appendix B and Appendix C, respectively, until modified by the Board.

  • The Secretary shall keep the minutes of all meetings of the Shareholders in proper books provided for that purpose; shall keep the minutes of all meetings of the Trustees; shall have custody of the seal of the Trust; and shall have charge of the Share transfer books, lists and records unless the same are in the charge of the Transfer Agent or one or more Shareholder Servicing Agents.

  • Institutional and Advisor Shares are not be subject to a sales load, but the Advisor Shares is subject to a fee payable pursuant to the Services Plan at an annual rate of .20% of the average daily net asset value of the Advisor Shares beneficially owned by or attributable to clients of Servicing Agents.

Related to Servicing Agents

  • Servicing Agent means, with respect to an eNote, the field entitled, “Servicing Agent” in the MERS eRegistry.

  • Master Servicer means the master servicer appointed as provided in the Lead Securitization Servicing Agreement.

  • Servicer means the Master Servicer or the Special Servicer, as the context may require.

  • Special Servicer means the applicable special servicer with respect to the Mortgage Loan appointed as provided in the Lead Securitization Servicing Agreement.

  • Note A-4 Master Servicer means the master servicer under the Note A-4 PSA.

  • Note A-3 Master Servicer means the master servicer under the Note A-3 PSA.

  • Note A-2 Master Servicer means the master servicer under the Note A-2 PSA.

  • Note A-1 Master Servicer means the master servicer under the Note A-1 PSA.

  • Non-Lead Master Servicer means the “master servicer” under any Non-Lead Securitization Servicing Agreement.

  • Lead Securitization Servicing Agreement means (i) the pooling and servicing agreement or other comparable agreement related to the Lead Securitization, and (ii) on and after the date on which the Mortgage Loan is no longer subject to the provisions of the Lead Securitization Servicing Agreement, the “Lead Securitization Servicing Agreement” shall be determined in accordance with the second paragraph of Section 2(a).

  • Servicing Agreement means such subsequent Servicing Agreement; provided, however, that until a replacement Servicing Agreement has been entered into (and such written confirmation has been obtained), the Note A-1 Holder shall cause the Mortgage Loan to be serviced pursuant to the provisions of the Servicing Agreement as if such agreement was still in full force and effect with respect to the Mortgage Loan; provided, further, however, that until a replacement Servicing Agreement is in place, the actual servicing of the Mortgage Loan may be performed by any Qualified Servicer appointed by the Note A-1 Holder and does not have to be performed by the service providers set forth under the Servicing Agreement that was previously in effect.

  • Depositor means Advisors Asset Management, Inc. and its successors in interest, or any successor depositor appointed as hereinafter provided."
