Shipper Group definition

Shipper Group means Shipper, the Shipper’s affiliates (including after acquired companies), any manager of Shipper and such manager’s affiliates and the officers, directors, employees, agents and invitees of each of the foregoing.

Shipper Group has the meaning given to it in Section 13.3.

Shipper Group has the meaning given such term in Section 16.3.

• The Parties agree that Carrier shall have the right, in its sole discretion, to set off against sums due by it under any loan, note or credit held by Initial Shipper or, with respect to Transportation Notes issued pursuant hereto, its designee the unpaid amount of any Equity Contributions with respect to which the Shareholder that is a Person in Initial Shipper’s Initial Shipper Group is in default.

• Gatherer represents and warrants that the Gas redelivered to Shipper shall be free and clear of all liens, encumbrances and claims whatsoever and AGREES TO RELEASE, DEFEND, INDEMNIFY AND HOLD HARMLESS any member of Shipper Group against all Liabilities incurred by Shipper on account of any such liens, encumbrances and claims.

• Gatherer further agrees to RELEASE, DEFEND, INDEMNIFY AND HOLD HARMLESS Shipper Group from and against any and all Liabilities arising from claims for personal injury, death, property damage and Environmental Liabilities relating to Gatherer’s ownership and/or operation of the Gathering Facilities and/or Gatherer’s performance or nonperformance of its obligations under this Agreement, except to the extent attributable to the negligence, gross negligence or willful misconduct of any member of Shipper Group.

• Shipper hereby agrees to defend, indemnify and hold each member of the Gatherer Group harmless from any and all claims, damages, losses, costs, expenses and liabilities incurred by any such member in connection with the Gathering Services, to the extent arising out of or resulting from the gross negligence or willful misconduct of any member of Shipper Group.

Shipper Group as herein used means Shipper, the Shipper’s Affiliates, any manager of Shipper and such manager’s Affiliates and the officers, directors, employees, agents and invitees of each of the foregoing.

Shipper Group shall have the meaning set forth in Section 10.3.b.

Shipper Group means CES, its officers, directors, subsidiaries, affiliates, members, partners, successors and assigns. “BAMAGAS Group” means BAMAGAS, its officers, directors, subsidiaries, affiliates, members, partners, successors and assigns;
