SOFTWARE PRICING definition

SOFTWARE PRICING means the applicable pricing for the use, distribution and/or resale of the Software. The Software Pricing is set forth in Exhibit A attached hereto.

Subscriber Fees are due net 30 days from the end of each calendar quarter.
SOFTWARE PRICING. The following minimum pricing will govern pursuant to the terms of the Agreement. License Fee per copy: Returnworks or Remitworks MICRworks Tier III -- Companies with greater than $45 billion in assets $75,000 $50,000 Tier II -- Companies with $15 through $45 billion in assets $50,000 $40,000 Tier I -- Companies with less than $15 billion in assets $25,000 $30,000 Second or More Copies per Holding Company (per copy) 50% of the Actual License Fee, unless otherwise agreed to by the parties. The Parties agree that Licensee will not sell Sublicenses for less than the License Fee except by written agreement by Licensor. The Parties agree that Licensee may sell Sublicenses for more than the License Fee without the written agreement of Licensor. The "Actual License Fee" refers to the greater of the: (i) actual fee that Licensee sells a Sublicense for, as permitted hereunder; or (ii) if less than the License Fee set forth above, the amount agreed upon by Licensor pursuant to a written document. The parties stipulate and agree that the following amounts listed below constitute the Actual License Fee for Sublicenses granted to these specific End-Users prior to the Effective Date.   • Software Update means a release of Software, in object code form, or firmware, which provides minor fixes, improvements and modifications to the Software or Equipment.   • Software Program means the software program used by a Fund for providing Fund and account balance information including net asset value per share. Such Program may include the Lion System. In situations where the Lion System or any other Software Program used by a Fund is not available, such information may be provided by telephone. The Lion System shall be provided to Insurance Company at no charge.

  • Benchmarking Information means information generated by Portfolio Manager, as herein defined including descriptive information about the physical building and its operational characteristics.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Client Software means software that allows a Device to access or utilize the services or functionality provided by the Server Software.

  • Supplier System means the information and communications technology system used by the Supplier in performing the Services including the Software, the Equipment and related cabling (but excluding the Customer System);
