Stream Documents definition

Stream Documents means this Agreement, the Intercreditor Agreement, the Guarantees and each of the Security Documents, and each other document designated as a Stream Document by the Purchaser and the Seller.

Examples of Stream Documents in a sentence

  • The ProjectCo shall promptly deliver or furnish, or cause to be delivered or furnished, to the Purchaser a copy of any material reports, certificates, documents and notices relating to the Project which are delivered by a Seller Group Member under other Key Transaction Documents to the extent not already delivered to the Purchaser under the Stream Documents.

  • This Agreement and the other Stream Documents shall enure to the benefit of and shall be binding on and enforceable by the Parties and their respective permitted successors and assigns.

  • This Agreement and the Stream Documents together constitute the entire agreement between the Parties with respect to the subject matter hereof and cancel and supersede any prior understandings and agreements between the Parties with respect thereto.

  • There are no representations, warranties, terms, conditions, opinions, advice, assertions of fact, matters, undertakings or collateral agreements, express, implied or statutory, with respect to the subject matter hereof and thereof by or between the Parties (or by any of their respective employees, directors, officers, representatives or agents) other than as expressly set forth in this Agreement or the Stream Documents.

  • Following such termination, the Purchaser shall cease to have any rights or liabilities under or in connection with the Stream Documents, other than in connection with the Refund Obligation.

  • The Project Entities shall not amend, cancel, suspend, terminate or Transfer, in whole or in part, the Seller Loan Agreement, the Seller Offtake Agreement or the Management Services Agreement, where such amendment, cancellation, suspension, termination and/or Transfer would have an adverse impact on a Purchaser’s or the Security SPV’s rights under the Stream Documents, without the prior written consent of the Purchaser.

  • In the case of any conflict or inconsistency between the provisions of the Intercreditor Agreement and any of the other Stream Documents, the provisions of the Intercreditor Agreement shall prevail to the extent of the inconsistency.

  • The Security shall not be affected by any payments under this Agreement or any of the other Stream Documents but shall constitute until the Security Release Date continuing and effective security in favour of the Security Agent for the benefit of the Purchaser for the Stream Obligations from time to time .

  • It is acknowledged that, pursuant to the Senior Finance Documents, the Senior Creditors may be entitled to receive Security over assets and shares to which the Stream Purchasers had not previously been entitled under the Stream Documents.

  • Save as amended hereunder, the Stream Agreement and the other Stream Documents remain in full force and effect.

  • Program Documents or “Loan Documents” means the MMRB Loan Commitment, MMRB Loan Agreement, Note, Mortgage, Credit Enhancement, MMRB Land Use Restriction Agreement, trust indenture, preliminary and final official statements, intercreditor agreement, assignments, bond purchase agreement, compliance monitoring agreement, mortgage servicing agreement and such other ordinary and customary documents necessary to issue and secure repayment of the Bonds and the MMRB Loan sufficient to protect the interests of the Bond owners and the Corporation.

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Term Documents shall have the meaning assigned that term in the Intercreditor Agreement.

  • Program Documentation refers to the user manuals, help windows, readme files for the Services and any Oracle Software. You may access the documentation online at xxxx://xxxxxx.xxx/contracts or such other address specified by Oracle.

  • DIP Documents means the DIP ABL Documents and the DIP Term Loan Documents.

  • Formation Documents means, collectively, the Issuer LLC Agreement, the Issuer Certificate of Formation and any other document pursuant to which the Issuer is formed or governed, as each may be amended or supplemented from time to time.

  • Related Documents mean all promissory notes, credit agreements, loan agreements, environmental agreements, guaranties, security agreements, mortgages, deeds of trust, security deeds, collateral mortgages, and all other instruments, agreements and documents, whether now or hereafter existing, executed in connection with the Loan.

  • Operative Documents means the Purchase Agreement, the Indenture, the Trust Agreement, the Notes and the Trust Securities.

  • Operating Documents are, for any Person, such Person’s formation documents, as certified by the Secretary of State (or equivalent agency) of such Person’s jurisdiction of organization on a date that is no earlier than thirty (30) days prior to the Effective Date, and, (a) if such Person is a corporation, its bylaws in current form, (b) if such Person is a limited liability company, its limited liability company agreement (or similar agreement), and (c) if such Person is a partnership, its partnership agreement (or similar agreement), each of the foregoing with all current amendments or modifications thereto.

  • Buyer Documents has the meaning set forth in Section 5.2.

  • Purchase Documents The mortgage purchase agreements between Xxxxxxx Mac and its Mortgage sellers and servicers, which are the contracts that govern the purchase and servicing of Mortgages and which include, among other things, the Guide and any negotiated modifications, amendments or supplements to the Guide.

  • Financing Documents means collectively the documents evidencing Lenders’ commitment to finance the Project.

  • Obligation Documents means the Credit Agreement, the Notes, the Loan Documents, and all other documents and instruments under, by reason of which, or pursuant to which any or all of the Secured Obligations are evidenced, governed, secured, or otherwise dealt with, and all other agreements, certificates, and other documents, instruments and writings heretofore or hereafter delivered in connection herewith or therewith.

  • Other Transaction Documents means the Transaction Documents other than this Agreement.

  • Construction Documents means the plans, specifications, approved change orders, revisions, addenda and other information approved by the City, which set forth in detail the Work to be performed for a construction Project.

  • Bid Documents means all the documents issued by the Chief Procurement Officer, or referenced by the Chief Procurement Officer as being available on the City's website and incorporated by such reference, in connection with an invitation for bids or proposals. Except for such Bid Documents as are posted on the City's website and incorporated by reference, all Bid Documents must be submitted by a bidder on the Bid Opening Date.

  • Assigned Documents has the meaning assigned to that term in Section 2.12.

  • Tender Documents means the General and special conditions of contract (2.1.8) and tender specification (2.1.9).

  • Related Agreements means the Deeds, each Assignment and Assumption of Lease, the Xxxx of Sale, the Assignment and Assumption Agreement, the Asset Demarcation Agreement, the Easements, the Interconnection Agreements, the Transition Services Agreement, the Release of Mortgage Indenture, the Guaranties, the Escrow Agreement and the other agreements, certificates and documents to be delivered pursuant to this Agreement.

  • Agreement Documents means the instructions to proponents, scope of service, addenda, response to the RFP, and the acceptance of proposal together with all subsequently negotiated agreements, written amendments, modifications, and supplements to such documents and all written authorizations signed by the administrator(s) amending, deleting, or adding to the contract.

  • Constitutive Documents means the Trust Deed or such other documents as defined in the Regulations.

  • Relevant Documents has the meaning specified in Section 11.02.

  • Financing Agreements means, collectively, this Agreement and all notes, guarantees, security agreements and other agreements, documents and instruments now or at any time hereafter executed and/or delivered by Borrower or any Obligor in connection with this Agreement, as the same now exist or may hereafter be amended, modified, supplemented, extended, renewed, restated or replaced.

  • Transfer Documents shall have the meaning set forth in Section 2.1(b).

  • Seller Documents has the meaning set forth in Section 3.2.
