Subordinated Security Documents definition

Subordinated Security Documents means the “Security Documents” as defined in the Subordinated Debenture Purchase Agreement and the “Security Documents” as defined in the Indenture.

Subordinated Security Documents means any Security Documents inferior in priority to the most senior Security Documents and to first tier subordinate Security Documents securing mezzanine financing, and generally includes any sub-debt held by Affiliates or other equity investors in Developer.

• The Subordinated Mortgagee will not assign or otherwise transfer, or grant security over, its rights under the Subordinated Security Documents to another person unless the relevant person has first undertaken (in a form satisfactory to the Senior Mortgagee) that, on any such assignment, transfer or grant taking place, it will comply with, and be bound by and perform, all the obligations of the Subordinated Mortgagee under this Agreement.

Subordinated Security Documents the collective reference to any and all documents providing for collateral security, guarantees or negative pledges in connection with the notes issued under the Indenture as the same may be amended, supplemented or otherwise modified from time to time in accordance with Section 6.9 of the BIPCO Credit Agreement.
