Support Termination Date definition

Support Termination Date has the meaning ascribed thereto in the TRQ FSA.

Support Termination Date means the effective date of termination of ongoing support services by either party or at any time when Client has failed to pay the Support Fees.

Support Termination Date means the earlier of: (A) the date on which the Acceptance Time occurs; and (B) the date upon which the Tender Offer Agreement is validly terminated; provided, however, that if the Tender Offer Agreement is terminated (1) pursuant to Section 7.1(b) thereof and an Acquisition Proposal shall have been disclosed, announced, commenced, submitted or made, at or prior to the time of such termination, (2) pursuant to Section 7.1(d)(ii) thereof, (3) pursuant to Section 7.1(e)(ii) thereof, or (4) pursuant to any subsection of Section 7.1 thereof following the occurrence of any of the events referred to in Section 7.1(e)(ii) thereof , then the Support Termination Date shall be the month anniversary of the date on which the Tender Offer Agreement is so terminated.

Examples of Support Termination Date in a sentence

• The restriction in the preceding sentence shall terminate upon the two year anniversary of the date of this Agreement (the “Future Date”), unless the Future Funding Shortfall is US$500 million or less, in which case such restriction shall continue until the Support Termination Date and Section 27 shall not be applicable.

• The representations and warranties of Jefferies contained in this Voting Agreement are accurate and complete in all material respects as of the date of this Voting Agreement, and will be accurate in all material respects at all times through and including the Support Termination Date (as defined below).

• This Agreement may be terminated as between any of the Xxxx-Investor Parties that do not hold Debtor Claims/Interests and the other Parties by delivery to the other Parties of a written notice in accordance with Section 14.8 hereof by such Xxxx-Investor Parties upon the Plan Support Termination Date; provided that Xxxx’x obligations under Section 5.2 shall survive any such termination as set forth therein.

More Definitions of Support Termination Date

Support Termination Date means the earlier of the 25th anniversary of the Effective Date and the date upon which all Credit Support Obligations shall have been paid and satisfied in full (or otherwise terminated).

Support Termination Date means the earliest to occur of (i) the Effective Time of the Merger; (ii) the date on which the Merger Agreement is validly terminated pursuant to Article 10 in accordance with its terms; (iii) the termination of this Agreement by mutual written consent of the Parties, or (iv) the date of any modification, waiver or amendment to any provision of the Merger Agreement effected without each Stockholder’s consent that (x) decreases the amount or changes the form, of Merger Consideration or (y) extends the End Date (other than in accordance with Section 10.01(b)(i) of the Merger Agreement).

Support Termination Date means any Business Day on which (i) all Transactions have matured or been terminated, (ii) no amounts are or thereafter may become payable by Pledgor under the

Support Termination Date shall have the meaning ascribed thereto in Section 4.1.1. “Transfer Date” shall have the meaning ascribed thereto in the Collateral Agency Agreement.

Support Termination Date has the meaning ascribed thereto in the TRQ FSA. “Suspensive Event” has the meaning ascribed thereto in the CTA.

Support Termination Date means the earliest to occur of such date and time as (i) the Merger Agreement shall have been terminated for any reason; (ii) the Merger shall become effective in accordance with the terms and provisions of the Merger Agreement; (iii) the acquisition by Parent of all the Subject Shares of the Stockholders, whether pursuant to the Offer, the Merger or otherwise; (iv) any amendment, change or waiver to the Merger Agreement is effected without each Stockholder’s consent that decreases the amount, or changes the form or (except with respect to extensions of the Offer in accordance with the terms of the Merger Agreement) timing, of consideration payable to all of the stockholders of the Company pursuant to the terms of the Merger Agreement; (v) is agreed to in writing by Parent and each Stockholder; or (vi) the Offer shall have been terminated without acceptance for payment of the Subject Shares pursuant to the Offer.

Support Termination Date for any Bank Purchaser means the date set forth opposite such Bank Purchaser's name on Schedule I, as such date may be extended from time to time with the written consent of such Bank Purchaser.
