Target Business Employees definition

Target Business Employees means, in respect of GlaxoSmithKline, the GlaxoSmithKline Business Employees and, in respect of Novartis, the Novartis Business Employees, and “Target Business Employee” means any of them;
Target Business Employees means the current employees and consultants of Sellers engaged in the Target Businesses to whom Purchaser shall offer employment in accordance with Section 5.4(a)(i).
Target Business Employees means all each of the Business Employees listed on Appendix 1.1(d).

Examples of Target Business Employees in a sentence

  • Where the provisions of local law do not provide for an automatic transfer of the employment of the Target Business Employees to the Purchaser or a relevant member of its Group with effect from (and including) the Closing Date, then paragraph 2.2 below shall apply.

  • Where the provisions of local law do provide for an automatic transfer of employment of the Relevant Target Business Employees to the Purchaser or the relevant member of its Group with effect from (and including) the Closing Date, then paragraph 2.3 below shall apply.

  • None of Parent Seller or any of its Subsidiaries is liable for any material payment to any trust or other fund or to any Governmental Entity, with respect to unemployment compensation benefits, social security or other benefits or obligations for Target Business Employees (other than routine payments to be made in the normal course of business and consistent with past practice).

  • The Disclosure Letter contains a true, complete and correct list of all bonus, staff incentives (including any share-based incentive schemes), redundancy or other benefits payable on termination of employment (whether voluntary or involuntary but excluding arrangements required in accordance with Applicable Law), ill-health, Employee Benefits or other benefits which are the material benefits available to the Target Business Employees and the Target Company Employees in the Material Employee Jurisdictions.

  • None of the employment policies or practices relating to Business Employees or Target Business Employees is currently being audited or investigated by any Governmental Authority or Court.

  • Notwithstanding any other provision of this Section 5(h) to the contrary, Seller shall be solely responsible for, and shall assume all Liabilities in respect of, claims arising on or after the Closing for any Termination Costs made by any Target Business Employees who, as of the date hereof, are based primarily inside the United States.

  • Neither Seller nor any of its Affiliates is obligated to contribute to any Multiemployer Plan on behalf of any Target Business Employees.

  • Upon the Closing, Buyer will cause Target to continue the employment of each employee of Target ("Business Employees") except for such individuals as are designated on section 4(v) of the Disclosure Schedule (the "Excluded Employees") at a comparable level of salary and comparable benefits as currently provided to such Business Employee by Target.

  • Purchaser agrees to cooperate, and agrees to use its best efforts to cause its Affiliates to cooperate and in a complete, diligent and timely manner to provide Aris with such compensation, service, payroll and other pertinent census data as may be required by Aris for purposes of calculating or affecting distribution of benefits to which any Target Business Employee(s) may be entitled under any benefit plan established, maintained or contributed to by Aris .

  • Save as disclosed in Schedule 3.12(A)(a)(iii), no person is employed in the Target Business other than the Target Business Employees who are all directly employed by Aris and are exclusively employed in the Target Business.

  • Seller Employee Plan means any plan, program, policy, practice, Contract or other arrangement providing for compensation, severance, termination pay, deferred compensation, performance awards, stock or stock-related awards, fringe benefits or other employee benefits or remuneration of any kind, whether written, unwritten or otherwise, funded or unfunded, including each "employee benefit plan," within the meaning of Section 3(3) of ERISA (whether or not ERISA is applicable to such plan), that is or has been maintained, contributed to, or required to be contributed to, by the Seller or any Seller Affiliate for the benefit of any Seller Employee, or with respect to which the Seller or any Seller Affiliate has or may have any liability or obligation, except such definition shall not include any Seller Employee Agreement.

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Company Employee Plans has the meaning set forth in Section 3.12(a).

  • Company Employee means an employee of the Company or an employee of a Subsidiary of the Company, if any.

  • Affected Employees means those employees who are exposed to the hazard(s) identified as a violation(s) in a citation.

  • Designated Employees means a person occupying any of the following position in the Company:

It also includes all employees who are or have been previously employed by the Office and whose current position has placed them in the bargaining unit represented by CSEA. For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.

  • Company Personnel means any current or former officer, employee, director or consultant of the Company or any of its Subsidiaries.
