Third Lien Loan Documents means the “Loan Documents”, or other similar definition of the same effect, as defined in the Third Lien Loan Agreement, as in effect on the Third Lien Debt Incurrence Date or as amended from time to time in accordance with the Third Lien Subordination Agreement.

Except as expressly provided herein, each other Representative and Collateral Agent is acting in the capacity of Representative and Collateral Agent, respectively, solely for the Claimholders under the Senior Loan Documents or Third Lien Loan Documents for which it is the named Representative or Collateral Agent, as the case may be, in the applicable Joinder Agreement.

Third Lien Loan Documents means (a) the Prencen Lending Note, (b) the Watershed Third Lien Note, (c) the Prencen Securities Purchase Agreement, (d) the “Transaction Documents” as such term is defined in the Prencen Securities Purchase Agreement, (e) the Watershed Securities Purchase Agreement and (f) the “Transaction Documents” as such term is defined in the Watershed Securities Purchase Agreement, in each case, as amended, modified, supplemented, restated, renewed, extended, refinanced or replaced from time to time in accordance with the terms thereof and the terms of the Agreement and the Third Lien Intercreditor Agreement.

Third Lien Loan Documents means, collectively, (a) the Third Lien Credit Agreement, (b) the Third Lien Notes, if requested, and any other note, bond or other instrument evidencing Third Lien Indebtedness, (c) all mortgages, security agreements, pledge agreements or financing statements evidencing, creating or perfecting any Lien to secure the Third Lien Credit Agreement and the Third Lien Notes, if requested, in any way, (d) all guarantees thereof, (e) all other documents, instruments or agreements relating to the Third Lien Credit Agreement or the Third Lien Notes now or hereafter executed or delivered by any Loan Party, including without limitation each of the other "Loan Documents" as such term is defined in the Third Lien Credit Agreement, and (f) all renewals, extensions, amendments, modifications or restatements of the foregoing.

Third Lien Loan Documents means, collectively (but without duplication), the Third Lien Credit Agreement, each of the other Loan Documents (as defined in the Third Lien Credit Agreement) (including, this Agreement and the Third Lien Collateral Documents) and any other agreement, document or instrument providing for or evidencing the obligations of the Obligors under the Third Lien Credit Agreement or the other Loan Documents (as defined in the Third Lien Credit Agreement) and any other document or instrument executed or delivered at any time in connection with any Third Lien Obligations, including any intercreditor or joinder agreement among holders of Third Lien Obligations, to the extent such are effective at the relevant time, in each case, as each may be amended from time to time or, in the case of the Third Lien Credit Agreement, as Amended and Refinanced.

Third Lien Loan Documents means the Third Lien Credit Agreement and the other Loan Documents (as such term is defined in the Original Third Lien Credit Agreement), or any other security, collateral, ancillary or other document entered into in connection with or related to any agreement that is a Third Lien Credit Agreement, as such documents may be amended, restated, modified, renewed, refunded, replaced, or refinanced in whole or in part from time to time. “Third Lien Obligations” means the “Obligations” as defined in the Third Lien Loan Documents and includes all obligations and all other amounts owing, due or secured under the terms of the Third Lien Credit Agreement or any other Third Lien Loan Document, including any and all amounts payable to the Third Lien Agent or any Third Lien Lender, all principal, prepayment or other premium, interest (including payment-in-kind interest), fees (including payment-in-kind fees), attorneys’ fees, costs, charges, expenses, reimbursement obligations, indemnities, guarantees, and all other amounts payable under any Third Lien Loan Document or in respect thereof (including, in each case, all amounts accruing on or after the commencement of any Insolvency Proceeding relating to any Obligor or any other Person, or that would have accrued or become due under the terms of the Third Lien Loan Documents but for the effect of the Insolvency Proceeding or other applicable law, and irrespective of whether a claim for all or any portion of such amounts is allowable or allowed in any Insolvency Proceeding). “UCC” means the Uniform Commercial Code as enacted and in effect from time to time in the State of New York, or the Uniform Commercial Code (or any similar or equivalent legislation) of the jurisdictions which govern the perfection of the security interest in the particular item of the Obligors’ property to which the definition is applied.

Third Lien Loan Documents means the Third Lien Indenture and any and all other agreements, instruments and documents executed and delivered in connection with the Third Lien Indenture, as the same may be amended or modified from time to time to the extent permitted under Section 7.15 and as the same may be refinanced pursuant to a Permitted Refinancing.

Third Lien Loan Documents collectively, the Third Lien Subordinated Note(s) and each other note, agreement, instrument or other document (including each security or pledge agreement) now or hereafter delivered by an Obligor or other Person in connection with the transactions in respect of the Third Lien Subordinated Note(s), in each case, in form and substance satisfactory to Agent, and as the same may from time to time thereafter be amended, restated, amended and restated, supplemented, refinanced, replaced or otherwise modified in accordance with the terms of this Agreement and the Third Lien Subordination Agreement.
