Third Party Clients definition

Third Party Clients means those institutions and businesses whose clients, customers or members are solicited by the Company for the purchase of PBM services.
Third Party Clients means persons who are receiving human, social, cultural, or educational services primarily because they are aged, indigent, disadvantaged, unemployed, mentally or physically ill, handicapped, displaced, or minors.
Third Party Clients means any person or company using Convene’s services at the Main Premises other than Client and its Participants.

Examples of Third Party Clients in a sentence

  • Reporting must be submitted by the 15th of the month following the end of each calendar quarter.

  • During the Term, Reseller shall be eligible to receive a discount equal to fifty percent (50%) off the MSRP for Products ordered (exclusive of taxes, shipping and/or postage costs) by Third Party Clients (the “Discount”) where such orders are placed exclusively by Reseller though Boxcar’s online ordering system (the “System”).

  • Reseller shall secure these rights for Boxcar in its contracts with its Third Party Clients.

  • Except where a valid exemption exists and Reseller presents to Boxcar an exemption certificate or other evidence acceptable to Boxcar of the application of any such exemption, Reseller and the Third Party Clients shall be liable for all applicable federal, state and local taxes, arising out of any sale of the Products.

  • Boxcar retains all rights to copyrighted materials provided or sold to Reseller and any Third Party Clients and retains the right to photograph all completed orders and to use such photographs in its marketing materials.

  • There is no intent by either party to create or establish third party beneficiary status or rights, or any vested rights to any Third Party Clients or other parties, and no such third party shall have any right to enforce any right or enjoy any benefit created or established under this Agreement.

  • Subject to the terms and conditions herein, Boxcar hereby appoints Reseller to act as a non-exclusive reseller with the non-exclusive right to purchase, inventory, promote, market, advertise, and resell Boxcar’s custom printed products (the “Products”) to Third Party Clients within the Territory.

More Definitions of Third Party Clients

Third Party Clients means the relevant trading counterparty or other third party market data client(s) of the Customer who connect with the Customer using the related Services provided under this Agreement for the purpose of transporting relevant financial orientated data.
Third Party Clients means the clients under Account Contracts or Property Management Contracts other than the General Account or any of the Separate Accounts.

For the purposes of this paragraph “PBM Services” shall mean, services associated with the prescription benefit management business, including but not limited to: (i) claims administration, (ii) establishment and administration of a pharmacy network and benefits, (iii) mail order pharmacy services (by phone, fax or internet), (iv) drug utilization review, (v) disease state management and delivery of specialty pharmacy benefits, (vi) formulary creation and administration, (vii) rebate negotiation and administration, (viii) therapeutic substitution programs, and (ix) medical intelligence and informatics products. Notwithstanding the foregoing, paragraph 9 of the Employment Agreement shall be deemed null and void as it pertains to the covenant prohibiting the Employee from competing against the Company.
Third Party Clients means those institutions and businesses whose customers or members are solicited by the Company for the purchase of products and services. With respect to paragraph (a) hereof, any products or services not offered by the Company on the date of this Agreement but subsequently offered during the Term hereof shall be covered by paragraph (a) if they are related or similar to those services and products offered on the date of this Agreement.

Related to Third Party Clients

  • Third Party Vendor means any person or entity that provides SaaS, third party software and/or related intellectual property. “Work” means any additional work the Customer requests Singtel to perform in relation to the Service.

  • Third Party Claims has the meaning set forth in Section 11.1.

  • Third Party Data has the meaning set forth in Section 9.3(a).

De-Identified Information (DII): De-Identification refers to the process by which the Contractor removes or obscures any Personally Identifiable Information (“PII”) from Education Records in a way that removes or minimizes the risk of disclosure of the identity of the individual and information about them.

  • Third Party Provider means licensors, subcontractors and suppliers of BNYM furnishing the Third Party Products.

  • Third Party Providers or “TPPs” means any payment service provider that provides payment services to you or someone else that concerns the Account, for example, an AISP (described in Clause 1(c) below).

  • Third party claimant means any individual, corporation, association, partnership, or other legal entity asserting a claim against any individual, corporation, association, partnership, or other legal entity insured under an insurance policy or insurance contract.

  • Third Party IPR means any Intellectual Property Rights not belonging to either party to this Agreement but used by the Supplier in the creation of the Deliverables and/or in the course of or in connection with the Project.

  • Third Party Licensor means the relevant licensor of any Third Party Data or any Third Party Trade Xxxx;

  • Third Party Content means all software, data, text, images, audio, video, photographs and other content and material, in any format, that are obtained or derived from third party sources outside of Oracle that You may access through, within, or in conjunction with Your use of, the Services. Examples of Third Party Content include data feeds from social network services, rss feeds from blog posts, Oracle data marketplaces and libraries, dictionaries, and marketing data. Third Party Content includes third-party sourced materials accessed or obtained by Your use of the Services or any Oracle-provided tools.

  • Third Party Products means the Third Party Software and Third Party Hardware.

  • Third Party Claim has the meaning set forth in Section 8.3.

  • Third Party Buyer means any Person other than (i) the Company or any of its Subsidiaries, (ii) any employee benefit plan of the Company or any of its Subsidiaries, (iii) the Investors or (iv) any Affiliates of any of the foregoing.

  • Third Party Supplier means a third party manufacturer and/or licensor of Products.

Additional Disruption Events: Change in Law: Applicable; provided that Section 12.9(a)(ii) of the Equity Definitions is hereby amended by (i) replacing the phrase “the interpretation” in the third line thereof with the phrase “, or public announcement of, the formal or informal interpretation,” (ii) replacing the word “Shares” with the phrase “Hedge Positions” in clause (X) thereof and (iii) inserting the parenthetical “(including, for the avoidance of doubt and without limitation, (x) any tax law or (y) adoption, effectiveness or promulgation of new regulations authorized or mandated by existing statute)” at the end of clause (A) thereof.
