Third Party Conditions definition

Third Party Conditions means the consents, authorizations, waivers or approvals set forth on Schedule 8.1, 8.2(d) or 8.3(d), as the case may be, under each Project's name.
Third Party Conditions has the meaning set forth in Section 4.2(c).
Third Party Conditions means any acts or omissions of any party other than Sublessor, including without limitation, Prime Lessor, Sublessee or any governmental authority, and for purposes of clarity, Third Party Conditions may include Prime Lessor’s failure to approve Sublessee’s Improvements or to grant any other required approvals and/or the failure of Sublessee to obtain any Governmental Approvals.

  • Except as expressly set out in the relevant Third Party Conditions, Supplier expressly excludes any warranty and liability to the Customer that the Third Party Software supplied or licensed under this Contract will operate substantially in accordance with, and perform, the material functions and features as set out in its marketing, sales or other associated documentations.

Third Party Conditions has the meaning given to it in clause 4.12. Third Party IPR means IPR owned by a person other than Customer or Supplier Group.

Related to Third Party Conditions

De-Identified Information (DII): De-Identification refers to the process by which the Contractor removes or obscures any Personally Identifiable Information (“PII”) from Education Records in a way that removes or minimizes the risk of disclosure of the identity of the individual and information about them.

  • Third Party Consents shall have the meaning set forth in Section 8.3.

  • Termination Conditions is defined in Section 2.18.

  • Licence Conditions means the licence terms and conditions contained in this document, as amended from time to time in accordance with this agreement.

  • Specified Conditions means, at any time of determination thereof, (a) no Incremental Term Loans in the form of an institutional term loan B facility have been issued and are outstanding pursuant to Section 2.20 of the Credit Agreement and (b) (i) the Company’s “corporate credit rating” from S&P (or such other term as S&P may from time to time use to describe the Company’s senior unsecured non-credit enhanced long term indebtedness, such rating, the “S&P Rating”) shall be at least BBB- (with a stable outlook) and the Company’s “corporate family rating” from Xxxxx’x (or such other term as Xxxxx’x may from time to time use to describe the Company’s senior unsecured non-credit enhanced long term indebtedness, such rating, the “Xxxxx’x Rating”) shall be at least Baa3 (with a stable outlook) or (ii) (x) the Company’s S&P Rating shall be at least BBB- (with a stable outlook) or the Company’s Xxxxx’x Rating shall be at least Baa3 (with a stable outlook) and (y) the Leverage Ratio is less than or equal to 2.50 to 1.00.

  • Equity Conditions Failure means that on any applicable date the Equity Conditions have not been satisfied (or waived in writing by the Holder).
