Tier I Participant definition

Tier I Participant means any Employee designated by the Committee as a Tier I Participant in the Plan and identified as such in the records of the Plan maintained by the Company at any time during the term of the Plan.
Tier I Participant means the Chief Executive Officer.
Tier I Participant means a Participant who is a C-level officer at the time of a Change in Control Termination.

More Definitions of Tier I Participant

Tier I Participant means any Participant who is the Chief Executive Officer of the Company.
Tier I Participant means (i) a Participant with the title of Chief Executive Officer of the Company, and (ii) any other Participant specifically classified as a Tier I Participant by the Committee, as determined in the Committee's sole discretion.
Tier I Participant means any Participant designated by the Plan Administrator as a Tier I Participant (as set forth in the Participant’s Participation Notice).
Tier I Participant means each key management employee designated by the Board as a Senior Officer of the Company, each Divisional Vice President, each Operations Vice President, each Regional Vice President, and each other person so designated by the Committee.
Tier I Participant means a Covered Employee who is a Section 16 officer and who is not the Chief Executive Officer at the time of an Involuntary Termination or such other officer as may be designated as a “Tier I Participant” from time to time by the Board and who remains an officer in the same or substantially similar position at the time of an Involuntary Termination.
Tier I Participant means an individual employed by the Employer who satisfies the requirements described in Article II for Tier I Participants. The names of Tier I Participants as of the date hereof are listed in the Appendix.
Tier I Participant means, unless otherwise designated by the Committee before the Change Date, a Participant who, on the Termination Date, is classified in a band more senior than the direction band under the employment level categories regularly applied by the Company’s Human Resource function (but disregarding any reduction to a lower employment level category after the Change Date that would constitute Good Reason).
