Tier III Participant definition

Tier III Participant means (i) any Section 16 Person (other than the Chief Executive Officer) whom the Committee has designated as a Tier III Participant or (ii) any employee of the Company who is not a Section 16 Person whom the Chief Executive Officer has designated as a Tier III Participant in this Plan, in each case, pursuant to Section 4.1.

Tier III Participant means any Participant other than a Tier I Participant or Tier II Participant.

Tier III Participant means any Participant designated by the Plan Administrator as a Tier III Participant (as set forth in the Participant’s Participation Notice).

Examples of Tier III Participant in a sentence

• The Committee’s designation shall also designate whether the individual is a Tier I Participant, a Tier II Participant or a Tier III Participant.

• Unless previously paid, the Tier III Participant shall be entitled to receive the Standard Termination Benefits.

• If a Tier III Participant satisfies the requirements of Article IV and Section 5.04 and is terminated without Cause or resigns with Good Reason, in either case within ninety (90) days before a Change in Control or within one (1) year after a Change in Control, then the benefits described in the preceding Sections 5.03(c), (d) and (e) shall be calculated by substituting “one and one-half (1.5)” for “one (1.0)” therein.

• Each Employee who is designated by the Administrator as a Tier I Participant, a Tier II Participant, a Tier III Participant or a Tier IV Participant and who signs and returns to the Company a Notice of Participation within the time period set forth in such Notice shall be a Participant in this Plan.

• Tier III Participant means a Participant who is designated as a Tier III Participant by the Committee.

More Definitions of Tier III Participant

Tier III Participant means an Eligible Executive who is designated as a Tier III Participant in his or her Participation Agreement.

Tier III Participant means the Participant identified as “Tier III Participant” on Exhibit A hereto.

Tier III Participant generally means any other Eligible Employee that has been designated by the Plan Administrator as a participant in the Plan.

Tier III Participant means a key executive employee of the Company who has been designated as eligible for participation in the Plan by the Committee as a Tier III Participant.

Tier III Participant means any Participant who is employed at (i) the Vice President level, (ii) the Director level, or (iii) the Manager level.

Tier III Participant means an Eligible Employee at the Company’s corporate level of Senior Vice President or higher and who is not otherwise selected and designated in writing by the Committee as a Tier I Participant, Tier II Participant or Tier IV Participant.

Tier III Participant means each person identified as such on Schedule A hereto.
