Tier II Participant definition

Tier II Participant means (i) any Section 16 Person (other than the Chief Executive Officer) whom the Committee has designated as a Tier II Participant or (ii) any employee of the Company who is not a Section 16 Person whom the Chief Executive Officer has designated as a Tier II Participant, in each case, pursuant to Section 4.1 of this Plan.
Tier II Participant means a Covered Employee who is a Vice President level employee and who is not a Tier I Participant at the time of an Involuntary Termination.

More Definitions of Tier II Participant

Tier II Participant means an Eligible Employee who has been selected and designated in writing by the Committee as a “key executive” to participate in the Plan as a Tier II Participant.
Tier II Participant means an Eligible Executive who is designated as a Tier II Participant in his or her Participation Agreement.
Tier II Participant means an individual employed by the Employer who satisfies the requirements described in Article II for Tier II Participants. The names of Tier II Participants as of the date hereof are listed in the Appendix.
Tier II Participant means any Participant designated by the Plan Administrator as a Tier II Participant (as set forth in the Participant’s Participation Notice).
Tier II Participant means any Participant who is an executive officer of the Company (and not any other Group Company) with the title of Chief Financial Officer, Executive Vice President or Senior Vice President, as well as any member of the Company's Executive Leadership Team (ELT), other than (i) the Chief Executive Officer of the Company and (ii) any other Tier I Participant. For the sake of clarity, except for members of the Executive Leadership Team, Tier II Participants do not include Participants who are executive officers of Group Companies (and not of the Company).
Tier II Participant means each key management employee of the Company, except for Tier I Participants, who (i) is qualified to participate in the Retirement Savings Plan; and (ii) experiences a cutback in Employee Directed Contributions, Employer Matching Contributions, and/or Profit Sharing Contributions due to the limitations imposed by the Code; and (iii) meets such other qualification standards (including pay level) as determined by the Committee from time to time, and who is thereby selected for participation in the Plan by the Committee.
Tier II Participant means, unless otherwise designated by the Committee, a Participant who, on the Termination Date, is classified in the direction band under the employment level categories regularly applied by the Company’s Human Resource function.
