Transferred Group Adoption Date definition

Transferred Group Adoption Date means the applicable date prior to the Effective Time on which Kimball International and/or Kimball Electronics determine to have any or all of the Kimball Electronics Benefit Plans adopted by a Transferred Group Entity.

Transferred Group Adoption Date means the applicable date prior to the Effective Time on which IR and/or Allegion determine to have any or all of the Allegion Benefit Plans adopted by a Transferred Group Entity. “Transferred Group Entity” means each IR Entity that will become an Allegion Entity as of the Effective Time. “Transition Services Agreement” has the meaning set forth in the Distribution Agreement. “True-Up Amount” has the meaning set forth in Section 6.2(b)(v). “Unexercisable IR Award” has the meaning set forth in Section 4.2(a)(ii)(A). “U.S.” means the United States of America. “WARN” means the U.S. Worker Adjustment and Retraining Notification Act, as amended, and the regulations promulgated thereunder, and any applicable state or local Law equivalent. “Welfare Plan” means, where applicable, a “welfare plan” (as defined in Section 3(1) of ERISA) or a “cafeteria plan” under Section 125 of the Code, and any benefits offered thereunder, and any other plan offering health benefits (including medical, wellness, prescription drug, dental, vision, and mental health and substance abuse), disability benefits, or life, accidental death and disability, and business travel insurance, pre-tax premium conversion benefits, dependent care assistance programs, employee assistance programs, paid time off programs, contribution funding toward a health savings account, flexible spending accounts, or cashable credits of IR or Allegion, as applicable. Related to Transferred Group Adoption Date

  • Employee Transfer Date means in respect of any particular Transferring Employee the date on which the part of the Services to which they are assigned transfers from the Previous Contractor to the Contractor;
