Vector Employee definition

Vector Employee means any individual who, immediately following the Distribution Date, will be employed by Vector or any member of the Vector Group in a capacity considered by Vector to be common law employment, including active employees and employees on vacation and approved leaves of absence (including maternity, paternity, family, sick, short-term or long-term disability leave, qualified military service under the Uniformed Services Employment and Reemployment Rights Act of 1994, and leave under the Family Medical Leave Act and other approved leaves).
Vector Employee means an individual who is or was employed by Vector (this includes any current, past or prospective employee), as well as faculty members, research scientists, consultants, or contracted staff of Vector.
Vector Employee means, as of any date, any individual who is an employee of any Vector Entity (including employees who are not actively at work on such date by reason of illness, vacation, leave of absence or short-term disability).

Examples of Vector Employee in a sentence

  • The transactions provided for under this Agreement shall not constitute a separation from service or a termination of employment under the Vector Supplemental Retirement Plan, and no distribution of retirement benefits shall be made to any Vector Employee or Spinco Employee on account of these transactions.

  • No provision of this Agreement or the Distribution Agreement shall be construed to create any right, or accelerate entitlement, to any compensation or benefit whatsoever on the part of any Vector Employee or Spinco Employee or other future, present, or former employee of any member of the Vector Group or Spinco Group under any Vector Plan or Spinco Plan or otherwise.

  • Other than as set forth in the Disclosure Letter, no current officer or employee of Vector ("Employee") is a party to any employment agreement or union or collective bargaining agreement, and no union has been certified or recognized as the collective bargaining representative of any of such Employees or has attempted to engage in negotiations with Vector regarding terms and conditions of employment.

  • At this stage, the consultant is also provided with a copy of the Vector Employee Handbook.

  • Regular Employee is one who works on a full-time or part-time basis on regularly scheduled shifts of a continuing nature:

  • Subcontractor employee, as used in this clause, means any officer, partner, employee, or agent of a subcontractor.

  • School employee means (1) a teacher, substitute teacher, school administrator, school superintendent, guidance counselor, psychologist, social worker, nurse, physician, school paraprofessional or coach employed by a local or regional board of education or working in a public elementary, middle or high school; or (2) any other individual who, in the performance of his or her duties, has regular contact with students and who provides services to or on behalf of students enrolled in a public elementary, middle or high school, pursuant to a contract with the local or regional board of education.

  • Key Employee means any executive-level employee (including, division director and vice president-level positions) as well as any employee who, either alone or in concert with others, develops, invents, programs, or designs any Company Intellectual Property (as defined in the Purchase Agreement).

  • New employee means a Full-Time Employee first employed by the Company in the Project and who is hired on or after the Effective Date of this Agreement.

  • Prime Contractor employee, as used in this clause, means any officer, partner, employee, or agent of a prime Contractor.
