Vested Rollover Options definition

Vested Rollover Options means Rollover Options issued in respect of Vested Company Options pursuant to the terms of this Agreement.
Vested Rollover Options means, with respect to any Vested Option, the portion of such Vested Option exercisable for a number of shares of Company Common Stock equal to (x) the aggregate number of shares of Company Common Stock for which such Vested Option is exercisable multiplied by (y) the Stock Percentage.

  • Landcadia shall use commercially reasonable efforts to include in the first Form S-8 that Landcadia files with the SEC after the Closing a re-offer prospectus covering the resale of Landcadia Common Stock that is issuable to the holders of Vested Rollover Options in respect of such holders’ Vested Rollover Options.

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Company Stock Options means issued and outstanding options to acquire Company Common Stock which were granted under the Company Stock Option Plans.

  • Vested Shares means "Vested Shares" as defined in the Award Agreement.

  • Vested Portion means, at any time, the portion of an Option which has become vested, as described in Section 3 of this Agreement.

  • Company Stock Option means each option to purchase shares of Company Common Stock outstanding under the Company Stock Plans.

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Vested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Replacement Options has the meaning ascribed thereto in Section 1.1 of the Plan of Arrangement;

  • Optioned Shares means Shares subject to an Award granted pursuant to this Plan.

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of such time or will vest in connection with the consummation of the transactions contemplated hereby (whether at the Effective Time or otherwise).

  • Company Stock Option Plans means the 1996 Equity Incentive Plan, 1998 Stock Option Plan for Non-Employee Directors and 1999 Employee Stock Option Plan.

  • Parent Options means options to purchase shares of Parent Common Stock from Parent (whether granted by Parent pursuant to the Parent Option Plans, assumed by Parent or otherwise).

  • Unvested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Unvested Company Option means any Company Option that is not a Vested Company Option.

  • Parent Option means an option to purchase shares of Parent Common Stock.

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • Vesting Event means the earliest to occur of the following events:

  • Investment Options means the investment options, as determined from time to time by the Committee, used to credit earnings, gains and losses on Account balances.

  • Parent Stock Option means any option to purchase Parent Common Stock.

  • Investment Option means any of the guaranteed investments and variable investment funds available under the Plan.

  • Company Stock Option Plan means the Company's 1999 Stock Option Plan.

  • Restricted Shares shall have the respective meanings set forth in Section 2.14.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • Optioned Stock means the Common Stock subject to an Option.
