Xxxxx Designee means any of the following individuals or entities: Xxxxxxx Xxxxx, Xxxxxx Xxxxxxxx, Xxxxx and Xxxxxxxx Xxxxx Trust, Xxxxxxx X. Xxxxxxxx, Xxxx X. XxXxxxxxxxxx, Xxxxx X. Xxxxxxxx, Xxxx Xxxxxxxx XXX and Xxxxxx X. Xxxxx. "Xxxxx Letter Agreement" shall have the meaning provided in Section 8.09. "Leasehold" of any Person means all of the right, title and interest of such Person as lessee or licensee in, to and under leases or licenses of land, improvements and/or fixtures. "Lender" shall have the meaning provided in the first paragraph of this Agreement. "Lender Default" shall mean (i) the refusal (which has not been retracted) of a Lender to make available its portion of any incurrence of Loans or to fund its portion of any unreimbursed payment under Section 2.05(c) or (ii) a Lender having notified the Agent and/or the Borrower that it does not intend to comply with the obligations under Section 1.01 or under Section 2.05 (c), in the case of either (i) or (ii) as a result of the appointment of a receiver or conservator with respect to such Lender at the direction or request of any regulatory agency or authority. "Letter of Credit" shall have the meaning provided in Section 2.01(a). "Letter of Credit Fee" shall have the meaning provided in Section 3.01(b). "Letter of Credit Issuer" shall mean Fleet Bank or any Lender which at the request of the Borrower and with the consent of the Agent agrees, in such Lender's sole discretion, to become a Letter of Credit Issuer for purposes of issuing Letters of Credit pursuant to Section 2.
