Xxxxxx Software definition

Xxxxxx Software means Xxxxxx proprietary computer software programs, firmware, and third party software, in machine readable object code form only, intended to be used solely on and with the Xxxxxx Equipment supplied or designated by Xxxxxx xxxxxxxxx, and includes any Enhancements provided by Xxxxxx to Customer pursuant to the terms of this Agreement.

Xxxxxx Software shall not include any software licensed by Xxxxxx from third parties. Xxxxxx assumes no obligation or liability for any claim or action arising from or relating to such software. This paragraph IV A states the entire liability and obligation of Xxxxxx and Licensee and the exclusive remedy of Licensee and its sublicensees with respect to any actions or claims (i) of alleged infringement relating to or arising out of the subject matter of this Agreement or (ii) otherwise described in this paragraph IV A.

Xxxxxx Software means the specific items of software provided by X. Xxxxxx Computer Corporation only to the extent Customer; (i) has been provided pricing for that specific item of Xxxxxx Software; and (ii) is current in its payments for that specific item of Xxxxxx Software.

Examples of Xxxxxx Software in a sentence

• It is recognized that in the course of the transactions contemplated by this Agreement, Xxxxxx Software may be delivered to Customer on a licensed basis in printed form, or in any of several possible machine-readable forms, including but not limited to magnetic tape or disk, paper tape or read-only memory (ROM) device.

• The terms and conditions set forth in Exhibit A, attached hereto and made a part hereof, are applicable to the Xxxxxx Software the Customer is licensing under this Agreement.

• Customer shall not cause or permit reverse engineering, disassembly or decompilation of the Xxxxxx Software or disclosure, copying, display, loan, publication, transfer of possession (whether by sale, exchange, gift, operation of law or otherwise) or other dissemination of the Xxxxxx Software, in whole or in part, to any third party without prior written consent of Xxxxxx.

• The ideas and the expressions thereof contained in the Xxxxxx Software are confidential and proprietary information and trade secrets of Xxxxxx and/or its Licensors that are disclosed to Customer in confidence.

• Customer shall not modify, enhance or otherwise change or supplement the Xxxxxx Software.

More Definitions of Xxxxxx Software

Xxxxxx Software means that certain server software described in Section 1 of Exhibit A attached hereto. Xxxxxx Software includes any Updates, Upgrades or New Versions of the foregoing released by PalmSource, in its sole discretion, during the term of this Agreement.

Xxxxxx Software means Xxxxxx’x proprietary JobsEQ® workforce and economic management software, modeling tools, and all datasets included therein.

Xxxxxx Software means any and all software developed and provided to Red Hat by Xxxxxx pursuant to this Agreement.

Xxxxxx Software refers to software provided by X. Xxxxxx Computer Corporation to City as part of this Project, which includes the MeterSense Meter Data Management System (MDMS), the SmartWorks Compass Software, and the CustomerConnect customer portal. The Xxxxxx Software includes Software Licenses, Xxxxxx Software Updates or Upgrades to the MeterSense MDMS core software, SmartWorks Compass software, CustomerConnect software or MeterSense add-on modules.

Xxxxxx Software shall have the meaning set forth in Section 7.08.

Xxxxxx Software means any software incorporated or contained in any Xxxxxx product provided by Xxxxxx to Partner including the Xxxxxx Enterprise Software, and any documentation customarily supplied with such software, and which software may be provided on a licensed virtual machine image in object code format only, at Xxxxxx’x sole discretion.

Xxxxxx Software means any software proprietary to Xxxxxx whether accessible through a cloud-hosted environment, install-based environment or otherwise, including without limitation Orquestra Suites, QuantumOps, Orquestra Applications, Orquestra Edge, Quantum Micro, Orquestra Studio, Orquestra Platform, and any other Orquestra software applications or elements now in existence or hereinafter created, as identified in an Order Form.
