Xxxxxxx Employee definition

Xxxxxxx Employee shall have the meaning set forth in the Employee Matters Agreement.

Xxxxxxx Employee means (i) any individual who, as of the applicable date of determination, is either actively employed by or then on a leave of absence from any member of the Xxxxxxx Group (including maternity, paternity, family, sick, short-term or long-term disability leave, qualified military service under the Uniformed Services Employment and Reemployment Rights Act of 1994, and leave under the Family Medical Leave Act and other approved leaves) or (ii) any individual who is deemed to be a Xxxxxxx Employee pursuant to Section 2.2 of this Agreement.

Xxxxxxx Employee means each employee of Xxxxxxx or any of its Subsidiaries or Affiliates who does not qualify as a Veralto Employee.

Xxxxxxx Employee shall have the same meaning as the term is given in the Plan of Reorganization.

Xxxxxxx Employee means any individual (a) who, as of 12:01 am local time on the Operational Separation Date, is either actively employed by, or on Approved Leave of Absence or Garden Leave from, an Xxxxxxx Entity, (b) who transfers from a Houston Entity to an Xxxxxxx Entity after 12:01 am local time on the Operational Separation Date and before the Distribution Date or (c) who is hired by any Xxxxxxx Entity after 12:01 am local time on the Operational Separation Date; provided, however, that Xxxxxxx Employee will not include any individual who transfers from an Xxxxxxx Entity to a Houston Entity after 12:01 am local time on the Operational Separation Date and before the Distribution Date. For the avoidance of doubt, the term “Xxxxxxx Employee” shall not include any individual that is a Chicago Employee.

Xxxxxxx Employee and “Xxxxxxx Employees” have the meanings given to such terms in Section 3.12(a) of this Agreement.
