Xxxxxxx Licensed Software definition

Xxxxxxx Licensed Software means the software set forth on Schedule 2.02 attached hereto.
Xxxxxxx Licensed Software means any Software that is licensed to Xxxxxxx and/or any Xxxxxxx Affiliate by any third party, used in conjunction with any of the Services.

Examples of Xxxxxxx Licensed Software in a sentence

  • Notwithstanding anything to the contrary under this Agreement, unless otherwise stated in an SOW, Provider shall be solely responsible for obtaining, installing, operating and maintaining at its expense any Xxxxxxx Licensed Software, that Provider, or any third party on Provider’s behalf, installs or operates from within Provider’s own or any Third Party’s computing environment (i.e., its own copy), and Provider shall be solely responsible for the payment of all fees applicable thereto.

  • Subject to the Parties having obtained any Permits for Xxxxxxx Licensed Software, Xxxxxxx grants to Provider, for the sole purpose of providing the Services, the right to use such Xxxxxxx Licensed Software under the terms and scope of the license granted to Xxxxxxx by the licensor thereof.

  • Xxxxxxx agrees, to the extent it is permitted to do so, to pass through to Provider any and all third-party representations, warranties and indemnities, if any, with respect to any Xxxxxxx Equipment or Xxxxxxx Licensed Software used by Provider to provide the Services.

  • In addition, Provider will use Xxxxxxx Licensed Software in compliance with any applicable use restrictions (i) that are disclosed by Xxxxxxx to Provider, or (ii) that are contained in the applicable Third Party Software Licenses governing the use of any Xxxxxxx Licensed Software that are provided or made available to Provider.

  • Provider shall comply with the duties, including use and non-disclosure restrictions imposed on Xxxxxxx by the license agreements for such Xxxxxxx Licensed Software.

Related to Xxxxxxx Licensed Software

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.
