Xxxxxxx Stock Plan means the Xxxxxxx Corporation 2007 Omnibus Incentive Plan, as Amended and Restated.

Xxxxxxx Stock Plan means the Xxxxxxx Financial Corporation 2021 Stock Incentive Plan (which amends and restates the Xxxxxxx Financial Corporation 1992 Stock Option Plan, as amended). All of the issued and outstanding shares of Xxxxxxx Common Stock have been duly authorized and validly issued and are fully paid, nonassessable and free of preemptive rights, with no personal liability attaching to the ownership thereof. There are no bonds, debentures, notes or other indebtedness that have the right to vote on any matters on which stockholders of Xxxxxxx may vote. Except as set forth on Section 4.2(a) of the Xxxxxxx Disclosure Schedule, no trust preferred or subordinated debt securities of Xxxxxxx are issued or outstanding. Other than Xxxxxxx Equity Awards issued prior to the date of this Agreement as described in this Section 4.2(a) and shares issuable in respect of the Xxxxxxx ESPP, as of the date of this Agreement there are no outstanding subscriptions, options, warrants, stock appreciation rights, phantom units, scrip, rights to subscribe to, preemptive rights, anti-dilutive rights, rights of first refusal or similar rights, puts, calls, commitments or agreements of any character relating to, or securities or rights convertible or exchangeable into or exercisable for, or valued by reference to, shares of capital stock or other equity or voting securities of or ownership interest in Xxxxxxx, or contracts, commitments, understandings or arrangements by which Xxxxxxx may become bound to issue additional shares of its capital stock or other equity or voting securities of or ownership interests in Xxxxxxx, or that otherwise obligate Xxxxxxx to issue, transfer, sell, purchase, redeem or otherwise acquire, any of the foregoing. There are no voting trusts, stockholder agreements, proxies or other agreements in effect to which Xxxxxxx is a party or is bound with respect to the voting or transfer of Xxxxxxx Common Stock or other equity interests of Xxxxxxx.

Xxxxxxx Stock Plan means the plan adopted by Xxxxxxx prior to the Effective Time and approved by the stockholders of Xxxxxxx, under which the Xxxxxxx equity-based awards described in Section 5.2 shall be outstanding.

  • In the event of any (i) conflict between the Grant Summary (or any information posted on the Xxxxxx Xxxxxxx Stock Plan Connect System) and this Agreement, the Plan and/or the books and records of the Company, or (ii) ambiguity in the Grant Summary (or any information posted on the Xxxxxx Xxxxxxx Stock Plan Connect System), this Agreement, the Plan and/or the books and records of the Company, as applicable, shall control.

Related to Xxxxxxx Stock Plan

  • Company Stock Plan means any stock option plan or other stock or equity-related plan of the Company.

  • Restricted Stock Plan means either the RPM International Inc. 1997 Restricted Stock Plan or the RPM International Inc. 2007 Restricted Stock Plan and any successor plan or arrangement to either of such plans, but shall not be deemed to mean or include the Omnibus Plan.

  • Stock Plan means any stock incentive, stock option, stock ownership or employee benefits plan of the General Partner.

  • Approved Stock Plan means any employee benefit plan which has been approved by the Board of Directors of the Company, pursuant to which the Company's securities may be issued to any employee, officer or director for services provided to the Company.

  • Parent Stock Plan has the meaning set forth in Section 6.2(a).

  • Company Stock Plans has the meaning set forth in Section 3.02(b).

  • Stock Plans has the meaning set forth in Section 3.1(c).

  • Restricted Stock Unit Agreement means the agreement consistent with the terms of the Plan between the Company and the recipient of a Restricted Stock Unit that contains the terms, conditions and restrictions pertaining to such Restricted Stock Unit.

  • Restricted Stock Unit Award Agreement means a written agreement between the Company and a holder of a Restricted Stock Unit Award evidencing the terms and conditions of a Restricted Stock Unit Award grant.   • Parent Stock Plans has the meaning set forth in Section 4.5(a).

  • Stock Purchase Plan means the employee stock purchase plan to be established by Water Pik pursuant to Section 2.2.

  • Equity Plan means any stock or equity purchase plan, restricted stock or equity plan or other similar equity compensation plan now or hereafter adopted by the Company or the Corporation.

  • DSU means the Understanding on Rules and Procedures Governing the Settlement of Disputes contained in Annex 2 of the WTO Agreement;

  • Company Option Plan means, collectively, each stock option plan, program or arrangement of the Company.

  • Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.

  • Company RSU Award means an award of restricted stock units relating to shares of Company Common Stock granted under a Company Equity Incentive Plan (including any dividend equivalent units credited thereon).

  • Common Stock Agreement means an agreement executed by a Common Stockholder and the Company as contemplated by Section 5, below, which imposes on the shares of Common Stock held by the Common Stockholder such restrictions as the Board or Committee deem appropriate.

  • Employee Stock Purchase Plan means a plan that grants Purchase Rights intended to be options issued under an “employee stock purchase plan,” as that term is defined in Section 423(b) of the Code.

  • RSU Award or “RSU” means an Award of restricted stock units representing the right to receive an issuance of shares of Common Stock which is granted pursuant to the terms and conditions of Section 5(a).

  • Stock Unit Award means a right to receive shares of Common Stock which is granted pursuant to the terms and conditions of Section 7(c).

  • Option Plan has the meaning ascribed to it in section "4.7" hereinbelow;

  • Company Restricted Stock Unit means a restricted stock unit issued pursuant to any of the Company Equity Plans that remains outstanding as of immediately prior to the Effective Time (other than Company Performance Restricted Stock Units).
