CUSTOMER TERMS / TÉRMINOS DEL CLIENTE. Except to the extent of any conflict with explicit terms of a Purchase Order, the Supplier shall comply with the general terms and conditions of purchasing of the Company’s Customer or other agreement received by the Company from the Customer, the Supplier shall be responsible for ascertaining the Customer general terms and conditions that may affect the Supplier’s obligations hereunder. Without restricting the foregoing, the Supplier shall take such steps within the Supplier’s control to enable the Company to meet the Company’s obligations to the Customer under the Customer’s purchase orders. Salvo en la medida que exista un conflicto con los términos explícitos de la Orden de Compra, el Proveedor deberá cumplir con los términos y condiciones generales de la compra del Cliente de la Compañía o algún otro acuerdo recibido por la Compañía del Cliente; el Proveedor será responsable de conocer los términos y condiciones generales del Cliente que pudieran afectar las obligaciones del Proveedor en virtud del presente contrato. Sin restricción de lo anterior, el Proveedor deberá adoptar las medidas dentro del control de éste que permita a la Compañía cumplir con las obligaciones de la misma hacia el Cliente bajo las órdenes de compra del Cliente.
