Käesolev laenuleping (leping), mida aeg-ajalt võidakse täiendada, on sõlmitud (1) Eesti Vabariigi kui laenusaaja,

(2) BITS’i – Rootsi Investeeringute ja Tehnilise Abi Xxxxx xxx vahendaja ja (3) AB Svensk Exportkrediti kui laenuandja, vahel.

Kuna Rootsi Kuningriik, tegutsedes läbi oma agentuuri Rootsi Investeeringute ja Tehnilise Xxx Xxxxx (edaspidi

«BITS»), soovides tugevdada koostööd ja sooje suhteid Xxxxxx xx Eesti Vabariigi (edaspidi «laenusaaja») vahel, on otsustanud eraldada toetuseks majandus- ja sotsiaalsete reformide protsessile Eestis laenu laenusaajale xx xxxx välja Rootsi Kuningriigi garantii laenusaajale sellest laenust välja makstud summadele, mis peavad aitama finantseerida osa Eesti energiasektori rekonstrueerimisprogrammist, nagu see on määratletud käesoleva lepingu lisas 1 (edaspidi «Projekt»);

kuna XXXXxx tegutsenud laenu (defineeritud edaspidi) vahendajana ja on seoses sellega määranud AB Svensk Exportkrediti (edaspidi laenuandja) tegelema ja olema vastutav käesolevaga eraldatud laenu juhtimise ja tagamise eest;

kuna Rootsi Valitsus on volitanud Riksgäldskontoret’it (Rootsi Riigivõla Kontor) Rootsi Parlamendi otsusest tuleneva õigusega andma laenuandjale käesoleva laenu tagatiseks garantiid;

kuna laenusaaja on sõlminud laenulepingu 27. maist 1994. a. (edaspidi «Maailmapanga laenuleping») Rahvusvahelise Rekonstrueerimis- ja Arengupangaga (edaspidi «Maailmapank») Projekti edaspidiseks finantseerimisega abistamiseks;

kuna Maailmapank ja teostajad on sõlminud lepingud (edaspidi «projektlepingud») eelmainitud lepingute järgi saadavate summade jaotamise, väljamaksete ja kasutamise ja Projekti elluviimise ning samuti muude küsimuste kohta;

kuna Tallinna, Tartu ja Pärnu Linnavalitsused, Eesti Energia ja muud Eesti kohalikud omavalitsused ja kütteettevõtted (edaspidi «teostajad») hakkavad Laenusaaja abiga teostama Projekti xx xxxxx sellest abist teeb laenusaaja teostajatele kättesaadavaks Maailmapanga ja käesoleva laenu vahendid; xx

xxxx BITS, laenuandja ja Maailmapank sõlmivad kaaslaenamise lepingu, siis käesolevaga BITS, laenuandja ja laenusaaja lepivad kokku järgnevas:

1. Definitsioonid 1.1.Käesolevas lepingus:

«Pangapäev» tähendab päeva, millel xxxxxx xx valuutaturud on avatud Stockholmis ja New Yorgis või teistes linnades ülekanneteks ja äritehinguteks, mis on nõutavad käesoleva lepinguga;

«BITS» tähendab Rootsi Investeeringute ja Tehnilise Abi Ametit – Xxxxxxxxx 0, 000 00 Xxxxxxxxx; telefax 8 678 50 50; telex 13091 SWEDCOM S;

«Laenusaaja» tähendab Eesti Vabariiki, keda esindab Rahandusministeerium – Suur-Ameerika 1, EE-0100 Tallinn, Eesti; telefax 372 6 317 811; telex 173106 PLAAN SU;

«Laen» tähendab laenusaajale võimaldatud laenu maksimaalsummas 10 000 000 USD xx xxxxxx, mis on vastavaks ajaks välja makstud;

«Laenuperiood» tähendab perioodi esimese väljamakse kuupäevast xxxx xx kaasaarvatud viimase tagasimakse kuupäev;

«Väljamakse kuupäev» tähendab iga päeva, millal osa laenust vastavalt artiklile 4 laenusaajale välja makstakse;

«Sobivad kulutused» tähendab kulutusi seoses Projektile vajalike kaupade ja teenuste eest tasumisega, mida finantseeritakse laenusummadest käesoleva lepingu xxxx 2 jaotuse järgi. Kohalikud kulutused (s.o. kulutused laenusaaja valuutas või laenusaaja territooriumil toodetud kaupade ja teenuste eest) on sobivad kuni 10% ulatuses summast, mis on ette nähtud vastava allprojekti jaoks. Sobivaid kulutusi tuleb arvestada USA dollarites USA dollari ja iga väljamakse valuuta vahelise Stockholmis kehtiva ametliku kursi järgi, mis on kehtestatud kaks pangapäeva enne väljamakset. Kui väljamakse sobivatele kulutustele on juba tehtud, siis on vahetuskursiks kurss, mis kehtis Tallinnas ja kvoteeriti Eesti Panga poolt kaks pangapäeva enne selle makse tegemist;

«Teostajad» tähendab Tallinna, Tartu ja Pärnu Linnavalitsust, Eesti Energiat xx xxxxx kohalikke omavalitsusi ning kütteettevõtteid Eestis;

«Väljamaksete lõppkuupäev» tähendab päeva kolmkümmend kuus (36) kuud pärast käesoleva lepingu allakirjutamist;

«Esimese tagasimakse tähtaeg» tähendab päeva kuuskümmend kuus (66) kuud pärast käesoleva lepingu allakirjutamist;

«Garantii» tähendab Riksgäldskontoret’i poolt laenuandjale antud garantiid;

«Garant» tähendab Riksgäldskontoret’it – Box 16306, 103 25 Stockholm, telefax 8 21 21 63;

«Intressi tasumise päev» tähendab intressiperioodi viimast päeva;

«Intressiperiood» tähendab iga järjestikulist kuuekuulist perioodi, mida arvestatakse vastavalt lõikele 6.2;

«Laenuandja» tähendab AB Svensk Exportkredit’it – Box 16368, S 103 27 Stockholm; telefax: 8 20 38 94, telex 12166 SEK S;

«Projekt» omab lisas 1 kirjeldatud tähendust;

«Projektlepingud» tähendavad lepinguid, mille on sõlminud Maailmapank ja teostajad seoses Maailmapanga laenulepingust tulenevate summade jaotuse, väljamaksmise ja kasutamisega;

«Tagasimakse kuupäev» tähendab iga tagasimakse graafikus äranäidatud kuupäeva, mis on täpsustatud lõigetes 5.1–5.2;

«Tehingu dokumendid» tähendab seda lepingut, Maailmapanga lepingut ja projektlepinguid;

«USD» tähendab Ameerika Ühendriikide ametlikku valuutat mis tahes ajamomendil;

«Maailmapank» tähendab Rahvusvahelist Rekonstruktsiooni- ja Arengupanka;

«Maailmapanga laenuleping» tähendab laenulepingut 27. maist 1994. a. Maailmapanga ja laenusaaja vahel;

«Maailmapanga teatis» tähendab teatist vastavalt lõikele 4.1 lisas 5 antud vormis.

1.2.Viidates mingile lepingule, dokumendile või vahendile, mõeldakse selle all lepingut, dokumenti või vahendit sellises vormis, nagu ta selleks ajaks tehtud muudatuste, parandustega, täienduste ja asendustega kehtib. Kui kontekstist ei ilmne teisiti, tähendavad ainsuses olevad mõisted mitmust ja vice versa.

2. Laenusumma xx xxxxx kasutamine

2.1. Laenusumma.Laenuandja kohustub käesolevaga laenusaajale võimaldama käesoleva lepingu xx xxxxx lisades toodud ja muudel poolte vahel kokku lepitud tingimustel laenu USA dollarites maksimaalsummas kümme miljonit (10 000 000 USD).

2.2. Laenu kasutamine.Laenusaaja tagab laenusummade kasutamise ainult Projekti sobivate kulutuste finantseerimiseks, nii nagu see on sätestatud lisas 2 ja kooskõlas Maailmapanga laenulepingu tingimustega, arvestades sellega, et kui see ei ole vastuolus käesoleva lepinguga, ei saa laenu kasutada väljamakseteks, mis on tehtud enne 30. maid 1994. a.

2.3. Peatamine ja tühistamine.Juhul kui Maailmapanga laen on peatatud või tühistatud osaliselt või tervikuna, siis võib laenuandja vastavalt BITS’ilt saadud juhistele, sellest laenusaajale teatades, peatada või tühistada alates Maailmapanga laenu peatamise või tühistamise päevast kogu väljamaksmata laenu osa. Laenusaaja peab

hüvitama laenuandjale kõik kaotused ja kulud, mida laenuandja või BITSvõivad kanda peatamise või tühistamise tulemusena.

3. Väljamakse eeltingimused

3.1.Laenuandja kohustus teha laen (või osa sellest) laenusaajale kättesaadavaks tuleneb järgnevate eeltingimuste laenuandjat rahuldaval viisil täitmisest:

(i) laenusaaja on vastavalt kõigile seadusest tulenevatele tingimustele volitatud vormistama ja sõlmima käesolevat lepingut;

(ii) garant on kõikide juriidiliste toimingutega volitatud andma garantiid;

(iii) laenusaaja on saanud oma valitsuselt ja kõikidelt teistelt ametiisikutelt kõik käesoleva lepingu ja muude tehingu dokumentide vormistamiseks ja sõlmimiseks vajalikud volitused, kinnitused ja load, sealhulgas (kuid mitte ainult) edastanud laenuandjale Eesti Vabariigi Valitsuse korralduse ärakirja, mis volitab Eesti Vabariigi Suursaadikut kirjutama alla käesolevale lepingule;

(iv) laenuandja on saanud ärakirja Eesti Vabariigi Riigikogu poolt käesoleva lepingu ja muude tehingu dokumentide vormistamise, sõlmimise ja täitmise heakskiitmisest;

(v) isikud, kes laenusaaja ja teiste osapoolte nimel sellele lepingule ja muudele tehingu dokumentidele alla kirjutavad, omavad selleks täielikke volitusi;

(vi) laenuandja on saanud Eesti Vabariigi justiitsministri vastavalt vormistatud juriidilise arvamuse kooskõlas lisaga 3;

(vii) alates selle lepingu sõlmimisest ei ole toimunud mingeid materiaalseid muutusi, mis laenuandja või BITS’i arvates (pärast konsultatsioone laenusaajaga) võiksid oluliselt mõjutada laenusaaja võimet täita oma käesolevast lepingust tulenevaid kohustusi;

(viii) Maailmapanga laenuleping peab olema alla kirjutatud ja täielikult jõustuma (xxxxx tingimuse, mis näeb ette käesoleva lepingu jõustumist); ja

(ix) ei ole toimunud ühtegi sündmust, mis (loob võimaluse ja/või teatava aja möödudes) võiks olla põhjuseks lepingurikkumisele vastavalt käesoleva lepingu lõikele 11.1.

4. Väljamaksed

4.1. Väljamakseprotseduur.Kui on täidetud artiklis 3 loetletud tingimused ja muud käesoleva lepingu tingimused, siis laenuandja teostab laenu väljamakseid järgmisel viisil:

(i) otsemaksetena kolmandale poolele (kaupade ja teenuste müüjale või hankijale);

(ii) tasumine akreditiivide järgi kokkulepitud pangale vastavalt Maailmapanga erilepingutele; või

(iii) väljamaksetena laenusaajale vastavalt Maailmapanga kuluaruannetele (KA meetod) kooskõlas Maailmapanga laenulepingus antud alammääradega või vastavalt selle lepingu poolte kokkuleppele.

Taotlus väljamakseteks tuleb laenusaajal esitada Maailmapangale sellises vormis ja selliste lisadokumentidega, mis on nõutavad Maailmapanga laenulepinguga ja täpsustatud Maailmapanga väljamaksete juhendis ja väljamaksekirjas vastavalt Maailmapanga laenulepingule.

Ärakiri taotlusest tuleb saata laenuandjale koos ärakirjaga vastavate dokumentide loetelust ja akreditiivist (xxx xxxx on).

Kõik väljamaksed tuleb teha ainult pärast laenuandja poolt väljamakse taotluse kohta Maailmapanga teatise saamist.

Laenuandja peab tegema väljamakse viie (5) pangapäeva jooksul pärast vastava Maailmapanga teatise saamist, kuid mitte väiksemas summas kui kakskümmend tuhat (20 000) USD, välja arvatud viimane väljamakse.

4.2. Väljamakse lõppkuupäev.Kui laenuandjaga ei ole kirjalikult kokku lepitud teisiti, ei tehta pärast väljamakse lõppkuupäeva ühtki väljamakset.

5. Tagasimaksed ja ennetähtaegne tagasimaksmine

5.1. Tagasimaksed.Laenusaaja maksab laenuandjale igal tagasimakse kuupäeval tagasi ühe kahekümnendiku (1/20) väljamaksete, mis on tehtud väljamakse lõppkuupäevaks, kogusummast. Esimene tagasimakse tuleb teha kuuskümmend kuus (66) kuud pärast käesoleva lepingu allakirjutamist.

5.2. Tagasimaksete graafik.Koheselt pärast väljamaksete lõppkuupäeva peab laenuandja valmistama xxxx xx edastama laenusaajale tagasimaksete graafiku xxxx 4 vormis («tagasimaksete graafik»), näidates xxx xxxx

tagasimaksmise kuupäeval laenusaaja tehtavate tagasimaksete summad. Xxxxxxx graafik xx xxxx xxxxxx tehtavad täiendused on kohutuslikud, xxx xxxx ei esine ilmset viga. Iga paranduse puhul tagasimaksete graafikus koostab laenuandja parandatud tagasimaksete graafiku, mis asendab eelmist tagasimaksete graafikut ja laenuandja peab esitama laenusaajale koheselt sellest ärakirja.

5.3. Vabatahtlik ennetähtaegne tagasimaksmine.Laenusaaja võib laenuandja nõusolekul maksta ennetähtaegselt tagasi laenusumma tervikuna või osaliselt (kuid ainult osadena, mis on 200 000 USD kordusteks xx xxxxx vähem kui 200 000 USD) koos selleks päevaks kogunenud intressidega ja kõikide muude sellega seoses tasumisele kuuluvate summadega, ükskõik millisel päeval pärast väljamaksete lõppkuupäeva, kui ta on sellest vähemalt 30 (kolmkümmend) päeva enne seda ette teatanud laenuandjale tühistamatu kirjaliku teatisega. Igal sellisel juhtumil peab laenusaaja tasuma laenuandjale kulud, mis kaasnevad laenuandjal sellise ettemaksega (vastavalt lõikele 11.2), mis tuleb tasuda üheaegselt ettemaksega. Kõik sellised ettemaksed arvestatakse maha tagasimaksetest nende tähtaegade vastupidises järgnevuses.

5.4. Kohustuslik ennetähtaegne tagasimaksmine.Kui laenusaaja maksab ennetähtaegselt tagasi Maailmapanga laenu või osa sellest, on ta kohustatud ennetähtaegselt tagasi maksma ka laenuandjale või pärast sellist Maailmapanga laenu ennetähtaegset tagasimaksmist tasuma laenuandja nõudmisel sellise osa laenust koos sellele vastavaks kuupäevaks kogunenud intressiga, et suhe ennetähtaegselt tagasimakstud käesoleva xxxxx xxxxx tagasimaksmata laenu põhisummast oleks sama, kui suhe ennetähtaegselt tagasimakstud Maailmapanga laenu xxxxx xx tagasimaksmata põhisumma vahel. Igal sellisel juhtumil peab laenusaaja koos ettemaksega tasuma laenuandjale kõik kulud, mis kaasnevad sellise ettemaksega (vastavalt punktile 11.2). Kõik sellised ettemaksed arvestatakse maha tagasimaksetest nende tähtaegade vastupidises järgnevuses. Vaatamata ennetähtaegsetele tagasimaksetele Maailmapangale võib BITSleppida laenusaajaga kokku, et kohustuslikku ennetähtaegset tagasimakset vastavalt sellele punktile ei xxx xxxx teha.

6. Intress

6.1. Intressimäär.Käesoleval laenul on fikseeritud aastaintress määras 8,46%.

6.2. Intressiperiood.Iga intressiperiood on kuue (6) kuu pikkune, kusjuures iga pärast esimest väljamakset tehtud väljamakse esimene intressiperiood ühendatakse esimese väljamakse jooksva intressiperioodiga

ja samuti, kui intressiperioodi viimane päev ei ole pangapäev, siis selline intressiperiood lõpeb järgneval pangapäeval, kui see ei sattu järgmisesse kalendrikuusse, millisel juhul intressiperiood lõppeb eelmisel pangapäeval. Samuti, intressiperioodi, millesse langeb esimene tagasimakse kuupäev, lühendatakse nii, et see lõppeb esimese tagasimakse kuupäeval.

6.3. Intressimaksed.Igal intressi tasumise päeval maksab laenusaaja intressi selleks päevaks välja makstud laenu kogusummalt. Intressi arvutatakse vastavalt täpsele päevade arvule intressiperioodi esimesest päevast kuni vastava intressi tasumise päevani 360-päevase aasta baasil.

6.4. Intressi hilinemine.Kui mõni käesolevast lepingust tulenev intressisumma ei ole tasutud tähtaegselt, peab laenusaaja tasuma igalt selliselt põhisumma osalt ja intressisummalt laenuandja nõudmisel intressi aastaarvestuses võrdsena intressimääraga, mida laenuandjale tuleb tasuda asendamaks viibinud summasid päevases arvestuses pluss kaks (2) protsenti, aga mitte vähem kui üks (1) protsent üle käesolevale laenule ette nähtud intressimäära.

7. Tasud ja kulud

7.1. Kohustistasu.Laenusaaja kohustub tasuma kohustistasu 0,5% aastas päevases arvestuses väljamaksmata laenusummadelt alates lepingu allakirjutamise päevast (edaspidi «kogunemise kuupäev») kuni väljamaksete lõppkuupäevani (kaasaarvatud). Kohustistasu tuleb tasuda iga aasta 30. juunil ja 31. detsembril xx xxxx arvestatakse 360 päevase aasta baasil. Kui Maailmapanga laenulepingu määra alandatakse kuni 0,25% aastas xx xxx sellest informeeritakse BITS’i, siis kohustistasu kahandatakse kuni 0,25% aastas.

7.2. Kulud.Laenusaaja kohustub, vaatamata sellele, kas väljamakseid on tehtud, tasuma laenuandjale tema nõudmisel kõik põhjendatud kulutused, tasud ja kahjud xxxxx arvatud juriidilised honorarid, mida on laenuandjale ja/või BITS’ile tekitatud seoses käesoleva lepingu ettevalmistamise, läbi rääkimise ja

vormistamisega, aga xx xxxx kulutused seoses sellega seotud õiguste teostamise või tuvastamisega nii enne xxx xxxxxx kohtuotsust. Vaatamata eespoolöeldule piiratakse kulutusi käesoleva lepingu ettevalmistamiseks, läbirääkimiseks ja vormistamiseks 10 000 USD (xxxxx arvatud kulutused juriidilisele arvamusele vastavalt punktile 3.1 vi, xxx xxxx on).

7.3. Maksudest ja pangakuludest vabastamine.Laenusaaja peab ise maksma või tagama maksmise ja vabastama seega laenuandja ja BITS’i kõikidest kuludest maksudeks, tempelmaksudeks, registreerimiskuludeks jne. ja pangakuludeks seoses käesoleva lepinguga seotud ülekannetega.

7.4. Administratiivkulud.Laenusaaja kohustub enne või seoses esimese väljamaksega tasuma laenu administratiivkuludeks laenuandjale 75 000 USD Maailmapanga abi arvel seoses xxxxx- ja väljamaksetoimingutega.

8. Maksed ja valuuta

8.1. Maksete aeg xx xxxx.Kõik maksed vastavalt käesolevale lepingule tehakse laenuandjale USA dollarites sama päeva fondides läbi New York Clearing House Interbank Payments System’i (või sellistes muudes USD fondides, nagu vastaval ajal tavaliselt kasutatakse rahvusvahelisteks pangaülekanneteks New York’is) mitte hiljem kui 10.00 New Yorgi aja järgi vastava maksete kuupäeval sellise panga sellisele arvele, nagu laenuandja

teatab. Laenuandja peab mitte hiljem kui vastavaks kuupäevaks saama teleksi või telefaksiga teatise ülekande toimumisest.

8.2. Mitte pangapäeval tehtavad maksed.Kõik maksed mitte pangapäeval tehakse järgmisel pangapäeval või xxx xxxxxxx pangapäev langeb järgmisesse kalendrikuusse, vahetult eelneval pangapäeval, ning seda arvestatakse intressisumma määramisel.

8.3. Maksete vabastamine maksudest, nõuetest jne.Kõik käesoleva lepingu järgi tehtavad maksed tuleb teha xxxx igasuguse teatiseta, nõudeta või protestita, kui käesoleva lepinguga erandlikult pole sätestatud teisiti. Kõik maksed, mida laenusaaja peab selle lepingu järgi tegema, tuleb teha xxxx mahaarvamisteta vastunõuetele. Kui mõni Eesti või muu riigi seadus nõuab laenusaajalt kinnipidamiste tegemist ükskõik milliselt käesolevast lepingust tulenevalt makselt või kui laenuandja peab Eestis või kusagil mujal maksma makse või koormiseid summadelt, mida laenusaaja lepingu järgi tasub, siis summa, mida laenusaaja peab tasuma, suureneb ulatuses,

mis on vajalik tagamaks, et pärast nende kinnipidamiste tegemist või laenuandja poolt maksude tasumist, saaks laenusaaja kätte summa, mida ta peaks saama xxxx maksu või koormise tasumise kohustuseta.

8.4. Laenusaaja tingimusteta kohustus tasumiseks.Laenusaaja kohustus tasuda kõik summad vastavalt käesolevale lepingule on tingimusteta ja ei sõltu mingil juhul hankijate või mõne muu temaga koos tegutseva isiku poolt nende hankelepingust või mõnest muust lepingust tulenevate kohustuste täitmisest, xx xxxx ei saa mingil juhul mõjutada laenusaaja või importijate nõuded eksportijate või nendega seotud isikute vastu.

9. Tagatised

9.1.Laenusaaja tagab laenuandjale ja BITS’ile, et:

(a) Laenusaajal on volitused selle lepingu sõlmimiseks ja täitmiseks ja ta on rakendanud kõik meetmed saamaks volitusi laenamaks lepingu järgi ja lepingu vormistamiseks, sõlmimiseks ja täitmiseks;

(b) käesolev leping xxxx xx saab looma kehtiva ja seaduslikult siduva laenusaaja kohustuse kooskõlas selle tingimustele xx xxxx käsitletakse nii Eesti kohtutes ja leping on käesolevas vormis kehtiv nendes kohtutes;

(c) käesoleva lepingu vormistamine, sõlmimine ja täitmine ei ole vastuolus ühegi laenusaaja seaduse, korralduse, määruse või Eesti Põhiseadusega ega ühegi lepingulise või muu eeskirjaga, mis eksisteerib ja on laenusaajale või tema varadele siduv, loob talle kohustisi või muid nõudeid tema varadele,

(d) Laenusaajal on olemas kõik ametivõimude volitused, kinnitused, nõusolekud ja ta on täitnud kõik teavitamised, arvelevõtmised ja registreerimised kõikides Eesti riiklikes või muudes ametiasutustes, mis on nõutavad ja vajalikud käesoleva lepingu ettevalmistamiseks, vormistamiseks ja täitmiseks xx xxxx need kinnitused, nõusolekud ja volitused on täies seadusejõus;

(e) laenusaaja ei ole rikkunud ühtegi lepingut, mille pooleks ta on või mis on siduv talle, tema varadele, mis võiks omada mõju tema materiaalsele olukorrale või tema finantstingimustele;

(f) ükski xxxxx või agentuur ei ole algatanud protseduure, mis võiksid mõjutada laenusaaja materiaalset olukorda või finantstingimusi; ja

(g) käesolevalt lepingult ei võeta Eestis registreerimismaksu või tempelmaksu.

9.2.Kui laenuandjat ei informeerita laenusaaja poolt vastupidises, siis tagatisi, mis on loetletud lõikes 9.1, loetakse kehtivateks teisel pangapäeval enne intressi tasumise kuupäeva samuti, nagu see oli selle pangapäeval.

10. Kohustused

10.1. Üldised kohustused.Laenusaaja kohustub alates käesoleva lepingu kuupäevast niikaua, kui käesoleva lepingu järgi on tagasi maksmata xxxxx xxxxx

(a) teatama BITS’ile ette iga olulise muudatuse tegemisest Projekti elluviimises ja hankima selleks BITS’i nõusoleku;

(b) tagama, et kaupade ja teenuste, mida finantseeritakse laenusummadest, hankimisel juhindutakse ja lähtutakse Maailmapanga lepingule kehtivatest põhitingimustest ja sellistest tingimustest ja/või parandustest, milles BITSja laenusaaja on vastavaks ajaks kokku leppinud;

(c) tagama, et pakkumiseelsed ja pakkumise protseduurid edastatakse (informatsiooni Tallinna Rootsi Saatkonda edasi andes) Rootsi hankijatele, luues võrdseid võimalusi Projektiga seoses finantseeritavate kaupade ja

teenuste pakkumiseks ja võimaldades xxxxx xxxxx vähem soodsaid tingimusi võrreldes oma maa või teiste maade hankijatega. Laenusaaja kinnitab, et ta on saanud Maailmapangalt täieliku vastaval päeval kehtiva ärakirja Maailmapanga hankereeglitest ja kinnitab edasiseks, et ta on nõus Maailmapanga ja BITS’i järelevalvega hangete üle laenusaaja ja teostajate poolt kaupadele ja teenustele ning lubab, et ta rakendab kõiki vajalikke meetmeid selleks, et see järelevalve oleks efektiivne;

(d) tagama, et xxxx xxxx tema käesolevast lepingust tulenevad kohustused järjestuvad vähemalt pari passukõikide teiste tagamata laenusaaja kohustustega, mis tal on praegu või tulevikus;

(e) kohustub koheselt kirjalikult informeerima laenuandjat ja BITS’i kõikidest lepingurikkumistest või sündmustest, mis võivad viidata või aja möödumisel luua lepingurikkumise, aga ka koheselt informeerima laenuandjat ja BITS’i kõikidest muudest sündmustest, mis võiksid mõjutada negatiivselt tema võimet täita tema käesoleva lepingu järgseid kohustusi;

(f) mitte taotlema või lubama taotleda laenusummat või selle osa maksude või kohustiste tasumiseks või mõne muu kulutuse finantseerimiseks, mis ei pea olema finantseeitavad BITS’i poolt selle lepingu järgi; ja

(g) mitte looma või lubama tekitada xxxx BITS’i ja laenuandja eelneva kirjaliku nõusolekuta panti, hüpoteeki, kohustist, koormist või muud nõuet ükskõik millisele oma varale või tulule tagatiseks laenusaaja või mõne muu isiku, firma, organisatsiooni või kompanii võlgadele muul juhul, xxx xxxxxxx tagatis samaaegselt ja laenuandjat rahuldavas ulatuses ei taga ka laenusaaja käesolevast lepingust tulenevaid kohustusi.

10.2. Informatsioon, arvamuste vahetamine, arvepidamine

(a) Projektiinformatsioon ja ülevaatemissioonid.Laenusaaja kohustub BITS’i varustama või tagama varustamise sama informatsiooniga, mida ta esitab Maailmapangale Projekti xxxxx xx ta ei takista BITS’i esindajate osavõttu (i) ühestki arvamustevahetamisest seoses Maailmapanga laenulepingu rakendamisega Projekti edendamiseks, ja (ii) Maailmapanga poolt läbiviidavatest Projekti järelevalvemissioonidest.

(b) Arvamuste vahetamine.BITSja laenusaaja teevad koostööd täielikult tagamaks lepingu eesmärkide saavutamist. Selleks peavad laenusaaja ja BITSaeg-ajalt teise xxxxx nõudmisel vahetama arvamusi ja informatsiooni Projektis saavutatud arengutest ja ei takista Maailmapanga esindajate osavõttu sellistest arvamuste vahetustest. Enne igat sellist arvamuste vahetust peab laenusaaja esitama BITS’ile oma ülevaate ja kommentaarid, raporti Projekti elluviimisel saavutatud arengutest sellise täpsusega, nagu BITSpõhjendatult temalt nõuab.

(c) Raamatupidamine ja arvestus.Laenusaaja peab pidama arvestust ja raamatupidamist, mis peegeldaksid täpselt vastavalt kehtivale raamatupidamispraktikale kulutusi laenusummadest, või tagama nende

pidamise. Laenusaaja peab laskma arvestusdokumente auditeerida igal rahandusaastal vastavalt kehtivatele auditipõhimõtetele sõltumatute audiitorite xxxxx xx esitama need BITS’ile niipea kui võimalik, kuid mitte mingil juhul hiljem xxx xxxx (6) kuud pärast sellise aasta lõppu, kinnitatud koopia sellisest audiitoraruandest sellises ulatuses ja täpsusega, nagu BITSpõhjendatult nõuab, ja varustama BITS’i sellise muu informatsiooniga mainitud arvepidamise ja auditi kohta, nagu BITSaeg-ajalt põhjendatult nõuab.

Kõikide kulutuste kohta, millele väljamakseid on tehtud kuluaruannete järgi, peab laenusaaja säilitama arvepidamist (lepingud, maksekorraldused, arved, kviitungid ja muud dokumendid), mis peegeldaksid selliseid kulutusi viimase kahe (2) aasta jooksul pärast väljamaksete lõppkuupäeva, või tagama nende säilitamise

ja võimaldama BITS’i esindajatel tutvuda selle arvepidamisega. Samuti peab laenusaaja tagama sellise arvepidamise lülitamise ülalpoolmainitud aastaaudititesse ja et sellised auditid sisaldaksid audiitorite eraldi arvamust, et jooksval aastal esitatud kuluaruanded, koos nende ettevalmistamisega kaasnenud kontrollimistega, on sobilikud tehtud väljamaksetega.

11. Lepingu mittetäitmine

11.1.Iga alljärgneva tingimuse esinemisel võib laenuandja või BITSoma äranägemisel lõpetada kõik või mis tahes lepingujärgse kohustuse täitmise ning võib nõuda laenu kohest tagasimaksmist koos lisandunud

intressidega ning kõigi teiste laenuandja poolt määratud päevaks tasumata summadega, kui ta on selleks saanud vastava korralduse BITS’ilt, kui:

(a) laenusaaja käesoleva lepingu järgi ei tasu õigeaegselt intresse või mis tahes muid tasumisele kuuluvaid summasid käesoleva lepingu järgi; või

(b) ükskõik milline laenusaaja tagatis või tema teatis või mõni muu dokument, mida ta esitab vastavalt sellele lepingule, osutub või muutub xxxxxx suhtes ebaõigeks; või

(c) laenusaaja ei suuda täita xxxxx muud lepingu sätet ja see lepingurikkumine on BITS’i või laenuandja arvates abinõude rakendamisel või mitterakendamisel jätkuvalt kestnud 30 päeva pärast teleksit või telefaksi, mis on saadetud laenusaajale; või

(d) mõni laenusaaja praegune või tulevane võlgnevus ei ole tähtaegselt tasutud või on kuulutatud tähtaegselt või ennetähtaegselt tasutavaks või tagatis xxxx xxxxx võlgnevuse eest on jõustunud; või

(e) laenusaaja rikub oma garantiikohustusi või tagatis mõne sellise garantii eest on jõustunud; või

(f) Eesti seaduste muutumine on xxxxx toonud mõne käesoleva lepingu või Maailmapanga laenu lepingu või selle all-lepingute või projektlepingute sätte kehtetuks, ebaseaduslikuks ja mittejõusolevaks muutumise; või

(g) mõni valitsuse litsents, volitus, kinnitus, heakskiit või registreerimine, mis on vajalik laenuandjale tema õiguste täitmiseks, tühistatakse, muudetakse või muutub mõnel muul viisil kehtetuks, või

(h) laenusaaja astub xxxxx xxxxxx lepingusse oma laenuandjatega, millega kuulutab välja üldise moratooriumi oma kreeditoridele ja peatab tagasimaksed kõikidele või osale oma võlgnevustest või teatab kirjalikult oma võimetusest tasuda oma tähtaegseid võlgnevusi; või

(i) toimub mõni muu sündmus, mis laenuandja või BITS’i arvates takistab või võib takistada laenusaaja võimet täita oma käesolevast lepingust tulenevaid kohustusi; või

(j) Maailmapank mingil põhjusel peatab, tühistab või lükkab edasi laenusaaja õiguse saada väljamakseid Maailmapanga laenulepingu järgi või teatab terve või osa väljamakstud põhisumma kohta, et see tuleb tasuda ennetähtaegselt.

11.2.Laenusaaja tagab laenuandjale ja BITS’ile kõikide kulude hüvitamise, mida laenuandja ja BITSvõivad kanda seoses laenusaaja poolse lepingurikkumisega, xxxxx arvatud piiranguteta kaotused, lisatasud ja trahvid, mida laenuandja kannab likvideerides või asendades fonde, mis on nõutavad laenulepingu järgi kuni nende tagasimaksmiseni.

12. Õigustest loobumine

Laenuandja või BITS’i ebaõnnestumist või viivitamist oma mis tahes laenuga seotud õiguse, volituse või soodustuse rakendamisel, ei saa tõlgendada xxx xxxxx õiguse loovutamist ning samuti ei välista mis tahes õiguse, volituse või soodustuse eraldi või osaline rakendamine selle teisiti või edasist rakendamist või ühegi teise õiguse, volituse või privileegi rakendamist.

Ülalmainitud õigused ja meetmed ei välista mis tahes teise seadusejärgse õiguse või meetme rakendamist.

13. Teated ja kirjavahetus

13.1.Kõik lepinguga seotud teated tuleb esitada teleksiga, telefaksiga, xxxxx xx telegraafi xxxx või muul viisil kirjalikult, saadetuna adressaadile aadressil, teleksil või telefaksil, mis on sätestatud punktis 1.1 või sellisel muul aadressil, teleksil või telefaksil, millest aeg-ajalt võidakse kirjalikult teisele poolele teatada. Iga teade loetakse ülalmainitud viisil edastatuks, kui:

(i) kui teleksi xxxx xxxxx ülekande xxxxx saadakse saaja vastukood;

(ii) kui telefaksi xxxx saadakse saajalt pärast selle ülekandmist kinnitus kättesaamisest;

(iii) kui posti xxxx, siis viis päeva pärast postitamist (väljastusteatega);

(iv) muul viisil, kui ta on kätte toimetatud.

13.2.Vaatamata punktile 13.1 on kokku lepitud, et kõik teatised ja nõudekirjad saadetakse posti xxxx või teleksiga, kui mitte tavalisel viisil.

13.3.Kõik teatised mõlemale poolele, mis on tema poolt kätte saadud pärast 4.00 pärastlõunal (kohaliku aja järgi saamisekohas) peavad olema loetud kättesaaduks selle xxxxx poolt järgmisel päeval, millal kohalikud kommertspangad on avatud tehinguteks.

13.4.Kui laenusaaja, BITSvõi laenuandja muudavad oma aadressi, teleksi või telefaksi numbrit, siis peavad nad sellest koheselt teatama kirjalikult oma partnerile.

14. Õiguse üleandmine

14.1.Laenusaaja ei saa oma lepingust tulenevaid õigusi ja kohustusi seaduslikus korras üle xxxx xxxx eelneva kirjaliku nõusolekuta laenusaajalt või BITS’ilt.

14.2.Laenuandja võib, saanud BITS’ilt eelneva nõusoleku, üle anda oma lepingust tulenevaid õigusi ja kohustusi, informeerides sellest teleksi või telefaksi xxxx laenusaajat.

15. Valuutavahetuse hüvitamine

15.1.Laenusaaja kohustub hüvitama kõik käesoleva lepinguga seotud kahjud, mis võivad tuleneda mis tahes otsusest, määrusest või korraldusest xxxxx xxxxx maksmiseks siis, xxx xxxxxxx otsus, määrang või korraldus on väljendatud xxxxx xxxx valuutas kui USD ning vastava summa maksmiseks käesolevas lepingus selleks ettenähtud valuuta ja vahetamisel kohtuotsuse valuutaks vahetuskurssides tekkinud muutuste tõttu tekkivad lisakulutused.

16. Force majeure

16.1.Laenuandja ei vastuta kahjude ja kulutuste eest ning omapoolse lepingukohustuste rikkumise eest, kui need asjaolud tulenevad (Rootsi või muude) seaduste muutumisest, ametivõimude otsustest, sõjast, streigist, blokaadist, boikotist, lokaudist ja vääramatust jõust või muudest sellistest asjaoludest. Streikide, blokaadide, boikottide, lokautide säte kehtib xxxx siis, kui laenuandja ise on nende subjektiks.

17. Muud tingimused

17.1.Käesoleva lepingu mõne sätte ebaseaduslikkus, kehtetus või jõustamatus ei mõjuta kogu lepingu või selle teiste sätete kehtivust ja seaduslikkust xx xxxx sätte ebaseaduslikkuse, kehtetuse või jõustamatuse puhul võib selle laenuandja nõusolekul asendada muude sätetega vastavalt selle lepingu eesmärgile.

17.2.Kõik dokumendid, tõendid ja õiendid, millele on käesolevas lepingus viidatud, peavad, kui see ei ole teisiti lepitud kokku laenuandjaga, olema inglise keeles või rootsi keeles, või xxxxx xxxxxx- või rootsikeelset tõlget, mis on kinnitatud isiku xxxxx, xxxxx määrab laenuandja vastavaks tõlkijaks, ning selline tõlge on laenusaajale siduv.

17.3.Laenuandja poolt laenusaajale väljastatud teatised maksmisele kuuluvate summade kohta on lõplikud ja vaieldamatud, väljaarvatud xxxx ilmse xxx esinemisel.

17.4.Kõik käesoleva lepingu parandused tuleb teha kirjalikult.

17.5.Käesolev leping jääb jõusolevaks kuni kõik selle järgi saadud summad on tagasi makstud.

18. Valitsev seadus ja kohtualluvus

18.1. Valitsev seadus.Käesoleva laenulepingu haldamise ja tõlgendamise aluseks on Rootsi seadused.

18.2. Immuniteedi loovutamine.Laenusaaja loovutab pöördumatult igasuguse sõltumatu immuniteedi oma varadele seoses kohustustega, mis tulenevad käesolevast laenulepingust.

18.3. Kohtualluvuse valimine.Laenusaaja allub vastuvaidlematult Rootsi kohtute jurisdiktsioonile, esimese instantsina Stockholmi Ringkonnakohtule (Stockholms Tingsrätt), kusjuures laenuandja on vaba pöörduma mistahes kohtu xxxxx Eestis või mõnel muul maal, kus laenusaajal on tulusid, laenuandja vabal valikul.

Kohtualluvuse xxxxx xx pea (ega ole mõeldud) piirama laenuandja õigusi rakendada meetmeid laenusaaja vastu ükskõik millise kohtualluvuse korral, ega mingite kohtutoimingute teostamine ei hoia xxx xxxx muu kohtu xxxxx pöördumist kas xxxxx xxxx või muul ajal. Laenusaaja loobub käesolevaga igasugustest eelnevatest või hilisematest nõuetest sellele, et mingi selline toiming, akt või protseduur on teostatud mittesobiva koosseisu poolt.

18.4. Protsessiesindaja.Laenusaaja nimetab käesolevaga Eesti Vabariigi Saatkonna – Xxxxxxxxx 00,

104 40 Stockholm – oma esindajaks ja toimingute teostajaks protsessis (protsessiesindaja). Kui mingil põhjusel protsessiesindaja ei saa oma kohustusi täita, peab laenusaaja koheselt sellest teatama ja 30 päeva jooksul nimetama laenuandjale vastuvõetava asendava protsessiesindaja.

Käesolev laenuleping on sõlmitud inglise keeles kolmes originaaleksemplaris, millest laenusaaja, laenuandja ja

BITSsaavad ühe originaali.

Credit Agreement between the Republic of Estonia, BITS – the Swedish Board for Investment and Technical Support and AB Svensk Exportkredit

This Credit Agreement (the “Agreement”), as the same may be amended from time to time, is made between

(1) The Republic of the Estonia, as Borrower, (2) BITS – The Swedish Board For Investment and Technical Support, as Arranger and (3) AB Svensk Exportkredit, as Lender.

Whereas the Kingdom of Sweden, acting through its agency the Swedish Board for Investment and Technical Support (hereinafter called “BITS”), desiring to strengthen the cooperation and the cordial relations between Sweden and the Republic of Estonia (hereinafter called the “Borrower”), has decided that as a contribution

to the economic and social reform process of Estonia a credit shall be extended to the Borrower and that the Kingdom of Sweden shall issue a guarantee for the commitments of the Borrower under such credit which shall assist in the financing of part of a programme for the rehabilitation of the Estonian energy sector as defined in Schedule 1 to this Agreement (hereinafter called the “Project”);

Whereas BITS has acted as arranger for the Credit (as hereinafter defined) and in this regard nominated AB Svensk Exportkredit(hereinafter called the “Lender”) to handle and be responsible for the administration and the funding of the Credit to be extended hereunder;

Whereas the Swedish Government has authorized Riksgäldskontoret(the Swedish National Debt Office), by virtue of a resolution passed by the Swedish Parliament, to issue a guarantee in favour of the Lender as security for the Credit;

Whereas the Borrower has entered into a loan agreement dated 27 May 1994 (hereinafter called the “World Bank Loan Agreement”) with the International Bank for Reconstruction and Development (hereinafter called the “World Bank”) with regard to further assistance towards the financing of the Project;

Whereas the World Bank and the Executing Agencies have entered into agreements (hereinafter called the “Project Agreements”) in respect of the allocation, withdrawal and use of the proceeds of financing under the aforementioned agreements and the execution of the Project, as well as other matters;

Whereas the municipalities of Tallinn, Tartu and Pärnu, Eesti Energiaand other municipalities and district heating companies in Estonia (hereinafter called the “Executing Agencies”) will, with the Borrower’s assistance, carry out the Project and, as part of the assistance, the Borrower will make available to the Executing Agencies the proceeds of the World Bank Loan and the Credit; and

Whereas BITS, the Lender and the World Bank will enter into a Co-Lenders Agreement. Now therefore BITS, the Lender and the Borrower agree as follows:

1. Definitions

1.1.“Banking Day” means a day on which banks and foreign exchange markets are open for business in Stockholm and New York or such other places for the transaction of business of the nature required by this Agreement;

“BITS” means the Swedish Board for Investment and Technical Support, Xxxxxxxxx 0, 000 00 Xxxxxxxxx, telefax 8 678 50 50, telex 13091 SWEDCOM S;

“Borrower” means the Republic of Estonia duly represented by the Ministry of Finance, 1 Suur-Ameerika EE-0100 Tallinn, Estonia; telefax 372 6 317 811, telex 173106 PLAAN SU;

“Credit” means the credit in the maximum amount of USD 10,000,000.00 to be extended to the Borrower and outstanding at any relevant time hereunder;

“Credit Period” means the period from the first disbursement date up to and including the final repayment date;

“Disbursement Date” means each such day when part of the Credit is disbursed to the Borrower hereunder in accordance with Clause 4;

“Eligible Expenditures” means expenditures in respect of the cost of goods and services required for the Project and to be financed out of the proceeds of the Credit allocated in accordance with Schedule 2 to this Agreement. Local expenditures (i.e. expenditures in the currency of the Borrower or for goods and services supplied from the territory of the Borrower) are duly eligible up to an amount corresponding to 10% of the amount allocated for the respective subproject. The Eligible Expenditures shall be calculated in USD at the official rate of exchange in Stockholm between USD and the currency in which payment of each Eligible Expenditure is to be made, as quoted two Banking Days prior to disbursement. If payment has already been made for the Eligible Expenditures the exchange rate shall be the rate officially quoted in Tallinn, established by The Central Bank of Estonia two Banking Days prior to the day when such payment was made;

“Executing Agencies” means the municipalities of Tallinn, Tartu and Pärnu, Eesti Energiaand other municipalities and district heating companies in Estonia;

“Final Disbursement Date” means the day falling thirtysix (36) months after the signing of this Agreement ; “First Repayment Date” means the day falling sixtysix (66) months after the signing of this Agreement; “Guarantee” means the Guarantee issued by Riksgäldskontoretin favour of the Lender;

“Guarantor” means Riksgäldskontoret; Box 16306, 103 25 Stockholm, telefax 8 21 21 63; “Interest Payment Date” means the last day of each Interest Period;

“Interest Period” means each successive six months period calculated in accordance with Sub-Clause 6.2 hereof;

“Lender” means AB Svensk Exportkredit, Box 16368, S 103 27 Stockholm; telefax no: 8 20 38 94, telex 12166 SEK S;

“Project” shall have the meaning ascribed to it in Schedule 1;

“Project Agreements” means the agreements entered into between the World Bank and the Executing Agencies in respect of the allocation, withdrawal and use of the proceeds of the financing under the World Bank Loan Agreement;

“Repayment Date” means each of the days set forth in the Amortisation Schedule as further specified in Sub- Clauses 5.1–5.2 hereof;

“Transaction Documents” means this Agreement, the World Bank Loan Agreement, the Project Agreements; “USD” means the lawful currency at any relevant time of the United States of America;

“World Bank” means the International Bank for Reconstruction and Development; “World Bank Loan” means the loan extended under the World Bank Loan Agreement;

“World Bank Loan Agreement” means the loan agreement dated 27 May 1994 between the World Bank and the Borrower;

“World Bank Notice” means the notice given in accordance with Sub-Clause 4.1 hereof substantially in the form of Schedule 5 hereof;

1.2.References in these presents to any agreement, document or instrument shall include such agreement, document or instrument as the same may from time to time be varied, amended, supplemented or substituted. Unless the context otherwise requires, words denoting the singular number shall include the plural and vice versa.

2. Amount and Use of the Credit

2.1. Amount of the Credit.The Lender hereby agrees to make available to the Borrower, on and subject to the terms and provisions of this Agreement of which the attached schedules form an integral part, and to such

other provisions as may be agreed upon between the parties, a credit in US Dollars in an aggregate amount not exceeding ten millions (USD 10,000,000.00).

2.2. Use of the Credit.The Borrower shall cause the entire proceeds of the Credit to be applied for the sole purpose of financing Eligible Expenditures for the Project as set out in Schedule 2 and in accordance with the terms of the World Bank Loan Agreement, provided that, notwithstanding anything contained herein to the contrary, no part of the Credit shall be used to finance payments made for such expenditures incurred prior to 30 May 1994.

2.3. Suspension and Xxxxxxxxxxxx.Xx the event that the World Bank Loan is suspended or cancelled in whole or in part then the Lender shall, provided it has received instructions to that effect from BITS, by notice to the Borrower, suspend or cancel, effective as of the date of suspension or cancellation of the World Bank Loan, any undisbursed portion of the Credit. The Borrower shall indemnify the Lender against any loss or expenses which the Lender or BITS may sustain or incur as a consequence of any suspension or cancellation.

3. Conditions Precedent

3.1.The obligation of the Lender to make the Credit (or part thereof) available to the Borrower shall be subject to the following conditions having been fulfilled to the satisfaction of the Lender:

(i) the execution and the performance of this Agreement by the Borrower shall have been duly authorized by all necessary legal action;

(ii) the execution of the Guarantee shall have been duly authorized by all necessary legal action on the part of the Guarantor;

(iii) the Borrower shall have obtained from its government and from any relevant authorities any authorizations, approvals and permits required for the execution and the performance of this Agreement and the other Transaction Documents including but not limited to the receipt of the Lender of a copy of a decree of the Government of the Republic of Estonia authorizing the Ambassador of the Republic of Estonia to sign this Agreement;

(iv) the Lender shall have received a copy of the approval by the Parliament of the Republic of Estonia for the execution, delivery and performance of the Agreement and the transactions contemplated hereby;

(v) the individuals having signed this Agreement and the other Transaction Documents on behalf of the Borrower and the other contracting parties shall have been duly authorized to sign the same;

(vi) the Lender shall have received an opinion duly executed by the Minister of Justice of Estonia in the form set out in Schedule 3 hereto;

(vii) there shall not have occurred any material change since the date of this Agreement which would in the opinion of the Lender and BITS, after communication with the Borrower, be likely to materially prejudice the ability of the Borrower to fulfil its obligations under this Agreement;

(viii) the World Bank Loan Agreement shall have been duly signed and become effective (other than such condition which relates to the effectiveness of this Agreement); and

(ix) no event shall have occurred which (with the giving of notice and/or lapse of time) would constitute an event of default under this Agreement as specified in Sub-Clause 11.1 hereof.

4. Disbursements

4.1. Disbursement Procedure.Subject to the fulfilment of the conditions referred to in Clause 3 above and the other terms and conditions of this Agreement, the Lender shall disburse the Credit in the following manner:

(i) by way of direct payment to a third party supplier or contractor of goods or services;

(ii) by way of payment under a letter of credit to a negotiating bank under a World Bank special commitment arrangement; or

(iii) by way of payment to the Borrower under a World Bank statement of expenditure arrangement (SOE method) according to thresholds set out under the World Bank Loan Agreement or as the parties otherwise agree.

Application for withdrawal shall be submitted by the Borrower to the World Bank in such forms and with such accompanying documents as required under the World Bank Loan Agreement as more specifically set out in the current World Bank disbursement handbook and the disbursement letter applicable to the World Bank Loan Agreement.

A copy of the application shall be sent to the Lender, including also copies of the relevant summary sheet and the letter of credit (if applicable).

Each disbursement shall be made only after the receipt by the Lender of a World Bank Notice in relation to the request for withdrawal. The Lender shall make any disbursement within five (5) Banking Days after receipt of

the Relevant World Bank Notice, but never in an amount less than twenty thousand (20,000.00) USD, except for the last disbursement.

4.2. Final Disbursement Xxxx.Xx disbursement shall be made after the Final Disbursement Date unless otherwise agreed in writing by the Lender.

5. Repayment and Prepayment of the Credit

5.1. Repayment.The Borrower shall repay to the Lender on each Repayment Date an amount equal to one twentieth (1/20) of the aggregate amount of all disbursements made and outstanding on the Final Disbursement Date. The first Repayment Date shall fall sixtysix (66) months from the date of signature of this Agreement.

5.2. Amortization schedule.Promptly after the Final Disbursement Date, the Lender shall prepare and deliver to the Borrower an amortization schedule in the form of Schedule 4 (the Amortization Schedule) setting forth the amount of each repayment instalment to be repaid by the Borrower on each Repayment Date, calculated in the manner provided in Sub-Clause 1 hereof. Such Amortization Schedule and all amendments thereto shall be conclusive in the absence of manifest error. In the event of any amendment to the Amortization Schedule, the Lender shall provide an amended Amortization Schedule which shall replace the original Amortization Schedule, and the Lender shall furnish the Borrower with a copy thereof without delay.

5.3. Voluntary xxxxxxxxxx.Xx any time after the day following the Final Disbursement Date, upon giving not less than 30 days’ prior notice in writing to the Lender, the Borrower may, subject to approval by the Lender, prepay in advance of maturity all or any part (but if in part, only in integral multiples of 200,000 USD and in minimum amount of 200,000 USD) of the Credit, together with all interest accrued thereon up to and including the date of such repayment and any other amounts then payable hereunder in respect thereof. In each such

case the Borrower shall pay to the Lender the costs incurred by the Lender for such prepayment (as per Sub- Clause 11.2), which costs shall be paid simultaneously with such prepayment. Any and all such prepayments shall be applied to discharge the repayment instalments in the inverse order of maturity of such repayment instalments.

5.4. Mandatory xxxxxxxxxx.Xx the event that the Borrower should prepay the World Bank Loan in whole or in part pursuant to the provisions thereof, the Borrower shall prepay to the Lender on or after the date of

prepayment with respect to the World Bank Loan on demand by the Lender such portion of the Credit, together with interest accrued thereon up to and including the date of such prepayment of the Credit, that the ratio of

the amount of the Credit prepaid to the principal amount of the Credit outstanding prior to such prepayment shall be the same as the ratio of the amount of the prepayment of the world Bank Loan to the principal amount of the World Bank Loan outstanding prior to such prepayment of the World Bank Loan. In each such case

the Borrower shall pay to the Lender the costs incurred by the Lender for such prepayment (as per Sub- Clause 11.2), which costs shall be paid simultaneously with such prepayment. Any and all such prepayments shall be applied to discharge the repayment instalments in the inverse order of maturity of such repayment instalments.

Notwithstanding any prepayment of the World Bank Loan, BITS may agree with the Borrower that no mandatory prepayment in accordance with this Sub-Clause shall take place.

6. Interest

6.1. Interest Rate.The Credit shall bear interest at a fixed rate per annumof 8,46% per cent.

6.2. Interest Period.Each Interest Period shall be of a duration of six (6) months, provided, however, that the first Interest Period of each disbursement made after the first disbursement, shall be adjusted so as to coincide with the current Interest Period of such first disbursement and provided further that if the last day of an Interest Period should not be a Banking Day, such Interest Period shall end on the next following Banking Day, unless such day falls in another calender month in which event the Interest Period shall end on the immediately preceding Banking Day.

Furthermore, the Interest Period in which the first Repayment Date falls shall be shortened so as to end on the said first Repayment Date.

6.3. Interest Payment.On each Interest Payment Date the Borrower shall pay interest determined as aforesaid on the day to day balance of the Credit. The interest shall be calculated on the exact number of days elapsed from the first day of the relevant Interest Period up to and including the relevant Interest Payment Date on the basis of a 360 day year.

6.4. Delay Xxxxxxxx.Xx case the Borrower fails to pay any principal or interest payable under this Agreement on the due date thereof, the Borrower shall pay to the Lender on demand, interest on such overdue principal or interest at a rate per annumequal to the rate payable by the Lender for funding the amount overdue on a daily

basis increased by two (2) percent, but not less than one (1) percent above the rate of interest applied to the Credit.

7. Fees and Expenses

7.1. Commitment charge.The Borrower shall pay to the Lender a commitment charge at the rate of 0,5% per annumon the daily unutilized balance of the Credit from the date of signature of the Agreement (such date being hereinafter referred to as the “Accrual Date”) up to and including the Final Disbursement Date. The commitment charge shall be payable on 30 June and 31 December each year and be calculated on the basis of a 360 day year. If the rate in the world Bank Loan Agreement is lowered to 0,25% per annumand if BITS is informed thereof, the commitment charge hereunder will be reduced to 0,25% per annum.

7.2. Expenses.The Borrower shall, whether or not any disbursement is made hereunder, pay to the Lender on demand all reasonable costs, charges and expenses including legal fees incurred by the Lender and/or BITS for and in connection with the preparation, negotiation and execution of this Agreement, as well as all expenses in connection with the enforcement of or preservation of any rights hereunder as well after as before judgement. Notwithstanding the aforesaid the costs for the preparation and negotiation and execution of this Agreement shall be limited to USD 10,000.00 (excluding the costs for legal opinion under Sub-Clause 3.1 (vi), if any).

7.3. Indemnification for taxes and banking charges.The Borrower shall pay or cause to be paid and shall indemnify the Lender and BITS against all taxes, stamp duties, registration fees, etc. and banking charges and fees in connection with payment transactions under this Agreement.

7.4. Administration Fee.The Borrower shall prior to or in connection with the first disbursement hereunder pay an administration fee of USD 75,000.00 to the Lender as an administration fee for the World Bank’s assistance with regard to the procurement and disbursement procedures.

8. Payments and Currency

8.1. Place and time of payment.All payments due hereunder shall be made to the Lender in USD in same day funds settled through the New York Clearing House Interbank Payments System (or in such other USD funds as shall at the relevant time be customary for the settlement of international banking transactions in New York) not later than 10.00 a.m. New York City time on the date on which the relevant payment is due, and to such bank and such account as the Lender shall specify. The Lender shall not later than on the relevant due date have received a telex or telefax advice of the remittance effected.

8.2. Payments to be made on a non-Banking day.All payments falling due on a non-Banking Day shall be made on the next following Banking Day or if such Banking Day would fall in the next calendar month, the immediately preceding Banking Day and interest shall be adjusted accordingly.

8.3. Payments to be free of claims, taxes, etc.Payment of any amount due hereunder shall be made without notice, demand or protest of any kind, unless otherwise expressly stipulated in this Agreement. All payments to be made by the Borrower hereunder, shall be made without any set-off or counterclaim whatsoever. If at any time any law of Estonia or of any other jurisdiction to which the Borrower may make payment hereunder

requires the to make any deduction or withholding of Borrower whatsoever nature from any payment due under the Agreement or if any tax or duty of any kind is payable in Estonia or in any other jurisdiction as aforesaid

by the Lender in respect of sums paid by the Borrower under the Agreement, the sum due from the Borrower in respect of such payment shall be increased to the extent necessary to ensure that after the making of such deduction or withholding or after the discharge of the tax or duty payable by the Lender, the Lender receives a net sum equal to the sum which it would have received had no such tax or duty been payable.

8.4. The Borrower’s unconditional liability to pay.The liability of the Borrower to discharge any amount due under the Agreement is unconditional and in no respect dependent on the fulfilment by a supplier, or by any party cooperating with said supplier, of its obligations under a commercial contract, or any related contract, respectively, and will not be affected in any way by reason of any claim which the Borrower or any importer might have or might consider that it has against an exporter or any such cooperating party or by any other reason whatsoever.

9. Representations and Warranties

9.1.The Borrower represents and warrants to the Lender and BITS that

(a) the Borrower has all requisite power and authority to enter into and perform this Agreement and has taken all necessary action to authorize its borrowing under the Agreement and to authorize the execution, delivery and performance of the Agreement;

(b) the Agreement constitutes and will constitute valid and legally binding obligations of the Borrower enforceable in accordance with its terms and would be so treated in the courts of Estonia and the Agreement is in proper form for its enforcement in such courts;

(c) the execution, delivery and performance of the Agreement do not violate any provision of any law, regulation, decree, order to permit, the constitution of Estonia or any contractual or other provision now existing and binding on the Borrower or on any of its properties and will not result in the creation or imposition of any charge or any other encumbrance whatsoever on any of its assets;

(d) the Borrower has duly obtained all approvals, consents and authorizations of, and has duly effected any declarations, filings or registrations with any governmental or other authority in Estonia which are required or appropriate in connection with the execution, delivery and performance of the Agreement and such approvals, consents and authorizations are in full force and effect;

(e) the Borrower is not in breach of or default under any agreement to which it is a party or which is binding on it or any of its assets to an extent or in a manner which might have a material adverse effect on its financial condition;

(f) no action or administrative proceeding on or before any court or agency which might have a material adverse effect on the financial condition of the Borrower has been started or is threatening; and

(g) no stamp duty or similar taxes or charges in Estonia will be levied on the Agreement.

9.2.Unless the Lender shall have been informed by the Borrower to the contrary, the representations and warranties made in Sub-Clause 9.1 hereof shall be deemed to have been repeated on the second Banking Day prior to each Interest Payment Date as if made on and as of such Banking Day.

10. Covenants

10.1. General Covenants.The Borrower covenants with the Lender and BITS and agrees that as from the date of this Agreement and so long as any amount payable or repayable hereunder remains outstanding it will

(a) notify and obtain the approval of BITS prior to making any substantial alteration to the nature or implementation of the Project;

(b) ensure that procurement of goods and services which are to be financed out of the proceeds of the Credit are made, governed by and effected, in accordance with the General Conditions applicable to the World Bank Loan Agreement and with such particular conditions and/or amendments which BITS and the Borrower agree upon from time to time;

(c) ensure that the prequalification and bidding procedures shall (through information to be submitted to the Swedish Embassy in Tallinn) afford Swedish suppliers adequate opportunities of bidding for the goods and services to be financed in connection with the Project, and give them no less favourable treatment than accorded to suppliers from other countries. The Borrower confirms that it has received from the World Bank a complete and up-to-date copy of the World Bank procurement guidelines and further confirms that it has consented to

the supervision by the World Bank and BITS of the procurement by the Borrower and the Executing Agencies of such goods and services and agrees that the Borrower shall take all necessary steps to ensure that such supervision can be undertaken effectively;

(d) ensure that at all times its obligations hereunder constitute unconditional general obligations of the Borrower ranking at least pari passuwith all other unsecured obligations of the Borrower now or hereafter outstanding;

(e) promptly notify the Lender and BITS in writing of any Event of Default or event which with the giving of notice, lapse of time or other condition would constitute an Event of Default forthwith upon the occurrence thereof and promptly inform the Lender and BITS of any other event which might adversely affect its ability fully to perform its obligations under this Agreement;

(f) not apply nor require nor permit the application of any part of the proceeds of the Credit to the payment of any tax or duty or to any portion of any expenditure financed or to be financed by sources other than BITS under this Agreement; and

(g) not without the prior written consent of the Lender and BITS create or permit to arise or subsist any mortgage, pledge, charge, lien or other encumbrance whatsoever on any of its property or assets as security for any indebtedness of the Borrower or any other person, firm, organization or company unless the benefit of such security shall, at the same time and to the satisfaction of the Lender, be extended equally and rateably to secure the obligations of the Borrower hereunder.

10.2. Information, Exchange of views, Records and Accounts

(a) Project Information and Review Missions.The Borrower shall furnish or cause to be furnished to BITS the same information furnished by the Borrower to the World Bank relating to the Project and shall not object to the participation of representatives of BITS in any (i) exchange of views pursuant to the World Bank Loan Agreement on the progress achieved in carrying out the Project, and (ii) supervision mission of the Project carried out by the World Bank.

(b) Exchange of views.BITS and the Borrower shall cooperate fully to ensure that the purpose of this Agreement shall be accomplished. To that end the Borrower and BITS shall from time to time, at the request of either party, exchange views on the progress achieved in carrying out the Project and shall not object to representatives of the world Bank to participate in each such exchange of views. Prior to each such exchange of views, the Borrower shall furnish to BITS for its review and comment, a report on the progress achieved in carrying out the Project, in such detail as BITS shall reasonably request.

(c) Records and Accounts.The Borrower shall maintain or cause to be maintained records and accounts adequate to reflect in accordance with consistently maintained sound accounting practices the expenditures financed out of the proceeds of the Credit. The Borrower shall have the records and accounts for each fiscal year audited, in accordance with appropriate auditing principles consistently applied, by independent auditors and furnish to BITS as soon as available, but in any case not later than six (6) months after the end of each such year, a certified copy of the report of such audit by said auditors, of such scope and in such detail as BITS shall have reasonably requested and furnish to BITS such other information concerning said records and accounts and the audit thereof as BITS shall from time to time reasonably request.

For all expenditures with respect to which disbursements were made on the basis of statements of expenditure, the Borrower shall maintain or cause to be maintained, records and accounts (contracts, orders, invoices,

bills, receipts and other documents) reflecting such expenditures until at least two (2) years after the Final Disbursement Date, and enable BITS’s representatives to examine such records. Furthermore the Borrower shall ensure that such records and accounts are included in the annual audits referred to above and that the report of such audit contains a separate opinion by said auditors as to whether the statements of expenditure submitted during such fiscal year, together with the procedures and internal controls involved in their preparation, can be relied upon to support the related disbursements.

11. Events of Default

11.1.The Lender may terminate its obligations under this Agreement and the Borrower shall on demand of the Lender repay the Credit together with accrued interest and any other amount payable hereunder on such day as determined by the Lender, provided always that the Lender shall have received instructions to the effect thereto from BITS, if

(a) the Borrower fails to pay on the due date any interest or principal sum or any other amount due under this Agreement; or

(b) any representation or warranty of the Borrower herein or in any certificate or other document furnished pursuant hereto proves to be or becomes at any time incorrect in any material respect; or

(c) the Borrower defaults in the performance of any other provision of the Agreement and such default is, in the opinion of the Lender or BITS, incapable of remedy or, if capable of remedy, continues unremedied for 30 days after telex or telefax notice hereof has been given to the Borrower; or

(d) any present or future indebtedness of the Borrower is not paid when due and payable or is capable of being declared or has been declared prematurely due and payable or the security for any such indebtedness becomes enforceable; or

(e) the Borrower defaults in any guarantee obligation or the security for any such guarantee obligation becomes enforceable; or

(f) any change in the laws of Estonia occurs which has the effect to render any provision of the Agreement or the World Bank Loan Agreement or any of its subsidiary loans or the Project Agreements invalid, illegal or enforceable; or

(g) any governmental license, authorization, consent, approval or registration necessary to permit the Lender to enforce its rights hereunder is revoked, withdrawn, modified or withheld or shall otherwise fail to remain in full force and effect; or

(h) the Borrower enters into any composition or other arrangement with its creditors generally, declares a moratorium or stops payment of all or part of its indebtedness or admits in writing its inability to pay its debts as they fall due; or

(i) any other event occurs which in the opinion of the Lender or BITS jeopardizes or may jeopardize the ability of the Borrower to perform or observe any of its obligations hereunder; or

(j) the World Bank for any reason suspends, cancels or terminates the right of the Borrower to make withdrawals under the world Bank Loan Agreement or declares all or part of the principal amount of the loan disbursed thereunder to be due and payable prior to its stated maturity.

11.2.The Borrower shall indemnify the Lender and BITS against any loss or expenses which the Lender or BITS may sustain or incur as a consequence of any default by the Borrower, including without limitation all losses, premiums and penalties incurred or to be incurred by the Lender in liquidating or reemploying funds acquired to effect or maintain the Credit until the date of repayment.

12. Waiver

No failure to exercise and no delay in exercising, on the part of the Lender or BITS, any right, power or privilege hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power or privilege preclude any other or further exercise thereof, or the exercise of any other power or right. The rights and remedies herein provided are cumulative and not exclusive of any rights or remedies by law.

13. Notices and Demands

13.1.Any notice and demand in relation to this Agreement shall be given or made by telex, telefax, mail, cable or otherwise in writing, sent or delivered to the addressee at its address, telex or telefax set forth in Sub- Clause 1.1 above or to such other address, telex or telefax number as it may from time to time designate in writing to the other party. Each communication as aforesaid shall be deemed to have been effectively given:

(i) if given by xxxxx, upon receipt by the sender of the recipients’ answerback code at the end of the transmission;

(ii) if given by xxxxxxx, upon receipt by the sender of the confirmation-receipt at the end of the transmission;

(iii) if given by mail, five days after such communication was deposited in the mail (postage prepaid); and

(iv) if given by any other means, when delivered.

13.2.Notwithstanding the provisions of Sub-Clause 13.1 hereof, it is agreed that all notices and demands shall be sent by mail or telex if not of a routine nature.

13.3.Any communication to either party hereunder which is received by that party after 4.00 p.m. (local time in the place of receipt) shall be deemed to have been received by that party on the next day on which commercial banks in the place of receipt are open for business.

13.4.If the Borrower, BITS or the Lender should change its address, telefax or telex number, it shall promptly give written notice to that effect to the other party.

14. Assignments

14.1.The Borrower may not assign or transfer its rights or obligations under the Agreement without the prior written consent of the Lender and BITS.

14.2.The Lender may, provided BITS has given its prior approval, at any time assign or transfer its rights or obligations under the Agreement upon notification by telex or telefax to the Borrower.

15. Currency Indemnity

15.1.The Borrower agrees to indemnify the Lender against any evidenced loss incurred by it as a result of any judgement being given for the payment of any amount due hereunder and such judgement being expressed in a currency other than USD and as a result of any variation having occurred in rates of exchange between the date of any amount becoming due hereunder and the date of actual payment thereof. The foregoing indemnity shall constitute a separate and independent obligation of the Borrower and shall apply irrespective of any indulgence granted to the Borrower from time to time and shall continue in full force and effect until payment is actually received by the Lender.

16. Force majeure

16.1.The Lender shall not be held responsible for any loss or damage or failure to perform any of its obligations hereunder resulting from a legal enactment (Swedish or foreign), the intervention of a public authority (Swedish or foreign), an act of war, a strike, a blockade, a boycott, a lockout, vis majoror any other similar circumstance. The reservation in respect of strikes, blockades, boycotts, lockouts applies even if the Lender itself is subject to such measures or takes such measures.

17. Miscellaneous

17.1.The illegality, invalidity or unenforceability of any provision of this Agreement under the law of any jurisdiction shall not affect its legality, validity or enforceability under the law of any other jurisdiction nor the legality, validity or enforceability of any other provision hereof, and any illegal, invalid or unenforceable

provisions shall at the request of the Lender be replaced by other provisions in accordance with the purpose and meaning of this Agreement.

17.2.Each document, certificate and statement referred to in this Agreement or to be delivered hereunder shall, unless otherwise agreed by the Lender, be in the English or Swedish language or be accompanied by an English or Swedish translation thereof certified by such person as the Lender may determine as being an accurate translation and such translation shall be binding upon the Borrower.

17.3.A certificate or statement given or made by the Lender as to any amount payable under this Agreement shall be conclusive, except in the case of manifest error.

17.4.Any amendment to this Agreement shall be made in writing.

17.5.This Agreement shall remain in full force and effect until all monies hereunder have been repaid.

18. Governing Law and Jurisdiction

18.1. Governing law.This Agreement shall, in all respects, be governed by and construed in accordance with the laws of Sweden.

18.2. Waiver of immunity.The Borrower hereby irrevocably waives any immunity relating to either jurisdiction or execution on the grounds of sovereignty or otherwise to which it or its property may be or may become entitled.

18.3. Right to select jurisdiction.The Borrower hereby submits to the non-exclusive jurisdiction of the Swedish courts, in the first instance the District Court of Stockholm (Stockholms Tingsrätt), provided always that the Lender shall be free to sue before the courts of Estonia or a court in any other country where the Borrower has assets, as the Lender may select.

The submission to the said jurisdiction shall not (and shall not be construed so as to) limit the right of the Lender to take proceedings against the Borrower in whatsoever jurisdiction shall to it seem fit nor shall the taking

of proceedings in any one or more jurisdictions preclude the taking of proceedings in any other jurisdiction, whether concurrently or not. The Borrower hereby irrevocably waives any claim it may now or hereafter have that any such suit, action or proceeding has been brought in an inconvenient forum.

18.4. Process Agent.The Borrower irrevocably designates and appoints the Estonian Embassy, Xxxxxxxxx 00, 000 00 Xxxxxxxxx, to receive for it and on its behalf service of process. If for any reason the process agent ceases to be able as such, the Borrower shall promptly notify the Lender and within 30 days appoint a substitute process agent acceptable to the Lender.

This Agreement has been executed in three copies of which the Borrower, the Lender and BITS have taken one each.
