WAIVER Clausole campione

WAIVER. The delay or failure of either Party to enforce at any time or for any period of time any of the provisions of this agreement shall not be construed as a waiver of such provisions or of the right of the Party to thereafter seek their enforcement.

WAIVER. If the Participant fails to comply with these General Conditions, failure on the part of ROI GROUP S.r.l. to exercise its right to act against the Participant does not constitute a waiver of action for violation of commitments made by the same Participant.

WAIVER. Failure by AUTEC to enforce at any time the provisions of these general conditions, shall not be construed as a waiver of such provision nor shall it prevent AUTEC to thereafter enforce each and every provision herein.

WAIVER. No Party waives its right to enforce any and all provisions of the Agreement at any time during the term. A Party’s failure to enforce any provision shall not prejudice such Party from later enforcing or exercising the same or any other provision of the Agreement.

WAIVER. Any delay in enforcing a Party’s rights under this Agreement or any notice of waiver (only effective if in writing and signed) as to a particular default or other matter shall not constitute a waiver of such Party’s rights with regard to the future enforcement of its rights under this Agreement.

WAIVER. No action of Licensor, other than express written waiver, may be construed as a waiver of any provision of this Agreement.

WAIVER. No concession or waiver, total or partial, of the rights deriving from application of these General Terms and Conditions of Sale, by the Seller in favor of the Purchaser, shall cancel the obligations accepted by the Purchaser with the Seller.

WAIVER. No failure of Sicis to insist upon strict compliance by Buyer with these Terms and Conditions or to exercise any right accruing from any default of Buyer shall impair Sicis’ rights in case Buyer’s default continues or in case of any subse- quent default by Buyer. Sicis’ salespeople may have made oral statements about the Products. Such statements do not constitute warranties, shall not be relied on by Buyer and are not part of any agreement. These Terms and Conditions may be modified only by a writing signed by an authorized representative of Sicis.

WAIVER. Any failure or delay of either Party to exercise any rights or powers under this Agreement shall not be deemed to be a waiver of those or any other rights, nor will any single or partial exercise of them preclude any further exercise, unless expressly so agreed in writing by such Party.
