Premesso che:

- è interesse del Promotore effettuare la sperimentazione clinica dal titolo: “Studio randomizzato di fase 3 su MRTX849 in associazione con cetuximab rispetto alla chemioterapia in pazienti con cancro colorettale avanzato con mutazione G12C del KRAS e progressione della malattia durante o dopo terapia standard di prima linea” (di seguito “Sperimentazione”), avente ad oggetto il Protocollo 849-010 versione n. 3 del 22 marzo 2021 e suoi successivi emendamenti debitamente approvati (di seguito “Protocollo”), codice EudraCT n. 0000-000000-00 presso l’Ente, sotto la responsabilità del Prof Xxxxxxx Xx Xxxx, in qualità di Responsabile scientifico della sperimentazione oggetto del presente Contratto (di seguito “Sperimentatore principale”), presso il

S.C.D.U di Oncologia (di seguito “Centro di sperimentazione”);

- il Promotore individua quale proprio referente scientifico per la parte di propria competenza il Dott. Xxxxxx X. Xxxxxx. Il Promotore può modificare il referente scientifico per la parte di propria competenza con notifica scritta all’Ente;

- il Centro Sperimentale possiede le competenze tecniche e scientifiche per la sperimentazione ed è struttura adeguata alla conduzione della sperimentazione nel rispetto della normativa vigente;

- lo Sperimentatore e i collaboratori che svolgono qualsiasi parte della Sperimentazione sotto la supervisione dello Sperimentatore (di seguito “Co- sperimentatori”) sono idonei alla conduzione della Sperimentazione in conformità alla normativa applicabile, conoscono il Protocollo e le norme di buona pratica clinica e possiedono i requisiti normativi e regolamentari necessari, compreso il rispetto della normativa vigente riguardante il conflitto di interessi;

- salvo quanto eventualmente, successivamente, diversamente concordato per iscritto dalle Parti, l’Ente e l’Università dovranno condurre la Sperimentazione esclusivamente presso le proprie strutture;

Whereas:

- the Sponsor is interested in conducting the clinical trial entitled: “A Randomized Phase 3 Study of MRTX849 in Combination with Cetuximab Versus Chemotherapy in Patients with Advanced Colorectal Cancer with KRAS G12C Mutation with Disease Progression On or After Standard First-Line Therapy” (hereinafter the “Trial”), concerning Protocol 849-010 version no. 3 dated 22 Mar 21 and its duly approved subsequent amendments (hereinafter the “Protocol”), EudraCT code no. 0000-000000-00 at the Institution, under the responsibility of Prof. Xxxxxxx Xx Xxxx, as the Scientific Supervisor for the trial specified in this Agreement (hereinafter the “Principal Investigator”), at the Oncology Unit (hereinafter the “Trial Site”);

- the Sponsor appoints as its scientific advisor, for its own scope of competence, Dr Xxxxxx X. Xxxxxx. The Sponsor may change the scientific advisor, for its own scope of competence, via written notice to the Institution;

- the Trial Site has the technical and scientific skills required for the Trial and is a facility suitable for conducting the trial in compliance with applicable legislation;

- the Investigator and collaborators who carry out any part of the Trial under the supervision of the Investigator (hereinafter the “Co-investigators”) are qualified to conduct the Trial in accordance with applicable law, have knowledge of the Protocol and standards of good clinical practice and meet the necessary legal and regulatory requirements, including compliance with current legislation regarding conflict of interest;

- unless otherwise agreed to in writing, subsequently or eventually, by the Parties, the Institution and the University shall conduct the Trial exclusively at its own facilities;

l’Ente, pur essendo dotato di apparecchiature idonee all’esecuzione della Sperimentazione, riceve in comodato d’uso gratuito dal Promotore, ai sensi e per gli effetti del Codice Civile, le attrezzature e/o i beni fondamentali per il buon esito della Sperimentazione, elencate all’art. 5 del presente Contratto;

- il Promotore/CRO ha presentato ad AIFA (di seguito “Autorità Competente”), in virtù del D. L. n. 158 del 13 settembre 2012 (“Decreto Balduzzi”), convertito con L. n. 189 del 8 novembre 2012, nei termini previsti dalla normativa, la domanda di autorizzazione allo svolgimento della Sperimentazione;

- ai sensi dell’art. 7 del D. Lgs. N. 211 del 24 giugno 2003, in data 17 settembre 2021, il Promotore/CRO ha ottenuto il Parere Unico favorevole all’effettuazione della Sperimentazione da parte del Comitato Etico CAMPANIA NORD, Comitato Etico Coordinatore della Sperimentazione per l’Italia e in data il Comitato Etico competente ha espresso parere favorevole alla conduzione della Sperimentazione, accettando il Parere Unico favorevole di cui sopra;

- ai sensi del D.M. del 14 luglio 2009, il Promotore ha stipulato la polizza assicurativa come meglio precisato al successivo art.8 del presente Contratto.

- il Consiglio del Dipartimento di Oncologia dell’Università degli Studi di Torino ha autorizzato la Sperimentazione clinica in data 13 dicembre 2021;

- ai sensi dell’art. 66 del D.P.R. 382/80, le Università, purchè non vi osti lo svolgimento della loro funzione scientifica e didattica istituzionale, possono eseguire attività di ricerca stabilite mediante contratti e convenzioni con Enti pubblici e privati.

Tutto ciò premesso, tra le Parti si conviene e si stipula quanto segue:

- the Institution, although equipped with the equipment suitable for conducting the Trial, receives on free loan for use from the Sponsor, in accordance with and for the purposes of the Italian Civil Code, the equipment and/or goods essential for the successful outcome of the Trial, listed in Article 5 of this Agreement;

- the Sponsor/CRO has submitted to AIFA [Italian Medicines Agency], (hereinafter the “Competent Authority”), pursuant to Legislative Decree No. 158 of 13 September 2012 (“Balduzzi Decree”), transposed by Law No. 189 of 8 November 2012, in accordance with legal stipulations, the application for authorisation to conduct the Trial;

- pursuant to Article 7 of Legislative Decree No. 211 of 24 June 2003, on 17 Sep 2021, the Sponsor/CRO obtained the favourable Single Opinion regarding the conduction of the Trial by the Ethics Committee CAMPANIA NORD, the Trial’s Coordinating Ethics Committee for Italy on , and the competent Ethics Committee expressed a favourable opinion for the conduct of the Trial, accepting the above favourable Single Opinion;

- pursuant to the Ministerial Decree of 14 July 2009, the Sponsor has taken out the insurance policy specified in the below Article 8 of this Agreement.

- the Board of the Department of Oncology, University of Turin authorized the clinical trial on 13 De 2021;

- pursuant to article 66 of Presidential Decree 382/1980, Universities may conduct research activities established through contracts and agreements with public and private entities, as long as this work does not interfere with the performance of their institution’s scientific and teaching functions.

Now, therefore, the Parties hereby agree and stipulate as follows:

Art. 1 – Premesse

1.1 Le premesse, il Protocollo, anche se non materialmente accluso, e tutti gli allegati, incluso il budget (Allegato A) e il glossario relativo alla protezione dati personali (Allegato B), fanno parte integrante e sostanziale del presente Contratto.

Art. 2 – Oggetto

2.1 Il Promotore/CRO affida all’Ente l’esecuzione della Sperimentazione alle condizioni indicate nel presente Contratto, in accordo col Protocollo, con gli eventuali successivi emendamenti, nonché con le modifiche al

1.1 The recitals, the Protocol, even if not physically attached, and all other annexes, including the Budget (Annex A), and the glossary relating to personal data protection (Annex B), constitute an integral and substantive part of this Agreement.

Article 2 – Purpose

2.1 The Sponsor/CRO entrusts the Institution with the conduction of the Trial pursuant to the conditions indicated in this Agreement, in accordance with the Protocol and any subsequent amendments, as well as

La Sperimentazione deve essere condotta nel più scrupoloso rispetto del Protocollo, nella versione vigente, accettata dallo Sperimentatore principale e approvata dal Comitato Etico e dall’Autorità Competente, in conformità alla vigente normativa in materia di sperimentazioni cliniche di medicinali e ai principi etici e deontologici che ispirano l’attività medica dei professionisti a vario titolo coinvolti.

2.3 La Sperimentazione deve essere altresì condotta in conformità ai principi contenuti nella Convenzione sui Diritti dell’Uomo e la Biomedicina, nella Dichiarazione di Helsinki nella versione aggiornata, nelle vigenti regole della Buona Pratica Clinica, e in conformità delle leggi applicabili in tema di trasparenza e prevenzione della corruzione, nonché di protezione dei dati personali secondo la normativa vigente.

2.4 Con la sottoscrizione del presente Contratto, le Parti dichiarano di conoscere e accettare il contenuto di quanto sopra richiamato.

2.5 Il Promotore e lo Sperimentatore principale, avendo l’obbligo di tutelare la salute dei pazienti, quando ricorrano le circostanze, possono adottare urgenti e adeguate misure a tutela della sicurezza dei pazienti, quali la sospensione temporanea dello studio (interruzione del trattamento per i pazienti già coinvolti nella sperimentazione, ovvero interruzione dell’inclusione di nuovi soggetti), anche in assenza delle necessarie approvazioni dal parte del Comitato Etico e dell’Autorità Competente, fermo restando l’obbligo per il Promotore di informare immediatamente il Comitato Etico e l’Autorità Competente, oltre che i partecipanti allo studio in merito ai nuovi eventi, alle misure intraprese e al programma di provvedimenti da adottare, completando tempestivamente le procedure previste dalla vigente normativa.

with any changes to this Agreement/budget resulting therefrom and formalised through the necessary amending documents, promptly signed.

2.2 The Trial must be conducted in strict compliance with the Protocol, in its current version, accepted by the Principal Investigator and approved by the Ethics Committee and the Competent Authority, in compliance with the applicable legislation concerning clinical trials on medicinal products and the ethical and deontological principles underpinning the medical activity of the professionals involved in various capacities.

2.3 The Trial must furthermore be conducted in accordance with the principles contained in the Convention on Human Rights and Biomedicine, the updated version of the Declaration of Helsinki, the applicable standards of Good Clinical Practice, and in accordance with the applicable laws on transparency and prevention of corruption, as well as the protection of personal data according to applicable legislation.

2.4 By signing this Agreement, the Parties declare to have knowledge of and accept the contents above.

2.5 The Sponsor and the Principal Investigator, having the obligation to protect the health of patients, may, when circumstances so warrant, adopt urgent and appropriate measures to protect the safety of patients, such as the temporary suspension of the study (interruption of treatment for patients already involved in the Trial, or interruption of the inclusion of new subjects), even in absence of the necessary approvals from the Ethics Committee and the Competent Authority, without prejudice to the Sponsor’s obligation to immediately inform the Ethics Committee and the Competent Authority, in addition to the study participants, on any new events, on measures undertaken and the plan of provisions to be adopted, completing, in a timely manner, the procedures required by applicable legislation.

2.6

Poiché la Sperimentazione prevede l’arruolamento competitivo dei pazienti, è prevista da parte dell’Ente e dell’Università l’inclusione di circa 5 soggetti, con il limite del numero massimo di 420 pazienti candidabili alla Sperimentazione a livello globale e dei termini previsti dal Promotore.

Il periodo previsto di inclusione è suscettibile di modifiche in funzione del suo andamento anche a livello internazionale. Al raggiungimento del numero

Since the Trial calls for the competitive enrolment of patients, the Institution and the University are expected to include approximately 5 subjects, without exceeding the maximum limit of 420 patients eligible for the Trial at the global level and according to the terms set forth by the Sponsor.

otale dei pazienti previsti per l’intera perimentazione, l’inclusione di ulteriori pazienti errà automaticamente chiusa, indipendentemente al numero di pazienti inclusi presso l’Ente, a eccezione dei pazienti che hanno già fornito il loro consenso a partecipare alla Sperimentazione, a meno che essi stessi non ritirino il consenso. Il Promotore provvederà a inviare all’Ente e all’Università adeguata e tempestiva comunicazione.

2.7 L’Ente e il Promotore conserveranno la documentazione inerente la Sperimentazione (fascicolo permanente “trial master file”) per il periodo di tempo secondo le specifiche indicate dalla vigente legislazione. L’Ente si impegna, alla data del presente provvedimento, a conservare la documentazione per un periodo di sette anni (o per un periodo più lungo, qualora ciò sia richiesto da altre norme applicabili o da un accordo economico tra Ente e Promotore). Il Promotore ha l’obbligo di comunicare al Centro Sperimentale l’avvenuta scadenza del termine dell’obbligo di conservazione (solo se richiesto). A richiesta del Promotore, dopo lo spirare del termine suddetto, le Parti potranno concordare le condizioni di un ulteriore periodo di conservazione.

2.8 L’Ente e il Promotore, ciascuno per gli ambiti di propria competenza, si obbligano inoltre a conservare la citata documentazione adottando delle forme di digitalizzazione (o dematerializzazione) documentale. Indipendentemente dal fatto che l’archiviazione della documentazione inerente la Sperimentazione riguardi o meno dati personali (di natura particolare meno), secondo le definizioni del Regolamento (UE) n. 679/2016, l’Ente e il Promotore dovranno adottare tutte le misure fisiche e tecniche di cui all’art. 32 del citato Regolamento (UE) n. 679/2016 ed effettuare gli eventuali controlli di sicurezza previsti dalla ISO 27001 e sue successive modificazioni, a protezione di dati, informazioni e documenti (sia cartacei che elettronici). Il sistema di archiviazione adottato dovrà garantire non solo l’integrità dei dati, delle informazioni e dei documenti cartacei ed elettronici, ma altresì la loro futura leggibilità per tutto il periodo previsto dall’obbligo di conservazione. Per l’espletamento di tale obbligazione, sia il Promotore che l’Ente potranno avvalersi di soggetti esterni che gestiscano tale obbligo di archiviazione.

2.9 Il Promotore, l’Ente, l’Università e lo Sperimentatore principale devono rispettare le direttive, le indicazioni, le istruzioni e le

envisaged for the entire Trial, the inclusion of additional patients will be automatically closed, regardless of the number of patients included at the Institution, with the exception of patients who have already given their consent to participate in the Trial, unless said patients withdraw their consent. The Sponsor shall appropriately and promptly notify the Institution and the University.

2.7 The Institution and the Sponsor shall retain the documentation pertaining to the Trial (permanent “trial master file”) for the period of time specified in the applicable legislation. The Institution undertakes, as of the date of this provision, to retain the documentation for a period of seven years (or for a longer period, if so required by other applicable regulations or by a financial agreement between the Institution and the Sponsor). The Sponsor is obligated to notify the Trial Site of the expiry of the obligatory retention period (only if requested). At the request of the Sponsor, upon the expiry of the above term, the Parties may stipulate the conditions of an additional retention period.

2.8 The Institution and the Sponsor, each within their area of competence, also undertake to retain the aforementioned documentation by adopting forms of document digitisation (or dematerialisation). Regardless of the fact that the filing of the Trial documentation concerns personal data or not (of a particular nature or not), according to the definitions of Regulation (EU) 2016/679, the Institution and the Sponsor must adopt all the physical and technical measures set forth in Article 32 of the aforementioned Regulation (EU) 2016/679 and carry out any security checks required by ISO 27011 and subsequent amendments, in order to protect data, information and documents (both in paper and electronic format). The filing system adopted must guarantee not only the integrity of the data, the information and the paper and electronic documents, but also their future readability for the entire period envisaged by the retention obligation. To satisfy this obligation, both the Sponsor and the Institution may have recourse to third-party resources to manage this filing obligation.

2.9 The Sponsor, the Institution, the University and the Principal Investigator must comply with the directives, indications, instructions, and recommendations issued by the Ethics Committee and the Competent Authority.

Art. 3 – Sperimentatore principale e Co- sperimentatori

3.1 Lo Sperimentatore principale sarà coadiuvato nell’esecuzione della Sperimentazione dal personale, sanitario e non sanitario, nonché da eventuali collaboratori incaricati dall’Ente stesso o dall’Università, designati dallo stesso e operanti sotto la sua responsabilità per gli aspetti relativi alla presente Sperimentazione, che sia qualificato per la conduzione della Sperimentazione, che abbia ricevuto preventivamente adeguata formazione prevista dalla normativa vigente dal Promotore/CRO e che abbia manifestato la propria disponibilità a partecipare alla Sperimentazione (di seguito Co-sperimentatori). Fermo quanto precede, non rientra nella definizione di ‘Sperimentatori’ il personale medico e non medico che nell’ambito della Sperimentazione svolga attività istituzionale propria (ad es. farmacisti ospedalieri che allestiscono i medicinali sperimentali).

3.2 Le Parti prendono atto che lo Sperimentatore principale è tenuto a ogni responsabilità e obbligo imposti a tale figura dalla normativa vigente in materia di sperimentazioni cliniche di medicinali.

3.3 Il presente rapporto intercorre tra Promotore/CRO, l’Ente e l’Università. Il Promotore/CRO è estraneo a rapporti esistenti tra l’Ente, l’Università e lo Sperimentatore principale e Co-sperimentatori, restando quindi sollevato da qualsiasi pretesa che il personale dell’Ente o dell’Università coinvolto nello studio dovesse avanzare in relazione alla Sperimentazione.

3.4 In relazione alla Sperimentazione oggetto del presente Contratto, è fatto divieto allo Sperimentatore principale e ai Co-sperimentatori di ricevere, direttamente o indirettamente, compensi dal Promotore/CRO, così come di avere contatti o intrattenere con il Promotore/CRO rapporti di qualsiasi natura, che non siano di carattere tecnico scientifico.

3.5 Qualora il rapporto tra lo Sperimentatore principale e l’Ente/Università dovesse per qualsiasi ragione concludersi, l’Ente/Università deve informarne tempestivamente per iscritto il Promotore/CRO, indicando il nominativo di un sostituto. Article 3 – Principal Investigator and Co-investigators

3.1 For the conduction of the Trial, the Principal Investigator will be assisted by both healthcare and non-healthcare personnel, as well as by any collaborators appointed and designated by the Institution or by University and operating under its responsibility for the aspects relating to this Trial, who are qualified to conduct the Trial, have received prior adequate training in accordance with applicable legislation by the Sponsor/CRO, and who have expressed their willingness to participate in the Trial (hereinafter referred to as “Co-investigators”). Without prejudice to the above, the definition of ‘Investigators’ does not include medical and non-medical personnel who carry out their own institutional activities within the scope of the Trial (e.g. hospital pharmacists who prepare the investigational medicinal products).

3.2 The Parties acknowledge that the Principal Investigator is bound by all the responsibilities and obligations imposed on said role by applicable legislation concerning clinical trials on medicinal products.

3.3 This relationship exists between the Sponsor/CRO the Institution, and University. The Sponsor/CRO is not part of existing relationships between the Institution, University, the Principal Investigator and the Co- investigators, thus being released from any claims that the Institution’s or University’s personnel involved in the study may make in relation to the Trial.

3.4 With regard to the Trial specified in this Agreement, the Principal Investigator and the Co-investigators are prohibited from receiving, directly or indirectly, any compensation from the Sponsor/CRO, and from maintaining any contact with or engaging in relations of any nature with the Sponsor/CRO, that do not concern technical and scientific matters.

3.5 Should the relationship between the Principal Investigator and the Institution/ University be terminated for any reason, the Institution/ University must promptly notify the Sponsor/CRO in writing and appoint a substitute. The appointment of the substitute must be subject to approval by the Sponsor/CRO and the competent Ethics Committee. The Institution/ University warrants that the new Principal Investigator

rimentatore principale abbia i requisiti idonei a oseguirla, accetti i termini e le condizioni del presente ntratto e assuma l’impegno di rispettare il Protocollo l’esecuzione della Sperimentazione. Nelle more dell’approvazione dell’emendamento sostanziale di cambio dello Sperimentatore principale, lo sperimentatore indicato dal Promotore garantisce la

necessaria attività sperimentale.

Nel caso in cui il Promotore/CRO non intenda accettare il nominativo del sostituto proposto dall’Ente/Università oppure questi non proponga un sostituto, il Promotore/CRO potrà recedere dal presente Contratto in accordo a quanto previsto dall’art. 7.

3.6 Lo Sperimentatore principale prima di iniziare la Sperimentazione, deve acquisire il consenso informato del paziente o del suo rappresentante legale, secondo quanto previsto dalla vigente normativa in materia di sperimentazioni cliniche, oltre che ai sensi e per gli effetti del Regolamento (UE) 2016/679 e relativa normativa italiana di adeguamento (D.Lgs. n.196 del 30 Giugno 2003, così come modificato dal D.Lgs. n. 101 del 10 Agosto 2018).

Deve essere prestato anche il consenso al trattamento dei dati personali ai sensi e per gli effetti della vigente normativa nazionale e comunitaria in materia di protezione dei dati personali e sue successive modificazioni, come successivamente declinato all’art. 11.

3.7 Lo Sperimentatore principale deve fornire informazioni al Promotore/CRO e al Comitato Etico in merito all’andamento della Sperimentazione e comunicare tempestivamente al Promotore/CRO l’eventuale verificarsi di eventi avversi seri, fatti salvi gli eventuali obblighi di segnalazione al Comitato Etico previsti dalla vigente normativa, e oltre ogni altra informazione clinica di rilievo per la conduzione dello studio indicato nel Protocollo (ad esempio gravidanza) direttamente o indirettamente correlabili all’esecuzione della Sperimentazione, secondo quanto previsto dal Protocollo della sperimentazione, dalle norme di Buona Pratica Clinica e dalla normativa applicabile in materia di farmacovigilanza e sperimentazioni cliniche di medicinali.

3.8 L’Ente/Università garantirà che lo Sperimentatore principale si impegni altresì a garantire lo svolgimento della Sperimentazione secondo i più elevati standard di diligenza.

fulfils the appropriate requirements to continue the Trial, accepts the terms and conditions of this Agreement and undertakes to comply with the Protocol in conducting the Trial. Pending approval of the substantial amendment concerning the change of Principal Investigator, the Investigator indicated by the Sponsor shall guarantee performance of the necessary Trial activities.

If the Sponsor/CRO does not intend to accept the appointment of the substitute proposed by the Institution/ University, or if the latter does not propose a substitute, the Sponsor/CRO may withdraw from this Agreement in accordance with the provisions of Article 7.

3.6 Before starting the Trial, the Principal Investigator must obtain the informed consent of the patient or his/her legal representative, in accordance with the provisions of applicable legislation governing clinical trials, as well as pursuant to and for the purposes of Regulation (EU) 2016/679 and corresponding Italian adjustment legislation (Legislative Decree No. 196 of 30 June 2003, as amended by Legislative Decree No. 101 of 10 August 2018).

The consent to the processing of personal data must also be given pursuant to and for the purposes of applicable national and EU legislation governing the protection of personal data and its subsequent amendments, as specified in Article 11 below.

3.7 The Principal Investigator must provide information to the Sponsor/CRO and the Ethics Committee regarding the progress of the Trial and promptly notify the Sponsor/CRO of any occurrence of serious adverse events, without prejudice to any reporting obligations to the Ethics Committee set forth in applicable legislation, and beyond any other clinical information relevant for the conduction of the study as indicated in the Protocol (e.g. pregnancy) directly or indirectly associated with the performance of the Trial, as provided for in the Trial Protocol, the standards of Good Clinical Practice and the applicable legislation governing pharmacovigilance and clinical trials on medicinal products.

3.8 The Institution/University shall ensure that the Principal Investigator will also undertake to guarantee that the Trial is conducted in accordance with the highest standards of diligence.

3.8.1 Lo Sperimentatore principale deve consegnare tutte le Schede Raccolta Dati (Case Report Forms-CRF) correttamente compilate, secondo termini e modalità previsti dal Protocollo della sperimentazione e dalla normativa applicabile, in formato cartaceo o elettronico, e comunque con tempestività come da GCP, entro i termini previsti dal Protocollo della sperimentazione.

3.8.2 Lo Sperimentatore principale si impegna altresì a risolvere le richieste di chiarimento (queries) generate dal Promotore/CRO entro i termini previsti dal Protocollo della sperimentazione.

3.8.3 Per verificare la corrispondenza tra i dati registrati nelle Schede Raccolta Dati e quelli contenuti nei documenti originali (per es. cartella clinica), l’Ente e lo Sperimentatore principale consentono l’accesso diretto ai dati originali durante le visite di monitoraggio e nel corso di eventuali audit promossi da Promotore/CRO e ispezioni da parte delle Autorità Competenti, incluse le modalità da remoto, purché non vengano violate le norme in materia di riservatezza e di protezione dei dati personali dei pazienti.

3.8.4 L’Ente e lo Sperimentatore principale, informati con congruo preavviso, devono consentire il corretto svolgimento dell’attività di monitoraggio e di auditing presso il Centro di Sperimentazione da parte del personale del Promotore/CRO e da parte dell’Autorità Competente, attività effettuate per garantire la regolare esecuzione della Sperimentazione.

3.9 L’Ente avviserà tempestivamente il Promotore qualora un’Autorità Competente comunichi all’Ente un avviso di ispezione/audit relativo alla Sperimentazione e, se non negato espressamente dall’Autorità Competente, l’Ente autorizzerà il Promotore a parteciparvi, inviando nel contempo al Promotore ogni comunicazione scritta ricevuta e/o trasmessa ai fini o in risultanza dell’ispezione/audit.

3.10 Tali attività non devono però pregiudicare in alcun modo lo svolgimento dell’ordinaria attività istituzionale dell’Ente.

3.11 L’Ente, l’Università o il Promotore garantiscono che i campioni biologici (sangue, urine, saliva ecc.) dei pazienti coinvolti nella Sperimentazione di cui al presente Contratto saranno utilizzati esclusivamente per la Sperimentazione oggetto del presente Contratto, secondo le previsioni del Protocollo e della vigente

3.8.1 The Principal Investigator shall submit all the Case Report Forms (CRF) correctly filled out, pursuant to the terms and methods set forth in the Trial Protocol and applicable legislation, in paper or electronic format, and, in any case, in a timely manner as per GCP, within the terms provided for in the Trial Protocol.

3.8.2 The Principal Investigator also undertakes to resolve the requests for clarification (queries) generated by the Sponsor/CRO within the terms set forth in the Trial Protocol.

3.8.3 To verify that the data recorded in the Case Report Forms corresponds to that contained in the original documents (e.g. medical records), the Institution and the Principal Investigator will allow direct access to the original data during the monitoring visits and during any audits requested by the Sponsor/CRO and inspections by the Competent Authorities, including those conducted remotely, provided that the rules on confidentiality and protection of the personal data of patients are not violated.

3.8.4 The Institution and the Principal Investigator, having been duly informed in advance, must allow the proper performance of the monitoring and auditing activities at the Trial Site by the personnel of the Sponsor/CRO and by the Competent Authority; said activities are carried out to ensure the proper performance of the Trial.

3.9 The Institution shall promptly notify the Sponsor if a Competent Authority sends an inspection/audit notice to the Institution relating to the Trial and, if not expressly denied by the Competent Authority, the Institution shall authorise the Sponsor to participate therein, concomitantly forwarding to the Sponsor any written communication received and/or transmitted for the purposes or as a result of the inspection/audit.

3.10 However, said activities must not interfere with the ordinary institutional activities of the Institution.

3.11 The Institution, University or the Sponsor warrant that the biological samples (blood, urine, saliva, etc.) of the patients involved in the Trial referred to herein will be used exclusively for the Trial specified in this Agreement, pursuant to the provisions of the Protocol and applicable legislation. subsequent use are bound to the obtaining of a specific informed consent from the patient (or parent/legal guardian), the favourable opinion of the Ethics Committee, within the limits and with the guarantees set forth in applicable legislation and as per the guidelines of Article 1 of Legislative Decree No. 52 of 14 May 2018.

Art. 4 – Medicinali Sperimentali e Materiali

4.1 Il Promotore si impegna a fornire gratuitamente all’Ente, per tutta la durata della Sperimentazione e nelle quantità necessarie e sufficienti all’esecuzione della Sperimentazione, i prodotti farmaceutici oggetto della Sperimentazione (MRTX849; Cetuximab (ERBITUX®); 5-Fluorouracil; Irinotecan; Oxaliplatin; Folinic Acid ) e a fornire gratuitamente, gli altri farmaci previsti dal protocollo in ottemperanza al D.M. 21 dicembre 2007, Allegato 1, punto 3 Tabella I, inclusi i medicinali da utilizzarsi in associazione o combinazione tra loro, ogniqualvolta oggetto dello studio sia appunto l’associazione o combinazione (in seguito “Medicinali Sperimentali”), nonché a fornire ogni altro materiale necessario all’esecuzione della Sperimentazione (di seguito “Materiali”). Le quantità dei Medicinali Sperimentali devono essere adeguate alla numerosità della casistica trattata.

4.2 Il Promotore si impegna a rendere disponibile il farmaco oggetto della Sperimentazione clinica al termine della sperimentazione, oltre il periodo di osservazione, per i pazienti che abbiano ottenuto una risposta clinica favorevole per i quali si ritenga opportuno, in base al giudizio clinico, proseguire fino a quando il farmaco non sarà reso disponibile tramite gli ordinari canali di dispensazione, in modo da garantire la continuità terapeutica, ove appropriato.

4.3 I Medicinali Sperimentali devono essere inviati dal Promotore/CRO alla Farmacia dell’Ente che provvederà alla loro registrazione, appropriata conservazione e consegna allo Sperimentatore principale, così come previsto dal Protocollo e dalla normativa vigente.

4.4 I Medicinali Sperimentali dovranno essere muniti di adeguato documento di trasporto destinato alla Farmacia, con la descrizione del tipo di farmaco, della sua quantità, del lotto di preparazione, dei requisiti per la conservazione, della scadenza e i riferimenti alla Sperimentazione (codice di protocollo, Sperimentatore principale e Centro di Sperimentazione interessato).

Article 4 – Investigational Medicinal Products and Materials

4.1 The Sponsor undertakes to provide the Institution, free of charge, for the entire duration of the Trial and in the necessary and sufficient quantities for conducting the Trial, with the pharmaceutical products that are the subject matter of the Trial (MRTX849; Cetuximab (ERBITUX®); 5-Fluorouracil; Irinotecan; Oxaliplatin; Folinic Acid ) and to supply, free of charge, the other medicinal products specified by the protocol in compliance with Ministerial Decree of 21 December 2007, Annex 1, point 3 Table I, including the medicinal products to be used in association or combination with each other, whenever the purpose of the study specifically involves said association or combination (hereinafter the “Investigational Medicinal Products”), as well as to provide any other material necessary for conducting the Trial (hereinafter the “Materials”). The quantities of the Investigational Medicinal Products must be adequate for the number of cases treated.

4.2 At the end of the Trial, and after the observation period, the Sponsor undertakes to make the Study Drug available to patients who have obtained a favourable clinical response and for whom it is considered appropriate, based on clinical judgment, to continue the treatment for as long as the medicinal product is not available through the ordinary dispensing channels, so as to guarantee therapeutic continuity, where appropriate.

4.3 The Investigational Medicinal Products must be sent by the Sponsor/CRO to the Institution’s Pharmacy, which shall ensure their registration, appropriate storage and delivery to the Principal Investigator, pursuant to the Protocol and applicable legislation.

4.4 The Investigational Medicinal Products must be accompanied by the appropriate shipping document addressed to the Pharmacy, with the description of the type of medicinal product, quantity, batch number, storage requirements, expiry date and Trial references (relevant Protocol number, Principal Investigator and Trial Site).

4.6 I Medicinali Sperimentali scaduti o non altrimenti utilizzabili, ovvero non utilizzati al termine della Sperimentazione, saranno integralmente ritirati dal Promotore (o suo incaricato) e successivamente smaltiti a sue spese.

4.5 The Institution, University and the Principal Investigator must use the Investigational Medicinal Products and Materials provided by Sponsor exclusively within the framework and for the conduction of the Trial. The Institution and the University may not transfer or assign to third parties the Investigational Medicinal Products and Materials provided by Sponsor pursuant to this Agreement.

4.6 The expired or otherwise unusable Investigational Medicinal Products, or those not used by the end of the Trial, shall be withdrawn in full by the Sponsor (or its appointee) and subsequently disposed of at its expense.

Art. 5 - Comodato d'uso

5.1 Il Promotore concede in comodato d'uso gratuito all'Ente, che accetta ai sensi e per gli effetti degli artt. 1803 e ss c.c., lo/gli Strumento/i meglio descritti in appresso, unitamente al pertinente materiale d'uso (di seguito cumulativamente lo "Strumento")

Le Parti concordano altresì che gli eventuali ulteriori Strumenti ritenuti necessari alla conduzione dello studio nel corso della Sperimentazione, qualora ne ricorrano le caratteristiche e le condizioni, saranno concessi in comodato d'uso gratuito secondo la disciplina di cui al presente Contratto. L'Ente e il Promotore procederanno con una convenzione specifica ovvero con un addendum/emendamento al Contratto, sul comodato qualora gli Strumenti vengano forniti dopo la stipula del presente Contratto.

5.2 Lo/Gli Strumento/i in questione deve/sono essere munito/i di dichiarazione di conformità alle normative e direttive europee. Lo/Gli Strumento/i in questione verranno sottoposti a collaudo di accettazione da parte dei tecnici incaricati dell'Ente, alla presenza di un delegato del Promotore, previ accordi, per le verifiche di corretta installazione e funzionalità e rispetto della normativa vigente. 5.1 The Sponsor grants the Institution on a free loan for use basis, which the latter accepts pursuant to and for the purposes of Articles 1803 et seq. of the Italian Civil Code, the Instrument(s) detailed herein, together with the relevant material for use (hereinafter collectively referred to as the "Instrument")

Ownership of the Instrument, as required by law, is not transferred to the Institution. This loan shall be effective as of the delivery date of the Instrument(s) and shall cease at the end of the Trial, when the Instrument(s) must be returned to Sponsor at no cost to the Institution.

The Parties also agree that any additional Instruments deemed necessary for the conduction of the study during the Trial, if the characteristics and conditions are met, will be granted under a free loan for use in accordance with the provisions of this Agreement. The Institution and the Sponsor shall execute a specific agreement or an addendum/amendment to the Agreement, concerning the loan if the Instruments are provided subsequent to the stipulation of this Agreement.

5.2 The Instrument(s) in question must be/are accompanied by a declaration of conformity with European regulations and directives. The Instrument(s) in question will be subjected to acceptance testing by the Institution's appointed technicians, in the presence of a representative of the Sponsor, subject to prior agreements, to verify the correct installation, functionality and compliance with applicable

5.4 Secondo quanto previsto nel manuale tecnico dello Strumento, il Promotore svolgerà, a sua cura e spese, in collaborazione con lo Sperimentatore, tutti gli interventi tecnici necessari per il buon funzionamento dell'Apparecchiatura, quali controlli di qualità, tarature e verifiche di sicurezza periodica. In caso di disfunzione o guasto dello Strumento, tempestivamente comunicati dallo Sperimentatore, il Promotore procederà, direttamente o tramite personale specializzato, alla manutenzione correttiva o riparazione o sostituzione con analogo Strumento.

5.5 Non applicabile .

5.6 Lo/gli Strumento/i sarà/anno utilizzato/i dal personale dell'Ente e/o dell’Università e/o dai pazienti e ai soli ed esclusivi fini della Sperimentazione oggetto del presente Contratto, conformemente a quanto previsto nel Protocollo. L'Ente si obbliga a custodire e conservare lo/gli Strumento/i in maniera appropriata e con la cura necessaria, a non destinarlo/li a un uso diverso da quello sopra previsto, a non cedere neppure temporaneamente l'uso dello/gli Strumento/i a terzi, né a titolo gratuito né a titolo oneroso, e a restituire lo/gli Strumento/i al Promotore nello stato in cui gli è/sono stato/i consegnato/i, salvo il normale deterioramento per l'effetto dell'uso.

5.7 Il Promotore si riserva il diritto di richiedere l'immediata restituzione dello/gli Strumento/i qualora lo/gli stesso/i venga/no utilizzato/i in maniera impropria o comunque in modo difforme dalle previsioni di cui al presente Contratto. Il Promotore è responsabile per ogni eventuale danno che dovesse derivare a persone o cose in relazione all'uso dell'apparecchiatura in oggetto se dovuto a vizio della stessa.

5.8 In caso di furto o perdita o smarrimento dello/gli Strumento/i, l'Ente provvederà tempestivamente dalla conoscenza dell'evento, alla presentazione di formale denuncia alla competente pubblica autorità con comunicazione dell'accaduto al Promotore nello stesso

5.4 In accordance with the specifications given in Instrument's technical manual, the Sponsor shall carry out, at its own expense and under its own care, in collaboration with the Investigator, all the technical interventions necessary for the proper functioning of the Equipment, such as quality controls, calibrations and regular safety checks. In case of malfunction or failure of the Instrument, promptly notified by the Investigator, the Sponsor will, directly or using specialised personnel, implement corrective maintenance or repair measures, or replace it with a similar Instrument.

5.5 Not Applicable

5.6 The Instrument(s) shall be used by the Institution's and/or University’s personnel and/or by the patients for the sole and exclusive purposes of the Trial specified in this Agreement, in accordance with the provisions of the Protocol. The Institution undertakes to safeguard and store the Instrument(s) appropriately and with the necessary precautions, not to use the Instrument(s) for any purpose other than as specified above, not to assign the Instrument(s) – even temporarily – for use by third parties, neither on a free or payment basis, and to return the Instrument(s) to the Sponsor in the condition it was/they were delivered, except for normal deterioration due to use.

5.7 The Sponsor reserves the right to request the immediate return of the Instrument(s) if same is/are used improperly or in a manner that does not comply with the provisions of this Agreement. The Sponsor is liable for any damage that may be caused to persons or property related to the use of the equipment in question if due to a defect thereof.

5.8 In case of theft or loss of the Instrument(s), the Institution shall promptly notify the event and file a formal complaint with the competent public authority, simultaneously notifying the incident to the Sponsor. In all other cases of damage or destruction, the Institution

mine. In tutti gli altri casi di danneggiamento o truzione, l'Ente dovrà darne comunicazione al motore tempestivamente dalla conoscenza l'evento. L'eventuale utilizzo fraudolento o comunque non autorizzato dovrà essere segnalato immediatamente dallo Sperimentatore principale al

Promotore.

In caso di danneggiamento irreparabile o furto dello/gli Strumento/i, il Promotore provvederà alla sostituzione dello stesso/degli stessi, senza costi per l'Ente, salvo che il fatto derivi da dolo dell'Ente.

5.9 Resta inteso che per quanto attiene agli Strumenti che saranno direttamente maneggiati o gestiti dai pazienti/genitori/tutori legali (es. diari elettronici), il Promotore riconosce che l'Ente è sollevato da responsabilità derivanti da manomissione, danneggiamento o furto degli stessi Strumenti imputabili ai pazienti/genitori/tutori legali. In caso di guasto e/o smarrimento da parte del soggetto che partecipa allo studio, il Promotore provvederà a proprie spese alla sostituzione dell'attrezzatura; l'Ente si farà carico della consegna dell'attrezzatura al destinatario, compresa la registrazione e la consegna delle istruzioni del Promotore, nonché del ritiro al momento dell'uscita, per qualsiasi ragione avvenuta, del soggetto dallo studio; l'Ente si farà inoltre carico di informare tempestivamente il Promotore per qualunque mancata restituzione dell'attrezzatura da parte del soggetto che partecipa allo studio.

5.10 L'autorizzazione alla concessione in comodato d'uso gratuito dello/gli Strumento/i è stata rilasciata dall'Ente a seguito delle e secondo le proprie procedure interne.

must promptly inform the Sponsor upon learning of the event. Any fraudulent or otherwise unauthorised use must be reported immediately by the Principal Investigator to the Sponsor.

In case of irreparable damage or theft of the Instrument(s), the Sponsor shall proceed to replace it/them, at no cost to the Institution, unless this is a result of misconduct by the Institution.

5.9 It is understood that, with regard to the Instruments that will be directly handled or managed by patients/parents/legal guardians (e.g. electronic diaries), the Sponsor acknowledges that the Institution is released from any liability arising from the tampering, damage or theft of said Instruments attributable to patients/parents/legal guardians. In case of damage and/or loss by the subject participating in the study, the Sponsor will replace the equipment at its own expense; the Institution will ensure delivery of the equipment to the recipient, including the registration and delivery of the Sponsor's instructions, as well as of the retrieval of said equipment if the subject withdraws from the study for any reason; the Institution also undertakes to promptly inform the Sponsor if the subject participating in the study fails to return the equipment.

5.10 The Institution has issued authorisation for the free loan for use of the Instrument(s) pursuant to and in accordance with its own internal procedures.

Art. 6 - Corrispettivo

6.1 Il corrispettivo pattuito per paziente eleggibile, valutabile e completato secondo il Protocollo e per il quale è stata compilata validamente la relativa CRF/eCRF, comprensivo di tutte le spese sostenute dall'Ente e dall’Università per l'esecuzione della presente Sperimentazione e dei costi a compensazione di tutte le attività ad essa collegate, è pari a braccio Experimental € _13.468,00 + IVA (se applicabile) e braccio Chemo Control € 9.545,00 + IVA (se applicabile) per paziente e come meglio dettagliato nel Budget qui allegato (Allegato "A" parte 1).

Tale corrispettivo verrà suddiviso al 50% tra Ente e Università.

6.2 Il Promotore/CRO si impegna a corrispondere quanto dovuto ai sensi del presente articolo sulla base

Article 6 - Fees

6.3 Gli esami di laboratorio/strumentali, indicati in Allegato A, richiesti dal Protocollo, così come approvato dal Comitato Etico, non graveranno in alcun modo sull'Ente in quanto effettuati centralmente.

Tutti gli esami di laboratorio/strumentali e ogni altra prestazione/attività aggiuntiva non compresa nel corrispettivo pattuito per paziente eleggibile, richiesta dal Promotore, così come approvato dal Comitato Etico e dall'Autorità Competente e come dettagliato in Allegato A (parte 2), saranno rimborsati dal Promotore

/CRO e fatturati in aggiunta al corrispettivo pattuito per paziente eleggibile.

6.4 L'Ente e l’Università non riceveranno alcun compenso per pazienti non valutabili a causa di inosservanza del Protocollo, di violazione delle norme di Buona Pratica Clinica o di mancato rispetto della normativa vigente in materia di sperimentazioni cliniche di medicinali. L'Ente e l’Università non avranno diritto ad alcun compenso anche per pazienti coinvolti successivamente alla comunicazione di interruzione e/o conclusione della Sperimentazione da parte del Promotore/CRO od oltre il numero massimo di soggetti da includere ai sensi del presente Contratto, ove non concordati con il Promotore.

6.5 Il Promotore/CRO provvederà, inoltre, a rimborsare all'Ente tutti i costi aggiuntivi risultanti da attività mediche/diagnostiche, compresi eventuali ricoveri, non previste nel Protocollo o nei successivi emendamenti allo stesso, e non già coperti dai compensi sopra elencati, qualora tali attività si rendano indispensabili per una corretta gestione clinica del paziente in sperimentazione. Il rimborso sarà effettuato solo a condizione che tali attività e i relativi

appropriate justification of charges/report agreed between the Parties.

6.3 The laboratory/diagnostic tests, indicated in Annex A, required by the Protocol, as approved by the Ethics Committee, will not affect the Institution in any way, as they are performed centrally.

All laboratory/diagnostic tests and any other additional services/activities not included in the agreed fees per eligible patients, requested by Xxxxxxx, as approved by the Ethics Committee and by the Competent Authority and as detailed in Annex A (part 2), will be reimbursed by the Sponsor/CRO and invoiced in addition to the agreed fees per eligible patient.

6.4 The Institution and the University shall not receive any compensation for patients who cannot be evaluated due to non-compliance with the Protocol, violation of Good Clinical Practice standards or failure to comply with applicable legislation governing clinical trials on medicinal products. The Institution and the University shall not be entitled to any compensation for patients involved subsequent to the notification of Trial suspension and/or completion from the Sponsor, nor for patients exceeding the maximum number of subjects to be included pursuant to this Agreement, if not agreed upon with the Sponsor.

6.5 In addition, the Sponsor/CRO shall reimburse the Institution for all additional costs resulting from medical/diagnostic activities, including any admissions, not planned in the Protocol or in subsequent amendments thereto, and not already covered by the fees listed above, if such activities are indispensable for proper correct clinical management of the Trial patient. Reimbursement will be made only on condition that these activities and their related costs are promptly

6.6 Se nel corso dello svolgimento della Sperimentazione si rendesse necessario aumentare il supporto economico a favore dell'Ente e dell’Università, il Promotore/CRO potrà integrare, con un addendum/emendamento, il presente Contratto, prevedendo l'adeguato aumento del Budget qui allegato.

6.7 In ottemperanza alla Legge di Bilancio 2018 (comma 909) che prevede l'obbligo della fatturazione elettronica per le cessioni di beni e per la prestazione di servizi anche tra privati, l'Ente e l’Università emetteranno le fatture in formato XML (Extensible Markup Language) e le trasmetteranno tramite il Sistema di Interscambio (SDI), previa richiesta di fattura da parte del Promotore/CRO in riferimento solo al costo totale per visita e ai costi amministrativi.

Promotore/CRO mette inoltre a disposizione dei pazienti che partecipano alla Sperimentazione la possibilità di ottenere la copertura delle spese "vive" sostenute in relazione a ciascuna prestazione sanitaria effettuata presso l'Ente, nel rispetto di quanto previsto dal D.M. 21 dicembre 2007, mediante le procedure, i massimali e le spese ammissibili preventivamente approvate dal Comitato Etico. La copertura delle spese deve essere effettuata solo ed esclusivamente attraverso l'amministrazione dell'Ente che attuerà le proprie procedure in materia. Ciascun paziente presenterà l'elenco delle spese all'Ente; ai fini della copertura da parte del Promotore/CRO, tale elenco sarà debitamente codificato a cura dell'Ente. L'Ente, in considerazione della durata dello studio, concorderà i termini per la presentazione al Promotore/CRO dell'elenco delle spese relative ai pazienti e presentate all'Ente in occasione delle prestazioni sanitarie eseguite nel periodo di riferimento. II Promotore/CRO potrà controllare le somme richieste confrontandole con le visite eseguite dai pazienti ed effettuerà i relativi pagamenti in favore dell'Ente. Sarà quindi responsabilità dell'Ente provvedere alla copertura delle spese per ciascun paziente coinvolto, secondo gli importi di cui alla tabella dettagliata nel Budget qui allegato sotto la lettera "A – Parte I2".

Qualora previsto dal Protocollo, è possibile un rimborso anche per l'accompagnatore di pazienti che sono impossibilitati a viaggiare da soli quali, ad esempio, i pazienti minorenni, i soggetti incapaci, i pazienti fragili. Tutti i costi relativi a voci non specificate nell'Allegato A

non verranno rimborsati.

Art. 7 - Durata, Recesso e Risoluzione

7.1 Il presente Contratto produrrà effetti a partire dalla data di ultima sottoscrizione ("Data di decorrenza") e rimarrà in vigore sino all'effettiva conclusione della Sperimentazione presso l'Ente, così come previsto nel Protocollo di studio, salvo eventuali modifiche concordate tra le Parti.

Xxxxx restando quanto sopra, il presente Xxxxxxxxx produrrà i suoi effetti a seguito del rilascio di formale autorizzazione da parte dell'Autorità Competente.

7.2 L'Ente e l’Università si riservano il diritto di recedere dal presente Contratto mediante comunicazione scritta e con preavviso di 30 giorni da inoltrare al

The Sponsor/CRO also provides patients participating in the Trial with the opportunity to obtain coverage for out-of-pocket expenses incurred in relation to each health service performed at the Institution, in compliance with the provisions of Ministerial Decree of 21 December 2007, taking into account the procedures, ceilings and eligible expenses previously approved by the Ethics Committee. Coverage of the expenses must be carried out only and exclusively through the administration of the Institution, which will implement its own procedures in this regard. Each patient will submit the list of expenses to the Institution; for the purposes of coverage by the Sponsor/CRO, this list will be duly encoded by the Institution. The Institution, in consideration of the duration of the study, will agree on the terms for submitting to the Sponsor/CRO the list of patient-related expenses submitted to the Institution for the health services performed in the referenced period. The Sponsor/CRO may check the requested amounts by comparing them with the visits completed by the patients and will make the corresponding payments to the Institution. Therefore, the Institution will be responsible for covering the expenses for each patient involved, according to the amounts specified in the detailed table in the Budget attached hereto under letter "A - Part I2".

If planned for in the Protocol, the person accompanying patients who are unable to travel alone, such as, for example, underage patients, disabled subjects or frail patients, may also be entitled to reimbursement.

All costs related to items not specified in Annex A will not be reimbursed.

Article 7 - Duration, Xxxxxxxxxx and Termination

7.1 This Agreement shall be effective as of the date of last signature ("Effective Date") and shall remain in force until the effective Trial completion at the Institution, as provided for in the Study Protocol, unless changes therefor have been agreed between the Parties.

Notwithstanding the above, this Agreement shall be effective upon issuance of a formal authorisation by the Competent Authority.

7.2 The Institution and University reserve the right to withdraw from this Agreement by means of written notice and with 30 days' notice to be sent to the Sponsor/CRO by registered post with

insolvenza dei Promotore/CRO, proposizione di concordati anche stragiudiziali con i creditori del Promotore o avvio di procedure esecutive nei confronti del Promotore/CRO. Qualora la situazione sopra indicata riguardi la CRO, il Promotore sarà tenuto a subentrarle e proseguire l'attività, qualora non procuri l'intervento di un'altra CRO, approvata dall'Ente e dall’Università, in sostituzione di quella divenuta insolvente;

- cessione di tutti o di parte dei beni del Promotore/CRO ai creditori o definizione con gli stessi di un accordo per la moratoria dei debiti.

Il preavviso avrà effetto dal momento del ricevimento da parte del Promotore/CRO della comunicazione di cui sopra.

7.3 Il Promotore/CRO, ai sensi dell'art. 1373, comma secondo, Codice Civile, si riserva il diritto di recedere dal presente Contratto in qualunque momento per giustificati motivi mediante comunicazione scritta inviata a mezzo raccomandata A.R. o PEC, con preavviso di 30 giorni. Tale preavviso avrà effetto dal momento del ricevimento da parte dell'Ente e dell’Università di detta comunicazione.

In caso di recesso del Promotore/CRO sono comunque fatti salvi gli obblighi assunti e le spese effettuate dall'Ente e dall’Università alla data della comunicazione di recesso. In particolare, il Promotore/CRO corrisponderà all'Ente e all’Università tutte le spese documentate e non revocabili che questo abbia sostenuto al fine di garantire la corretta ed efficace esecuzione della Sperimentazione (ove applicabile, incluse le spese sostenute dall'Ente nei confronti dei pazienti-partecipanti), nonché i compensi sino a quel momento maturati.

In caso di recesso anticipato, il Promotore ha diritto di ricevere, quale proprietario a titolo originario, tutti i dati e risultati, anche parziali, ottenuti dall'Ente e dall’Università nel corso della Sperimentazione e anche successivamente, se derivanti da o correlati a essa.

7.4 Ciascuna delle Parti può interrompere la Sperimentazione in qualunque momento con effetto immediato, rispettando quanto previsto dal comma 5 dell'art. 2, qualora abbia motivo, valido e documentabile, di ritenere che la prosecuzione della Sperimentazione possa rappresentare un rischio non accettabile per la sicurezza e la salute dei pazienti. In caso di interruzione della Sperimentazione, il

- Insolvency of the Sponsor/CRO, proposed composition – even out-of-court settlements – with the Sponsor's creditors, or initiation of enforcement procedures against the Sponsor/CRO; If the above situation concerns the CRO, the Sponsor will be required to take over and continue the activity, unless it requires the intervention of another CRO, approved by the Institution and University, to replace that which became insolvent;

- transfer of all or part of the assets of the Sponsor/CRO to creditors or stipulation of an agreement for the moratorium on debts.

The notice will take effect upon receipt of said notification by the Sponsor/CRO.

7.3 The Sponsor/CRO, pursuant to Article 1373, second paragraph of the Italian Civil Code, reserves the right to withdraw from this Agreement at any time for justified reasons by means of written notice sent by registered post with acknowledgement of receipt or certified email (PEC), with 30 days' notice. This notice will take effect upon receipt of said notification by the Institution and University.

In case of withdrawal of the Sponsor/CRO, the obligations assumed and the expenses incurred by the Institution and University at the date of the withdrawal notice shall remain valid. In particular, the Sponsor/CRO shall pay the Institution and University all the documented and irrevocable expenses incurred by the latter to guarantee the correct and effective conduction of the Trial, (where applicable, including expenses incurred by the Institution in relation to participating patients), as well as the fees accrued up to that time.

In case of early termination, the Sponsor has the right to receive, as the original owner, all data and results, even partial, obtained by the Institution and University during the Trial and even subsequent to its completion, if arising therefrom or related thereto.

7.4 Each of the Parties may suspend the Trial at any time with immediate effect, in compliance with the provisions of Article 2, paragraph 5, if said Party has a valid and documentable reason to believe that continuation of the Trial may represent an unacceptable risk for the safety and health of patients. In case of Trial suspension, the Sponsor/CRO shall reimburse the Institution and University for the

Resta peraltro inteso che lo scioglimento anticipato del Contratto non comporterà alcun diritto di una Parte di avanzare nei confronti dell'altra pretese risarcitorie o richieste di pagamento ulteriori rispetto a quanto convenuto.

7.6 Gli effetti del presente Contratto cesseranno automaticamente ai sensi dell'art. 1454 del Codice Civile italiano nel caso in cui una delle Parti non abbia adempiuto a uno dei principali obblighi previsti dal presente Contratto entro 30 giorni dalla richiesta scritta di adempimento presentata dall'altra parte.

Resta in ogni caso salva l'applicabilità dell'art. 1218 e seguenti del Codice Civile.

7.7 In caso di risoluzione del presente Contratto, non derivante da violazioni da parte dell'Ente e/o dell’Università, questo avrà diritto al rimborso delle spese effettivamente sostenute per la Sperimentazione prima del ricevimento della notifica di risoluzione e a un compenso per i servizi proporzionale all'attività svolta sino al momento della risoluzione. L'Ente e l’Università si impegnano a restituire al Promotore/CRO eventuali importi già liquidati e relativi ad attività non svolte.

7.8 In tutti i casi di interruzione o di risoluzione del presente Contratto, sarà attuata ogni precauzione per garantire la massima tutela dei pazienti già coinvolti, in accordo con quanto previsto dal Protocollo approvato dal Comitato Etico, garantendo, laddove ritenuta clinicamente necessaria, la continuità terapeutica.

7.5 It is further understood that the early termination of the Agreement shall not entitle any of the Parties to make further claims for compensation or payment requests other than that agreed upon.

7.6 The terms of this Agreement will automatically cease pursuant to Article 1454 of the Italian Civil Code in the event that one of the Parties has not fulfilled one of the main obligations under this Agreement within 30 days of the written request for performance submitted by the other party.

In any case, the applicability of Article 1218 et seq. of the Italian Civil Code remains valid.

7.7 In case of termination of this Agreement, not arising from violations on the part of the Institution and/or University, the latter shall be entitled to reimbursement of the actual costs incurred for the Trial prior to receipt of the termination notification and to compensation for the services rendered proportionate to the activity carried out up to the time of termination. The Institution and University undertake to return to the Sponsor/CRO any amounts already paid and related to activities not carried out.

7.8 In all cases of suspension or termination of this Agreement, every precaution will be taken to ensure the maximum protection of patients already involved, in accordance with the provisions of the Protocol approved by the Ethics Committee, ensuring continuity of treatment where deemed clinically necessary.

Art. 8 - Copertura assicurativa

8.1 Il Promotore/CRO dichiara di aver stipulato adeguata polizza assicurativa (n. SYB21995432B, con la Compagnia Lloyd’s Insurance Company S.A.) per la responsabilità civile verso terzi, a copertura del rischio di eventuali danni derivanti ai pazienti dalla partecipazione alla Sperimentazione, secondo quanto previsto dal D.M. 14 luglio 2009. La polizza assicurativa è stata ritenuta dal Comitato Etico rispettosa dei termini di legge e adeguatamente tutelante i soggetti coinvolti nella Sperimentazione clinica.

8.2 Fatte salve le previsioni della L. 8 Marzo 2017, n. 24, la copertura assicurativa fornita dal Promotore è garantita rispetto alle ipotesi di responsabilità civile del Promotore, dell'istituzione sanitaria sede della Sperimentazione, dello Sperimentatore principale, e

Article 8 - Insurance coverage

8.1 The Sponsor/CRO hereby declares to have taken out an adequate insurance policy (no. 8.2 Without prejudice to the provisions of Law No. 24 of 8 March 2017, the insurance coverage provided by Sponsor is guaranteed with respect to any hypothetical civil liability of the Sponsor, the healthcare facility where the Trial is conducted, the Principal Investigator,

8.4 Il Promotore in particolare, nel caso in cui intenda recedere dal Contratto, garantisce che la Società assicuratrice assicuri in ogni caso la copertura dei soggetti già inclusi nello studio clinico anche per il prosieguo della Sperimentazione ai sensi dell'art. 2 comma III del D.M. 14/07/09.

8.5 L'Ente è tenuto a comunicare l'esistenza di coperture assicurative MEDMAL (sia a copertura dell'Ente, che del personale medico che ha somministrato il farmaco), ai sensi dell'articolo 1910 codice civile.

Art. 9 - Relazione finale, titolarità e utilizzazione dei risultati

9.1 Il Promotore si impegna a divulgare tutti i risultati dello studio anche qualora negativi.

9.2 Il Promotore assume la responsabilità della preparazione del rapporto clinico finale e dell'invio entro i termini previsti dalla normativa allo Sperimentatore principale e al Comitato Etico del riassunto dei risultati della Sperimentazione stessa.

9.3 Tutti i dati derivanti dall'esecuzione della Sperimentazione e nel perseguimento degli obiettivi della stessa, trattati ai sensi dell'art. 11, e i risultati di questa, sono di proprietà esclusiva del Promotore, salvo in caso di invenzioni il diritto morale dell’inventore di esserne riconosciuto autore.

A fronte di una procedura attivata dal Promotore per il deposito di una domanda di brevetto avente a oggetto invenzioni ricavate nel corso della Sperimentazione, l'Ente, l’Università e lo Sperimentatore principale si impegnano a fornire tutto il supporto, anche documentale, utile a tal fine.

9.4 Le Parti riconoscono reciprocamente che resteranno titolari dei diritti di proprietà industriale e intellettuale relativi alle proprie pregresse conoscenze (background knowledge) e alle proprie conoscenze sviluppate o ottenute nel corso della Sperimentazione, ma a prescindere e indipendentemente dalla sua conduzione e dai suoi obiettivi (sideground knowledge).

9.5 Le disposizioni del presente articolo resteranno valide ed efficaci anche dopo la risoluzione o la cessazione degli effetti del presente Contratto.

8.3 The Sponsor shall be responsible for the consequences associated with any inadequacies, past or future, in the insurance coverage in question.

8.4 In particular, the Sponsor, in case it intends to withdraw from the Agreement, warrants that the Insurance Company will ensure in any case the coverage of subjects already included in the clinical trial also during the continuation of the Trial pursuant to Article 2, paragraph 3 of Ministerial Decree of 14 July 2009.

8.5 The Institution is required to notify the existence of MEDMAL insurance coverage (both to the cover the Institution and the medical personnel who administered the medicinal product), pursuant to Article 1910 of the Italian Civil Code.

Article 9 – Final report, ownership and use of results

9.1 The Sponsor undertakes to disclose all the study results, even if negative.

9.2 The Sponsor undertakes to prepare the final clinical report and to submit a summary of the Trial results to the Principal Investigator and to the Ethics Committee within the time frame set forth by applicable legislation.

9.3 All data deriving from the conduction of the Trial and in pursuit of the objectives thereof, processed pursuant to Article 11, as well as the results thereof, are the exclusive property of the Sponsor except, in the case of inventions, the inventor’s moral right to be recognized as the author of the invention.

In the event of a procedure initiated by the Sponsor to submit a patent application concerning inventions made during the Trial, the Institution, University and the Principal Investigator undertake to provide all the support, including documentation, useful for this purpose.

9.4 The Parties mutually acknowledge that they will remain the owners of industrial and intellectual property rights relating to their previous knowledge (background knowledge) and to their own knowledge developed or obtained during the Trial, but regardless and irrespective of its implementation and purposes (sideground knowledge).

9.5 The provisions of this Article shall remain valid and effective even after termination or cancellation of this Agreement.

1 Con la sottoscrizione del presente Contratto, l'Ente ’Università si impegnano a mantenere riservate e nfidenziali tutte le informazioni di natura tecnica e commerciale, contenute nella documentazione e nel materiale sperimentale messo a disposizione dal Promotore/CRO e/o sviluppato nel corso della Sperimentazione e nel perseguimento degli obiettivi della stessa, classificabili come "Segreti Commerciali" ai sensi degli art. 98 e 99 del Codice della Proprietà Industriale (D. Lgs. n. 30/2005, come modificato dal D. Lgs. n. 63/2018 in recepimento della Direttiva UE 2016/943), adottando ogni misura (di carattere contrattuale, tecnologico o fisico) idonea per la loro protezione, anche nei confronti di propri dipendenti,

collaboratori, sub-appaltatori, danti o aventi causa.

Il Promotore/CRO inoltre dichiara e garantisce quanto segue:

(i) i Segreti Commerciali del Promotore/CRO sono stati acquisiti, utilizzati e rivelati lecitamente e non vi sono – per quanto al Promotore e/o alla CRO noto

– azioni giudiziarie, contestazioni, richieste di risarcimento o di indennizzo promosse anche in via stragiudiziale, da parte di terzi rivendicanti la titolarità di tali segreti.

(ii) Pertanto, terrà indenne e manleverà l'Ente e l’Università da azioni giudiziarie, contestazioni, richieste di risarcimento o di indennizzo promosse anche in via stragiudiziale, da parte di terzi rivendicanti la titolarità di tali segreti.

A sua volta, con la sottoscrizione del Contratto, il Promotore/CRO si impegna a mantenere riservate e confidenziali tutte le informazioni di natura tecnica e commerciale, contenute nella documentazione e nel materiale sperimentale messo a disposizione dall'Ente e dall’Università, classificabili come "Segreti Commerciali" ai sensi degli art. 98 e 99 del Codice della Proprietà Industriale, adottando ogni misura (di carattere contrattuale, tecnologico o fisico) idonea per la loro protezione, anche nei confronti di propri dipendenti, collaboratori, appaltatori, ulteriori sub- appaltatori, danti o aventi causa.

L'Ente inoltre dichiara e garantisce quanto segue:

10.2 Le Parti sono obbligate all'adeguata e corretta diffusione e pubblicazione dei risultati della Sperimentazione e all'adeguata comunicazione dei risultati della Sperimentazione ai pazienti partecipanti e ai rappresentanti dei pazienti. Il Promotore/CRO, ai sensi della vigente normativa, è tenuto a rendere pubblici tempestivamente, non appena disponibili da parte di tutti i Centri partecipanti e comunque non oltre

12 mesi dalla conclusione della Sperimentazione, i risultati, anche eventualmente negativi, ottenuti a conclusione della Sperimentazione.

Ai sensi dell'art. 5, xxxxx secondo, lett. c) del D.M. 8 febbraio 2013, lo Sperimentatore principale ha diritto di diffondere e pubblicare, senza limitazione alcuna, i risultati della Sperimentazione ottenuti presso l'Ente, nel rispetto delle disposizioni vigenti in materia di riservatezza dei dati sensibili, di protezione dei dati personali e di tutela della proprietà intellettuale, nonché nel rispetto dei termini e delle condizioni di cui al presente Contratto.

10.3 Per garantire la correttezza della raccolta e la veridicità dell'elaborazione dei dati, lo Sperimentatore principale dovrà trasmettere al Promotore/CRO copia del documento oggetto di presentazione o di pubblicazione almeno 60 giorni prima della sua presentazione o pubblicazione. Il Promotore avrà 60

Pursuant to Article 5, paragraph 2, item c) of Ministerial Decree of 8 February 2013, the Principal Investigator has the right to disseminate and publish, without any limitation, the Trial results obtained at the Institution, in compliance with the provisions in force governing the confidentiality of sensitive data, protection of personal data and protection of intellectual property, as well as in compliance with the terms and conditions set forth in this Agreement.

10.3 To guarantee the correctness of data collection and the veracity of data processing, the Principal Investigator must forward a copy of the document to be presented or published to the Sponsor/CRO at least 60 days prior to its presentation or publication. The Sponsor shall have 60 days, from receipt of the

afferenti agli aspetti regolatori, brevettuali o di tutela della proprietà intellettuale, il Promotore/CRO provvederà al riesame del documento unitamente allo Sperimentatore principale. Lo Sperimentatore principale accetterà di effettuare le modifiche suggerite dal Promotore o tenere conto dei suggerimenti del Promotore nella pubblicazione o presentazione, solo se necessarie ai fini della tutela della riservatezza delle informazioni e dei dati personali e della tutela della proprietà intellettuale, purché non in contrasto con l'attendibilità dei dati, con i diritti, la sicurezza e il benessere dei pazienti.

10.4 Il Promotore/CRO riconosce di non aver diritto di chiedere l'eliminazione delle informazioni contenute nel documento e non dovrà modificarne il contenuto, salvo quando tali richieste e modifiche siano necessarie ai fini della validità scientifica, della tutela della riservatezza dei dati, della protezione dei dati personali e della tutela della proprietà intellettuale.

10.5 Il Promotore/CRO, allo scopo di presentare una richiesta di brevetto e qualora risulti necessario, potrà chiedere allo Sperimentatore principale di differire di ulteriori 90 giorni la pubblicazione o presentazione del documento.

Lo Sperimentatore principale non potrà pubblicare i dati del proprio Centro sino a che tutti i risultati della Sperimentazione siano stati integralmente pubblicati ovvero per almeno 12 mesi dalla conclusione della Sperimentazione, dalla sua interruzione o chiusura anticipata.

Laddove la pubblicazione recante i risultati di una sperimentazione multicentrica ad opera del Promotore, o del terzo da questi designato, non venga effettuata entro 12 mesi dalla fine della Sperimentazione multicentrica, lo Sperimentatore potrà pubblicare i risultati ottenuti presso l'Ente, nel rispetto di quanto contenuto nel presente articolo.

Should any issues arise regarding the scientific integrity of the document and/or issues relating to regulatory, patent, or intellectual property protection aspects, the Sponsor/CRO will proceed to review the document together with the Principal Investigator. The Principal Investigator shall agree to implement the changes suggested by the Sponsor or take into consideration the Sponsor's suggestions regarding the publication or presentation, only if necessary to protect the confidentiality of the information and personal data and to protect intellectual property, provided it does not conflict with the reliability of the data, and with the rights, safety and well-being of patients.

10.4 The Sponsor/CRO acknowledges that it does not have the right to request the deletion of the information contained in the document and may not modify the contents thereof, except when such requests and modifications are necessary for the purposes of scientific validity, protection of data confidentiality, protection of personal data and protection of intellectual property.

10.5 The Sponsor/CRO, in order to submit a patent application and whenever necessary, may request that the Principal Investigator postpone the publication or presentation of the document for an additional 90 days.

The Principal Investigator may not publish the data of his/her own Site until all the Trial results have been fully published, i.e. for at least 12 months after the completion, suspension or early termination of the Trial.

If the publication disclosing the results of a multicentre Trial is not done by the Sponsor, or by its designated third party, within 12 months after the end of the multicentre Trial, the Investigator may publish the results obtained at the Institution, in compliance with the provisions of this Article.

Art. 11 - Protezione dei dati personali

11.1 Le Parti nell'esecuzione delle attività previste dal presente Contratto si impegnano a trattare i dati personali, di cui vengano per qualsiasi motivo a conoscenza durante la sperimentazione clinica, nel rispetto degli obiettivi di cui ai precedenti articoli e in conformità a quanto disposto dal Regolamento (UE)

6/679 del Parlamento Europeo e del Consiglio del aprile 2016, nonché dalle correlate disposizioni islative e amministrative nazionali vigenti, con le loro entuali successive modifiche e/o integrazioni (di seguito, collettivamente, "Leggi in materia di Protezione dei dati"). L’Ente tratterà i dati personali per la durata della Sperimentazione e secondo le modalità specificate all’art. 2.7. La natura del trattamento include la raccolta, la conservazione e l’analisi dei dati personali ai fini della conduzione della

Sperimentazione.

11.2 I termini utilizzati nel presente articolo, nel Contratto, nella documentazione di informativa e consenso e in ogni altro documento utilizzato per le finalità della sperimentazione clinica devono essere intesi e utilizzati secondo il significato a essi attribuito nell'Allegato B.

11.3 L'Ente, l’Università e il Promotore si qualificano come autonomi titolari del trattamento ai sensi dell'art. 4 paragrafo 7) del RGPD, in relazione ai dati personali dei pazienti partecipanti alla Sperimentazione che vengono trattati per gli scopi di studio descritti nel presente Contratto..

La CRO si qualifica come Responsabile del trattamento, ai sensi dell'art. 28 del RGPD, in riferimento alla titolarità dello Sponsor.

11.4 Per le finalità della Sperimentazione saranno trattati dati personali riferiti alle seguenti categorie di interessati: soggetti partecipanti alla sperimentazione; persone che operano per le Parti. Tali interessati sono informati sul trattamento che li riguarda a mezzo di idonea informativa. Per le finalità della Sperimentazione saranno trattati le seguenti tipologie di dati personali: dati personali di cui all'art. 4 n. 1 del RGPD; tra cui i dati identificativi e i dati di identificazione amministrativa dati rientranti nelle categorie "particolari" di dati personali - e in particolare dati relativi alla salute e alla vita sessuale, dati genetici

- di cui all'art. 9 del RGPD. Tali dati saranno trattati nel rispetto dei principi di liceità, correttezza, trasparenza, adeguatezza, pertinenza e necessità di cui all'art.5, paragrafo 1 del RGPD.

11.5 Il Promotore potrà trasmettere i dati ad affiliate del gruppo del Promotore e a terzi operanti per suo conto, anche all'estero, in paesi al di fuori dell'Unione Europea che non offrono lo stesso livello di tutela della privacy garantito in Europa. The Institution will process the personal data for the duration of the Trial and as specified in Article

2.7. The nature of processing includes the collection, storage, and analysis of the personal data for the purpose of carrying out the Trial.

11.2 The terms used in this Article, in the Agreement, in the information and consent documents and in any other documents used for the purposes of the Clinical trial shall be understood and used in accordance with the meaning thereto attributed in Xxxxx X.

11.3 The Institution, the University and the Sponsor are qualified as independent Data Controllers pursuant to Article 4, paragraph 17) of the GDPR with respect to the personal data of Trial patients processed for the purposes of the study described in this Agreement.

The CRO is qualified as Data Processor, pursuant to Article 28 of the GDPR, with reference to the Date Controller of Sponsor.

11.4 For the purposes of the Trial, personal data will be processed based on the following categories of data subjects: trial subjects and their stakeholders; persons operating on behalf of the Parties. Said data subjects will be informed on the processing of their data by means of an appropriate information sheet. For the purposes of the Trial, the following types of personal data will be processed: personal data pursuant to Article 4, paragraph 1 of the GDPR, including identification data and administrative identification data; data falling within the "special" categories of personal data - and in particular data relating to health and sex life, genetic data - pursuant to Article 9 of the GDPR. Said data will be processed in accordance with the principles of lawfulness, correctness, transparency, adequacy, relevance and necessity pursuant to Article 5, paragraph 1 of the GDPR.

11.5 The Sponsor may forward the data to other affiliates of Sponsor's Group and to third parties operating on its behalf, even abroad, in countries outside the European Union that do not offer the same level of privacy protection guaranteed in Europe. 6 Le Parti garantiscono che le persone da esse torizzate a trattare dati personali per le finalità della Sperimentazione rispettino i principi posti a tutela del diritto alla protezione dei dati personali e del diritto alla riservatezza, e che trattino i dati personali secondo l’obbligo contrattuale o statutario del diritto alla riservatezza, e che le persone che hanno accesso ai dati personali siano obbligati a trattarli in conformità alle istruzioni dettate, in coerenza con il presente articolo, dal titolare di riferimento. Qualora una qualsiasi persona con accesso ai dati personali ritenesse che le disposizioni relative al trattamento poste in essere nel contesto della Sperimentazione infrangano la legge applicabile in materia di protezione dei dati, tale persona provvederà a informare immediatamente il Titolare del trattamento che ha emanato tali istruzioni.

11.7 Lo Sperimentatore principale è individuato dall'Ente e dall’Università quale persona autorizzata al trattamento ai sensi dell'art. 29 del RGPD e quale soggetto designato ai sensi dell'art. 2 quaterdecies del Codice della Privacy (D.Lgs. n.196 del 30 giugno 2003, così come modificato dal D.Lgs. n. 101 del 10 agosto 2018).

11.8 Lo Sperimentatore principale deve informare in modo chiaro e completo, prima che abbia inizio la Sperimentazione (incluse le relative fasi prodromiche e di screening) ogni paziente circa natura, finalità, risultati, conseguenze, rischi e modalità del trattamento dei dati personali; in particolare il paziente deve inoltre essere informato che Autorità nazionali e straniere, nonché il Comitato Etico, potranno accedere, nell'ambito di attività di monitoraggio, verifica e controllo sulla ricerca, alla documentazione relativa alla sperimentazione così come anche alla documentazione sanitaria originale del paziente, e che ad esse potranno anche accedere in visione, nell'ambito delle rispettive competenze, Monitor e Auditor.

11.9 Lo Sperimentatore principale deve acquisire dal paziente debitamente informato il documento di consenso oltre che alla partecipazione alla Sperimentazione, anche al trattamento dei dati. L'Ente è responsabile della conservazione di tale documento.

11.10 Qualora una parte accerti una violazione dei dati personali, si impegna a comunicarlo all'altra entro 48 ore dall'accertamento della violazione, ferma restando l'autonomia della stessa nella valutazione della sussistenza delle condizioni e nell'adempimento degli

11.6 The Parties warrant that the persons they authorise to process personal data for the purposes of the Trial shall comply with the principles set forth for the protection of personal data and the right to privacy and will process the personal data under a contractual or statutory duty of confidentiality, and that the persons who have access to personal data are obligated to process said data in accordance with the instructions given, in accordance with this Article, by the aforementioned Data Controller. If any persons with access to the personal data believe that processing rules implemented in the context of the Trial infringe an applicable data protection law, those persons will immediately inform the data controller issuing those instructions.

11.7 The Principal Investigator is identified by the Institution and the University as the person authorised to process data pursuant to Article 29 of the GDPR and as the designated subject pursuant to Article 2 quaterdecies of the Italian Privacy Code (Legislative Decree No. 196 of 30 June 2003, as amended by Legislative Decree No. 101 of 10 August 2018).

11.8 The Principal Investigator must clearly and fully inform each patient on the nature, purpose, results, consequences, risks and methods of the processing of personal data, before the start of the Trial (including the related early and screening phases); in particular, the patient must also be informed that national and foreign authorities, as well as the Ethics Committee, will be able to access the Trial-related documentation, as well as the patient's original health documentation, in the context of the research monitoring, verification and control activities, and that these may also be accessed and viewed by Monitors and Auditors, within their sphere of competence.

11.9 The Principal Investigator must obtain from the duly informed patient the consent document not only for participation in the Trial, but also for data processing. The Institution shall be responsible for retaining said document.

11.10 If one party ascertains a breach of personal data, it undertakes to communicate it to the other party within 48 hours of breach discovery, without prejudice to said party's autonomy in assessing the existence of the conditions and in fulfilling the obligations set forth

11.11 Le Parti devono assistersi a vicenda, nella misura ragionevolmente necessaria, nell’effettuare le valutazioni d’impatto sulla protezione dei dati (DPIA) e nel condurre consultazioni preliminari con le autorità di supervisione. In caso di ricezione di una qualsiasi richiesta relativa ai diritti del soggetto, tra cui richieste di accesso, limitazione del trattamento, cancellazione, ecc., le Parti sono tenute a informarsi a vicenda e a fornire ragionevole assistenza alle altre Parti nel portare a compimento la richiesta o altrimenti rispondere alla stessa.

11.12 Fermo quanto sopra, le Parti si impegnano reciprocamente a trattare esclusivamente, relativamente ai pazienti, dati anonimi e/o pseudonimizzati, in modo tale che il destinatario delle informazioni di salute non sia in grado di identificare la persona fisica alla quale si riferiscono i dati stessi.

Art. 12 - Modifiche

12.1 Il presente Contratto e i relativi allegati/addendum, unitamente al Protocollo quale parte integrante, costituisce l'intero accordo tra le Parti.

12.2 Il Contratto può essere modificato/integrato solo con il consenso scritto delle Parti. Le eventuali modifiche saranno oggetto di addendum al presente Contratto e decorreranno dalla data della loro sottoscrizione, salvo diverso accordo tra le Parti.

Art. 13 - Disciplina anti-corruzione

13.1 L'Ente, l’Università e il Promotore/CRO si impegnano a rispettare la normativa anticorruzione applicabile in Italia.

13.2 Il Promotore dichiara di aver adottato misure di vigilanza e controllo ai fini del rispetto e dell'attuazione delle previsioni del D. Lgs. 8 giugno 2001 n. 231, nonché, in quanto applicabili e non in contrasto con la normativa vigente in Italia, i principi del Foreign Corrupt Practices Act degli Stati Uniti, e loro successive modifiche e integrazioni. L'Ente, l’Università e le sue strutture cliniche e amministrative, si impegnano a collaborare in buona fede, nei limiti di quanto previsto dalla normativa italiana di cui sopra, con il personale e il management del Promotore al fine di facilitare la

in Articles 33 and 34 of the GDPR. In addition, each Party shall assist the other as necessary in notifying the appropriate data subjects and data authorities and documenting the breach.

11.11 The Parties shall assist one another as reasonably necessary in performing data protection impact assessments (DPIAs) and in conducting prior consultations with supervisory authorities. If any data subject rights requests are received – including requests for access, restriction of processing, erasure, etc. – the Parties will inform one another and provide reasonable assistance to the other Parties in fulfilling or otherwise addressing the request.

11.12 Without prejudice to the above, the Parties mutually undertake to exclusively process, with regards to patients, anonymous and / or pseudonymized data, in a manner that the recipient of the health information will not be able to identify the natural person to whom the data refers.

Article 12 - Amendments

12.1 This Agreement and its related annexes/addendums, together with the Protocol as an integral part, constitutes the entire agreement between the Parties.

12.2 This Agreement may only be amended/supplemented with the written consent of the Parties. Any amendments will be the subject matter of an addendum to this Agreement and will be effective as of the date of signing, unless otherwise agreed between the Parties.

Article 13 - Anti-corruption regulations

13.1 The Institution, University and the Sponsor/CRO undertake to comply with the anti-corruption legislation applicable in Italy.

13.2 The Sponsor declares to have adopted supervisory and control measures for the purpose of complying with and implementing the provisions of Legislative Decree No. 231 of 8 June 2001, as well as the principles of the Foreign Corrupt Practices Act of the United States, and their subsequent amendments and additions, provided that these are applicable and do not contradict legislation applicable in Italy. 13.5 La CRO e il Promotore possono divulgare per qualsiasi scopo legittimo, nei limiti della normativa sul trattamento dei dati, i termini del presente Contratto o di qualsiasi suo emendamento.

13.6 La violazione di quanto previsto da questo articolo costituisce grave inadempimento del presente Contratto ai sensi e per gli effetti di cui all'art. 1456 Codice Civile, risultando pregiudicato il rapporto di fiducia tra le Parti.

Art. 14 - Trasferimento diritti, cessione del Contratto e sub-appalto

14.1 Il presente Contratto ha carattere fiduciario e, pertanto, le Parti non possono cedere o trasferire o subappaltare lo stesso a terzi, senza il preventivo consenso scritto dell'altra Parte.

Ogni Parte acconsente a che l'altra Parte possa cedere e/o trasferire in tutto o in parte i diritti e gli obblighi a lui pervenuti direttamente o indirettamente dalla firma del presente Contratto a un suo successore o ad una società collegata o a soggetti terzi, previa accettazione del cessionario di tutte le condizioni e i termini del presente Contratto. Qualsiasi trasferimento di diritti in assenza delle suddette condizioni sarà considerato nullo e mai avvenuto.

14.2 In caso di cambio di denominazione dell'Ente o dell’Università non si renderà necessario l'emendamento alla presente convenzione. L'Ente o l’Università sarà comunque tenuto a notificare tempestivamente al Promotore/CRO tale cambio di denominazione.

13.3 Pursuant to and for the purposes of Law No. 190 of 6 November 2012 ("Anti-corruption Law") and subsequent amendments, the Institution and the University declare to have adopted the Three-Year Plan for the prevention of corruption.

13.4 The Institution, the University and the Sponsor mutually undertake to inform the other parties immediately of any breach of this article of which they become aware and to make all information and documentation available for any verification required.

13.5 The CRO and the Sponsor may disclose the terms of this Agreement, or of any amendments thereto, for any legitimate purpose, within the limits of the data processing legislation.

13.6 Any breach of the provisions set forth in this article constitutes a serious violation of this Agreement pursuant to and for the purposes of Article 1456 of the Italian Civil Code, as it undermines the relationship of trust between the Parties.

Article 14 - Transfer of rights, assignment of the Agreement and subcontracting

14.1 This Agreement is of a fiduciary nature and, therefore, the Parties may neither assign, transfer nor subcontract it to third parties without the prior written consent of the other Party.

Each Party agrees that the other Party may assign and/or transfer, in whole or in part, the rights and obligations received therefrom directly or indirectly upon signing this Agreement to a successor or to an associated company or to third parties, subject to the acceptance by the transferee of all the terms and conditions of this Agreement. Any transfer of rights in the absence of the above conditions shall be considered as null and void.

14.2 An amendment to this agreement shall not be required in the event there is a change in the name of the Institution or the University. The Institution or the University will, however, still be required to promptly notify the Sponsor/CRO of said name change.

15.1 This Agreement is signed with a digital signature pursuant to Article 24 of Legislative Decree 82/2005, in accordance with the provision of Article 15, paragraph 2bis of Law No. 241/1990, as supplemented by Article 6 of Legislative Decree No. 179 of 18 October 2012, transposed into Law No. 22 of 17 December 2012. Art. 16 Legge regolatrice e Foro competente

16.1 La normativa applicabile al presente Contratto è quella dello Stato italiano.

16.2 Per tutte le eventuali controversie che dovessero sorgere in relazione all'interpretazione, applicazione ed esecuzione del presente Contratto, sarà competente, in via esclusiva, il Foro del luogo di esecuzione del Contratto, salvo l'impegno delle Parti ad esperire un preventivo tentativo di conciliazione in sede stragiudiziale.

Article 16 – Governing legislation and Jurisdiction

16.1 This Agreement is governed by the applicable legislation of Italy.

16.2 Any dispute that may arise in relation to the interpretation, application and performance of this Agreement, shall be exclusively resolved by the competent Courts of the place where this Agreement is executed, unless the Parties agree to attempt an alternative dispute resolution.

Il 10% di ogni pagamento sarà trattenuto (“Deposito a garanzia”) fino al Pagamento finale, come definito di seguito nella Sezione (c)(iv). Il Budget include tutte le spese rimborsabili. Ad eccezione dei pagamenti definiti nel Budget, non sarà effettuato alcun pagamento a favore di eventuali beneficiari ai sensi del presente Contratto senza il previo consenso per iscritto dello sponsor e qualsiasi altra richiesta di pagamento dovrà essere conforme ai termini indicati nel presente documento. (c) Tempistica di pagamento e fatturazione i.Pagamento anticipato I pagamenti per le spese amministrative e di avviamento saranno effettuati una tantum dopo la Visita di Avvio del Centro. Le spese amministrative saranno pagate entro quarantacinque (45) giorni di calendario a seguito della Visita di Avvio del Centro, la trasmissione dirichiesta di fattura da parte del Promotore/CRO agli indirizzi mail xxxxxxxxxxxxxxx@xxxxxxxxxx.xx e xxxxxxxxxxxx@xxxxxxxxxx.xx..sperimentazioni@maurizi xxx.xx and xxxxxxxxxxxx@xxxxxxxxxx.xx e del ricevimento della fattura, da parte del Promotore e del rappresentante per il pagamento. ii. Pagamenti per visite ai pazienti I pagamenti per le visite dei pazienti saranno effettuati automaticamente su base trimestrale, in base all'inserimento delle CRF completate (Schede Raccolta Dati) dei pazienti e del ricevimento della fattura da parte del Promotore e del rappresentante per il pagamento. Il dieci per cento (10%) di ogni pagamento per la visita del paziente sarà trattenuto ("Hold Back") fino al Pagamento Finale, come definito di seguito. I

Payment Details: (a) Payment Representative All payments will be managed and remitted by PRA (Sponsor’s Payment Representative) on behalf of Sponsor, unless Sponsor notifies the Institution and the University in writing otherwise. (b) Payment conditions Payments will be made by electronic bank transfer (as detailed in the Payment Information Form) in Euros. 10% of each payment will be withheld (the “Hold Back”) until the Final Payment as defined in Section (c)(iv) below. The Budget includes all fees payable. No payments except for those set forth in the Budget will be made to any payee pursuant to this Agreement without the prior written approval of Sponsor, and any such requests for payment must be in accordance with the terms noted herein. (c) Payment Timing and Invoicing i. Advance Payment Payments for Start Up administrative costs will be paid one-time following the Site Initiation Visit. iii. Procedure facoltative e altri pagamenti fatturabili

Tutte le fatture per i costi aggiuntivi saranno gestite dal rappresentante dei pagamenti per conto del Promotore. L'Ente deve inviare una fattura valida e includere il nome e il numero del protocollo e un riepilogo dettagliato dei costi aggiuntivi entro novanta (90) giorni dalla data per la quale il rimborso deve essere effettuato dal Promotore, insieme a qualsiasi documentazione (se presente) ragionevolmente richiesta dal Promotore. Inoltre, l'Ente accetta di collaborare con il Promotore rispondendo alle richieste periodiche del dipartimento Finanziario dello Promotore, in merito all'attività dei pazienti non fatturati in modo che il Promotore possa stimare con precisione la responsabilità finanziaria associata alla sperimentazione clinica. iv. Pagamento finale Il rappresentante dei pagamenti/Promotore pagherà all'Ente e all’Università un pagamento finale per un importo pari ai Costi amministrativi di chiusura, le rimanenti voci fatturabili e l'importo totale “Hold Back”, trattenuto in base al punto “Pagamenti per visite ai pazienti” di sui sopra (il "Pagamento finale") al termine della sperimentazione, quando tutta la risoluzione dei dati sia stata completata e accettata dal Promotore e tutti i materiali forniti all'Ente siano stati riconciliati da PRA e/o dal Promotore, entro 45 giorni in Payments will be made within forty-five (45) calendar days following Sponsor’s and Payment Representative’s receipt of the invoice. Additionally, Institution agrees to cooperate with Sponsor by responding to periodic requests from Sponsor’s finance department regarding unbilled patient activity so that Sponsor can accurately estimate the financial liability associated with the Study. v. Contestazioni sui pagamenti. L’Ente e l’Università avranno trenta (30) giorni dalla data di ricevimento del pagamento finale per notificare la presenza di eventuali discrepanze.
vi. Taxes I pagamenti indicati nel Bilancio non includono l’IVA o imposte di alcun tipo simile. Se il beneficiario è in possesso di un numero di partita IVA e se l’IVA o altra imposta applicabile è richiesta per legge dal Paese del beneficiario, questa dovrà essere aggiunta e indicata in fattura secondo l’aliquota IVA locale vigente. L’Ente e l’Università dichiarano e convengono ciascuno che il beneficiario sarà esclusivamente responsabile del pagamento di un importo appropriato per qualsiasi imposta federale, statale e locale applicabile in merito a tutti i pagamenti corrisposti ai sensi del presente Contratto e la CRO sarà sollevata da qualsiasi responsabilità in merito alle ritenute o al pagamento di dette imposte per conto del Centro o del beneficiario.
(d) Modulo delle informazioni di pagamento (“PIC”) Prima di poter effettuare qualsiasi pagamento, tutti i beneficiari contemplati nel presente Contratto, cioè l’Ente e l’Università (ove applicabile; di seguito, il “beneficiario”) dovranno fornire istruzioni complete di pagamento e tutti i dettagli delle coordinate bancarie e del conto, per iscritto a PRA/allo sponsor nel Modulo di informazioni di pagamento. Il beneficiario è tenuto a informare PRA/lo sponsor, per iscritto, di qualsiasi modifica o aggiornamento richiesta/o delle istruzioni di pagamento e/o delle coordinate bancarie. Le Parti convengono sul fatto che eventuali modifiche o aggiornamenti della banca o delle coordinate bancarie del beneficiario contenuti nel Modulo delle informazioni di pagamento possano essere apportate mediante una comunicazione per iscritto e non richiederanno di per sé un emendamento formale al Contratto o al presente Allegato A.

Sponsor shall have the right to refuse payment of pass- through costs invoiced more than one hundred eighty (180) calendar days after the incursion of such pass- through costs. v. vi. Taxes Payments shown in the Budget do not include VAT/GST or tax of any similar type. If the Payee is VAT/GST registered, and if VAT/ GST or other applicable taxes are required under the laws of the Payee’s country, the applicable tax should be added and shown on the invoice at the local applicable VAT rate. The Institution and University each acknowledge and agree that payee shall be solely responsible for paying the appropriate amount of any applicable federal, state, and local taxes with respect to all payments made pursuant to this Agreement, and CRO and Sponsor shall have no responsibility whatsoever for withholding or paying any such taxes on behalf of the Site or Payee.
(d) Payment Information Form All payees hereunder, including Institution and University (as applicable; herein, “Payee”) shall provide full payment instructions and bank and account information details, in writing to PRA/Sponsor in the Payment Information Form before any payment can be made. The Payee is obliged to inform PRA/Sponsor, in writing, of any changes or required updates of payment instructions and/or bank and bank account information details. The parties agree that any change of or update to the Payee’s bank and bank account information details contained in the Payment Information Form may be affected through a written notice and shall not of itself require a formal amendment to the Agreement or this Annex A.
