2024 Bonus. Executive’s Annual Cash Incentive from the Effective Date to December 31, 2024 shall be a pro-rata portion (50%) of Executive’s Target Annual Cash Incentive (as defined in Section 4.3(a)(iii) below) based on a target to be determined by the Board, in good faith consultation with Executive. The Company and Executive both acknowledge that Executive’s Annual Cash Incentive for the period prior to Closing (January 1, 2024 to the Effective Date) was paid to Executive based on Cedar Fair’s standalone performance prior to Closing.

2024 Bonus. Notwithstanding anything in this Agreement to the contrary, if the Spin-Off Date occurs during 2024, Executive will receive an annual incentive award for 2024 (“2024 Bonus”) pursuant to the terms of the Employee Matters Agreement to be entered into between SITE Centers and Curbline in connection with the Spin-Off (which terms will involve Executive receiving a truncated payment from SITE Centers for the 2024 Bonus earned for the portion of 2024 occurring prior to the Spin-Off Date (based on actual performance) (the “SITE 2024 Bonus”), and Curbline establishing a truncated 2024 Bonus award opportunity for Executive for the remaining portion of 2024 after the Spin-Off Date based on actual performance and the payout opportunities set forth on Exhibit A to this Agreement (the earned amount under such Curbline award, the “Curbline 2024 Bonus”)).
2024 BonusSubject to all other terms as stated herein, you will be entitled to a pro-rata portion of the 2024 bonus for each of your roles, based on the portion of the year that you were employed, and based upon duration of time in each position and the base salary for each position. Your bonus may be paid in a combination of cash and RE/MAX Holdings stock. Any such bonus payment will be made at such time as determined by the Company in its sole discretion (but no later than March 15, 2025) and will be based on the Company’s achievement of financial or other goals and Employee’s pre-established performance criteria as well as the applicable bonus plan document. The amount and payment of the bonus, if any, will be determined in the discretion of the Company and in accordance with the applicable policy. Notwithstanding the foregoing, you will forfeit any bonus for the 2024 bonus plan year if: (1) The Separation Date (as defined herein) is on or prior to June 30, 2024; or (2) You voluntarily terminate your employment prior to the date the 2024 bonus is paid; or (3) The Company terminates you for Cause (as defined below) prior to the date the 2024 bonus is paid. For any bonus plan year after 2024 in which you are employed, if the Company terminates your employment without Cause after June 30, you will be eligible for a pro-rata bonus at the bonus rate and base salary of your current position, in the amount to be determined in the discretion of the Company and in accordance with applicable policy, to be paid at such time as determined by the Company in its sole discretion (but no later than March 15 of the following year).
2024 Bonus. Oxxxx will be eligible to participate in Cannabist’s discretionary executive bonus plan (the “Bonus Plan”) for 2024 (the “Bonus Separation Payment”). Such participation will be determined on a pro-rated basis covering the performance period from January 1, 2024 through July 31, 2024 (the “Bonus Performance Term”), subject to terms of the Bonus Plan, with a target bonus of 55% (subject to pro-ration) of Oxxxx’x salary in effect during the Bonus Performance Term, and based upon the achievement of corporate and individual goals. The Bonus Separation Payment will be paid to Oxxxx on the same date that Cannabist pays bonuses to C-Suite executives under the Bonus Plan for 2024. The amount of the Bonus Separation Payment will be determined by Cannabist in good faith.
2024 Bonus. Olson will be eligible to participate in Cannaxxxx’s discretionary executive bonus plan (the “Bonus Plan”) for 2024 (the “Bonus Separation Payment”). Such participation will be determined on a pro-rated basis covering the performance period from January 1, 2024 through July 31, 2024 (the “Bonus Performance Term”), subject to terms of the Bonus Plan, with a target bonus of 55% (subject to pro-ration) of Olson’s salary in effect during the Bonus Perfxxxxxxx Term, and based upon the achievement of corporate and individual goals. The Bonus Separation Payment will be paid to Olson on the same date that Cannabist pays bonxxxx to C-Suite executives under the Bonus Plan for 2024. The amount of the Bonus Separation Payment will be determined by Cannabist in good faith.
2024 Bonus. In respect of the Company’s 2024 fiscal year, Executive shall not receive a bonus award (the “2024 Bonus”).
2024 Bonus. Section 3(c) of the Employment Agreement is hereby amended and restated in its entirety to read: “For the period between January 1, 2024, to the end of the Term, and provided the Executive is employed on the last day of the Term, the Executive will also to be entitled to a cash bonus for 2024 of $53,254.88 (the “2024 Bonus”). Any earned 2024 Bonus pursuant to this Section shall be payable in accordance with the Company’s historical payroll practices and within thirty (30) days after May 19, 2024.”

2024 BonusIn accordance with the terms of the Letter Agreement, within 90 days following the Separation Date, Executive will be paid a lump sum amount reflecting Executive's target bonus for 2024, which is $330,000, which will be paid less taxes and other required withholdings.
