Acceptance of the Service. When ASP believes it has appropriately completed the development of the Service in accordance with the applicable SOW, ASP will notify FedEx. FedEx will accept or reject the Service within ten (10) days of such notice. FedEx may reject the Service only if the Service fails to comply with the requirements of this Agreement, including the Service Description.

Acceptance of the Service. In using the service, you state and assure that: 1. you are 18 years old or older. In using the service, a minor must be allowed by his parents or by the people who have the parental authority or custody of the child; they are, therefore, the only responsible for any behaviour held by the minor; 2. if you are using or opening an account on behalf of a company, entity, or organization then you represent and warrant that you are an authorized representative of that subscribing organization with the authority to bind such organization to these terms; 3. if you upload or update your contents periodically some laws of some country could require particular authorizations. Please check your country legislation. In any case Paperator is not responsible if some authorizations regarding your contents are missing. 4. you do not share content protected by copyright or other peoples content unless you own the rights or have permission from the owner.
Acceptance of the ServiceThe Operator hereby accepts the Service and agrees and undertakes to implement the Project/provide Project Facility, and to perform/discharge all of its obligations in accordance with the terms and conditions set forth in this Agreement.
Acceptance of the ServiceThe services referred to in the Purchase Order or Service Agreement shall be provided in accordance with the Con- tractual Documentation, and any change shall require the express acceptance of the CEPSA Group. The Purchase Order and related Contractual Documentation shall specify the terms and conditions for the provision of services. If the service is not accepted on justified grounds, it shall be held as not provided, unless otherwise expressly agreed. CEPSA reserves the right to accept a defective service, agreeing the pertinent reduction in the price with the Provider based on the defects identified.
Acceptance of the Service. DC shall be entitled to refuse acceptance of goods which are delivered prior to the specified dates or be entitled to return such goods at the Supplier's expenses and risk or store these goods at third parties at the Supplier's expenses, provided that this would not be disproportionate in a particular case. The same shall apply in the event of an excess or incorrect delivery with regard to the excess or incorrect part delivered.
Acceptance of the Service. 1. After completion of the work, the parties will prepare an acceptance protocol, which will constitute confirmation of completion of the service according to the agreement 2. Signing the acceptance protocol by the Client will signify no reservations regarding the performed service.

  • Acceptance of the Work 19.1 The Contractor shall correct any Work that fails to conform to the requirements of the Contract Documents where such failure to conform appears during the progress of the Work, and shall remedy any defects due to faulty permitting, design, materials, equipment or workmanship which appear within a period of one year from the Date of Final Settlement of the Contract or within such longer period of time as may be prescribed by law or by the terms of any applicable special guarantee required by the Contract Documents. The provisions of this Article apply to Work done by Subcontractors as well as to Work done by direct employees of the Contractor, and are in addition to any other remedies or warranties provided by law. 19.2 No act of, or failure to act by, the Owner or the Owner's Representative, either in superintending or directing the Work, or any extension of time for the completion of the Work, shall be regarded as an acceptance of such Work or any part thereof, or of materials used therein, either wholly or in part. Acceptance shall be evidenced only by the final certificate of the Owner. Before any final certificate shall issue, Contractor shall execute an affidavit on the certificate that it accepts the same in full payment and settlement of all claims on account of Work done and materials furnished under this Contract, and that all claims for materials provided or labor performed have been paid or set aside in full. No waiver of any breach of this Contract by the Owner or anyone acting on Owner's behalf shall be held as a waiver of any other subsequent breach thereof. 19.3 Contractor agrees to guarantee all work under this Contract for the periods specified in the RFP from the date of Final Settlement by the Owner. If any unsatisfactory condition or damage develops within the time of this guaranty due to permitting, design, materials or workmanship that are defective, inferior, or not in accordance with the Contract, as reasonably determined by the Owner or the Owner’s Representative, then the Contractor shall, when notified by the Owner or OR, immediately place such guaranteed Work in a condition satisfactory to the Owner or OR.

  • Acceptance of Services Services furnished under this Contract are subject to acceptance by OSU. If OSU finds services furnished to be incomplete or not in compliance with the Contract, OSU, at its sole discretion, may either reject the services, require Contractor to correct any defects without charge, or negotiate with Contractor to reduce the price, whichever OSU deems appropriate under the circumstances. If Contractor is unable or refuses to cure any defects within a time deemed reasonable by OSU, OSU may reject the services and cancel the Contract in whole or in part.

  • Acceptance of AAU You will have accepted an AAU for an Offering if: (a) we receive your acceptance, prior to the time specified in the Invitation Wire for such Offering, by wire, telex, telecopy or electronic data transmission, or other written communication (any such communication being deemed “In Writing”) or orally (if promptly confirmed In Writing), in the manner specified in the Invitation Wire, of our invitation to participate in the Offering, or (b) notwithstanding that we did not send you an Invitation Wire or you have not otherwise responded In Writing to any such Wire, you: (i) agree (orally or by a Wire) to be named as an Underwriter in the relevant Underwriting Agreement executed by us as Manager, or (ii) receive and retain an economic benefit for participating in the Offering as an Underwriter. Your acceptance of the invitation to participate will cause such AAU to constitute a valid and binding contract between us. Your acceptance of the AAU as provided above or an Invitation Wire will also constitute acceptance by you of the terms of subsequent Wires to you relating to the Offering unless we receive In Writing, within the time and in the manner specified in such subsequent Wire, a notice from you to the effect that you do not accept the terms of such subsequent Wire, in which case you will be deemed to have elected not to participate in the Offering.

  • Acceptance of Work The completion of the Work shall be subject to acceptance by NYSERDA in writing of all deliverables as defined in Exhibit A, Statement of Work.

  • ACCEPTANCE OF APPOINTMENT The Adviser accepts that appointment and agrees to render the services herein set forth, for the compensation herein provided. The assets of the Allocated Portion will be maintained in the custody of a custodian (who shall be identified by the Manager in writing). The Adviser will not have custody of any securities, cash or other assets of the Fund and will not be liable for any loss resulting from any act or omission of the custodian other than acts or omissions arising in reliance on instructions of the Adviser.

  • Acceptance of Application (a) SORACOM may request the Applicant to submit information necessary for SORACOM to determine whether the Applicant may have failed to make any payment that the Applicant is responsible to pay in relation to the SORACOM Air Global Service. In such case, the Applicant shall promptly submit such information in writing.

  • Acceptance of Premises Tenant shall accept the Premises in its condition as of the Commencement Date, subject to all applicable laws, ordinances, regulations, covenants and restrictions. Landlord has made no representation or warranty as to the suitability of the Premises for the conduct of Tenant's business, and Tenant waives any implied warranty that the Premises are suitable for Tenant's intended purposes. Except as provided in Paragraph 10, in no event shall Landlord have any obligation for any defects in the Premises or any limitation on its use. The taking of possession of the Premises shall be conclusive evidence that Tenant accepts the Premises and that the Premises were in good condition at the time possession was taken except for items that are Landlord's responsibility under Paragraph 10 and any punchlist items agreed to in writing by Landlord and Tenant. Notwithstanding any provision to the contrary in the Lease, at the Commencement Date, Landlord's Work shall conform to all requirements of covenants, conditions, restrictions and encumbrances of record, unless modified by binding variance from the governing entity ("CC&R's"), and all Legal Requirements applicable thereto. Tenant shall not be required to construct or pay the cost of complying with any CC&R's, Legal Requirements requiring construction of improvements in the Premises which are properly capitalized under general accounting principles, unless such compliance is necessitated because of Tenant's particular use of the Premises or is mandated by Legal Requirements enacted, or applicable to the Premises, subsequent to the Commencement Date. The parties' obligations and liability to each other with respect to Hazardous Materials shall not be governed by this Paragraph 2, but shall be governed by Paragraph 30 of this Lease. Landlord shall remain liable for correcting defects in Landlord's Work during the first 6 months of the Term and for the compliance with Legal Requirements of Landlord's Work as of the Commencement Date.
