Access Authority and Conditions. Subject to compliance with each of the terms of this Agreement, ASHP agrees to permit You to access and use ASHP’s Recertification Resources during the Term of this Agreement. You understand and agree that the Recertification Resources are comprised of many different activities that are released on a rolling basis throughout the year and that You will not have access to all activities immediately upon your enrollment but rather will gain access immediately upon the release of each activity. Your access to the Recertification Resources is subject to the following conditions:

Access Authority and Conditions. Subject to compliance with each of the terms of this Agreement, ASHP agrees to permit You to access and use the online Recertification Resources during the Term of this Agreement. You understand and agree that from time to time, without prior notice by ASHP, Your usage and accessibility to certain activities of the Recertification Resources may either be (i) released on a rolling basis throughout the Term so that Your access to all activities may not be immediately available upon Your enrollment but rather You will gain access immediately upon the release of each activity during the Term; or (ii) immediately terminated so that Your activity will be inaccessible during the remainder of the Term due to the expiration of the activity’s recertification cycle. Your access to the Recertification Resources is subject to the following conditions:

Following are certain requirements and limitations regarding such access: 1.1 The Resume Database is to be accessed and used solely by You and authorized representatives from your company. 1.2 You agree to protect and keep Your password confidential 1.3 You may not use the Resume Database in any way which, in the Company’s sole judgment, adversely affects the Company’s business, business prospects, the performance or function of the Sites or the Resume Database, or interferes with the ability, of other subscribers to access the Resume Database. 1.4 You may use Your subscription to the Resume Database only for seeking candidates for employment in the PETROLEUM INDUSTRY, You are specifically prohibited from using information contained in the Resume Database to sell or promote any products or services or to take any other action that is, in the Company’s sole judgment, inconsistent with Site Terms and Conditions, misleading or incomplete, or in violation of any Federal, State, Local law, statute, code, rule, or regulation. 1.5 The Company may terminate, suspend, update, alter or supplement, at its sole discretion, all or any part of the Resume Database at any time.
Access Authority and Conditions. Subject to Subscriber’s compliance with these General Terms and Order Form, Sparta hereby grants Subscriber the right to access Stratas Quality Management (for the term identified in an Order Form) on a limited, revocable, non-exclusive, non-transferable basis, solely for the purpose of creating, updating, transmitting, storing and retrieving Subscriber Content for the number of Authorized Users specified in an Order Form or purchase order accepted by Sparta. Subscriber shall not use or attempt to use the Site to obtain data or other information except Information that pertains to Subscriber's business with Lowe's. x. Xxxx'x may terminate, update, alter or supplement all or any portion of the Site and all or any portion of the Information in its sole discretion without providing Subscriber with notice thereof. While Lowe's does not presently charge for access to the Site and Information, Lowe's may assess such charges in the future in its sole discretion by providing notice of such charges to Subscriber. e. Subscriber may not use the Information for any purpose other than to facilitate its business relationship with Lowe's; nor may Subscriber disclose any Information to any third party without Lowe's prior written consent. Upon termination of this Agreement, Subscriber shall return to Lowe's all computer files or written materials in Subscriber's possession that contain, or were derived or prepared based upon, the Information or any other content on the Site. f. Subscriber agrees to comply with all security procedures established by Lowe’s and in particular acknowledges its responsibility to maintain appropriate access to the Site. g. Access Authority and Conditions. Subject to compliance with each of the terms of this Agreement, CareerBuilder agrees to permit You to access the CareerBuilder CV Database (the "CV Database") via the Site for the purpose of viewing and/or downloading a single copy of available CVs solely for Your use. Following are certain requirements regarding such access: 1.1 The CV Database is to be accessed and used solely by You. Upon Your successful registration for CV Database membership, You will be provided with a password that will permit You to access the CV Database. You may not provide Your password or otherwise permit access to the CV Database to any third party. You may download, one at a time, up to 300 CVs per day (9,000 per month) for Your use in accordance with the terms of this Agreement. You may not provide or distribute such CVs to any third party. You are responsible for protecting and keeping Your password confidential. 1.2 You may not use the CV Database in any way which, in CareerBuilder’s reasonable judgment, adversely affects CareerBuilder’s business or business prospects, the performance or function of the Site or the CV Database or interferes with the ability of other members. 1.3 You may not use the CV Database for any purpose other than as an employer seeking employees, including but not limited to using the information in the CV Database to sell or promote any products or services. 1.4 CareerBuilder may terminate, update, alter or supplement all or any part of the CV Database offering at any time. By permitting access to the CareerBuilder CV Database, CareerBuilder does not convey any interest in or to the CV Database or any other CareerBuilder property or services. All right, title and interest in and to the CV Database is and shall remain in CareerBuilder. 1.5 You agree that Your access to the CV Database will be in compliance with any additional usage requirements provided by CareerBuilder from time to time.

  • Governing Law, Regulatory Authority, and Rules The validity, interpretation and enforcement of this Agreement and each of its provisions shall be governed by the laws of the state of New York, without regard to its conflicts of law principles. This Agreement is subject to all Applicable Laws and Regulations. Each Party expressly reserves the right to seek changes in, appeal, or otherwise contest any laws, orders, or regulations of a Governmental Authority.

  • Outage Authority and Coordination Developer and Connecting Transmission Owner may each, in accordance with NYISO procedures and Good Utility Practice and in coordination with the other Party, remove from service any of its respective Attachment Facilities or System Upgrade Facilities and System Deliverability Upgrades that may impact the other Party’s facilities as necessary to perform maintenance or testing or to install or replace equipment. Absent an Emergency State, the Party scheduling a removal of such facility(ies) from service will use Reasonable Efforts to schedule such removal on a date and time mutually acceptable to both the Developer and the Connecting Transmission Owner. In all circumstances either Party planning to remove such facility(ies) from service shall use Reasonable Efforts to minimize the effect on the other Party of such removal.
