Access Authority and Conditions. Subject to compliance with each of the terms of this Agreement, ASHP agrees to permit You to access and use ASHP’s Recertification Resources during the Term of this Agreement. You understand and agree that the Recertification Resources are comprised of many different activities that are released on a rolling basis throughout the year and that You will not have access to all activities immediately upon your enrollment but rather will gain access immediately upon the release of each activity. Your access to the Recertification Resources is subject to the following conditions:

Access Authority and Conditions. Subject to compliance with each of the terms of this Agreement, ASHP agrees to permit You to access and use the online Recertification Resources during the Term of this Agreement. You understand and agree that from time to time, without prior notice by ASHP, Your usage and accessibility to certain activities of the Recertification Resources may either be (i) released on a rolling basis throughout the Term so that Your access to all activities may not be immediately available upon Your enrollment but rather You will gain access immediately upon the release of each activity during the Term; or (ii) immediately terminated so that Your activity will be inaccessible during the remainder of the Term due to the expiration of the activity’s recertification cycle. Your access to the Recertification Resources is subject to the following conditions:
Access Authority and Conditions. Subject to compliance with each of the terms of this Agreement, the Company agrees to permit You a limited, personal, terminable, non‐ transferable, non‐exclusive right to access the Resume Database via the website XxxXxxXxxxxx.xxx for the purpose of viewing and/or downloading a copy of available resumes solely for Your use.   • Electronic and Information Resources Accessibility and Security Standards a. Applicability: The following Electronic and Information Resources (“EIR”) requirements apply to the Contract because the Grantee performs services that include EIR that the System Agency's employees are required or permitted to access or members of the public are required or permitted to access.   • Governing Law, Regulatory Authority, and Rules The validity, interpretation and enforcement of this Agreement and each of its provisions shall be governed by the laws of the state of New York, without regard to its conflicts of law principles. This Agreement is subject to all Applicable Laws and Regulations. Each Party expressly reserves the right to seek changes in, appeal, or otherwise contest any laws, orders, or regulations of a Governmental Authority.

  • Outage Authority and Coordination Developer and Connecting Transmission Owner may each, in accordance with NYISO procedures and Good Utility Practice and in coordination with the other Party, remove from service any of its respective Attachment Facilities or System Upgrade Facilities and System Deliverability Upgrades that may impact the other Party’s facilities as necessary to perform maintenance or testing or to install or replace equipment. Absent an Emergency State, the Party scheduling a removal of such facility(ies) from service will use Reasonable Efforts to schedule such removal on a date and time mutually acceptable to both the Developer and the Connecting Transmission Owner. In all circumstances either Party planning to remove such facility(ies) from service shall use Reasonable Efforts to minimize the effect on the other Party of such removal.

  • County Review and Approval of Insurance Requirements The County reserves the right to review and adjust the Required Insurance provisions, conditioned upon County’s determination of changes in risk exposures.

  • CLEARANCE REQUIREMENTS CONTRACTOR shall comply with the requirements of California Education Code section 44237, 35021.1, 35021.2, and 56366.1 including, but not limited to: obtaining clearance from both the California Department of Justice (hereinafter referred to as “CDOJ”) and clearance from the Federal Bureau of Investigation (hereinafter referred to as "FBI") for CONTRACTOR’s employees and volunteers, unless CONTRACTOR determines that the volunteers will have no direct contact with students. CONTRACTOR hereby agrees that CONTRACTOR’s employees and volunteers, unless CONTRACTOR determines that the volunteers will have no direct contact with students shall not come in contact with students until CDOJ and FBI clearance are ascertained. CONTRACTOR shall certify in writing to LEA that none of its employees, and volunteers, unless CONTRACTOR determines that the volunteers will have no direct contact with students, or contractors who may come into contact with students have been convicted of a violent or serious felony as those terms are defined in California Education Code section 44237(h), unless despite the employee’s conviction of a violent or serious felony, he or she has met the criteria to be eligible for employment pursuant to California Education Code section 44237 (i) or (j). Contractor shall certify to LEA that they have successful background checks and enrolled in subsequent arrest notification service for all employees who may come into contact with students. Notwithstanding the restrictions on sharing and destroying criminal background check information, CONTRACTOR, upon demand, shall make available to the LEA evidence of a successful criminal background check clearance and enrollment in subsequent arrest notice service, as provided, for each owner, operator, and employee of the NPS/A. CONTRACTOR is required to retain the evidence on-site, as specified, for all staff, including those licensed or credentialed by another state agency. Background clearances and proof of subsequent arrest notification service as required by California Penal Code section 11105.2 for all staff shall be provided upon request.

  • Licenses and Similar Authorizations The Contractor, at no expense to the City, shall secure and maintain in full force and effect during the term of this Contract all required licenses, permits, and similar legal authorizations, and comply with all related requirements.
